TERMS & CONDITIONS OF OFFER OF APPOINTMENT IN MSIL IN RESPECT OF

01. Your remuneration package during the training period in MSIL on joining is as indicated in
Annexure-II (To be shared separately).

02. This offer is subject to your being found medically fit as per MSIL norms. Candidates having
any medical problem including color-blindness will be treated as UNFIT and they will not be
allowed to join duty in MSIL.

You are accordingly required to go for pathological/medical tests at any of the Medical
Institutions as indicated in the List of medical centers and present yourself before CMO, MSIL
for medical examination along with:
i. All reports of pathological/medical tests
ii. A passport size color photograph
iii. Your appointment letter

03. You will be on probation for a period of twelve months from the date of your joining and this
period may be extended to such further period or periods as may be considered necessary by
the company. You will not be deemed as confirmed in this post unless you are intimated to
that effect in writing by the company.

04. Your confirmation in appointment will be subject to your satisfactory performance on your
job.

05. During the period of probation your services are liable to be terminated without assigning any
reason whatsoever, by giving you one month notice or one month pay in lieu thereof.

06. In case of your resignation from the services of the company during the period of your
probation, you will be required to give one month notice or pay in lieu thereof or for the
period falling short of the prescribed notice period.

07. The company, however, reserves the right not to accept an employee’s resignation if the
circumstances so warrant i.e. if any disciplinary proceedings are pending or a decision has
been taken by the competent authority to issue a charge sheet to him/her.

08. On confirmation, your services are liable to be terminated by giving three months’ notice by
either party or pay in lieu of such notice or in case of shorter notice, same for the period
falling short of the prescribed three months period.

09. On attaining the age 58 years you shall be retired from the services and you shall have no
claim to be continued in the services of the company thereafter.

10. You will be governed by provisions of ‘Code of Business Conduct & Ethics’, applicable rules &
regulations and all other standing instructions of the company which are now in force and
which will be framed in future for employees of your category. Your acceptance of this
appointment offer carries with it your agreement to abide by all such Rules, Regulations,
Orders, etc.

11. You will be liable to be transferred depending upon the exigencies of workload, business
development, changes in production pattern etc., from one work-station, shop, section,
department or job to another or to a future unit/ establishment of the Company anywhere in
India or abroad where the company may have any business and in such an event be governed
by the terms and conditions of services applicable at that department, section, unit/
establishment subject to the condition that your pay and grade are not adversely affected.

12. In consideration of remuneration paid to you by Maruti Suzuki India Limited, you shall assign
to the company or its assignees every right, title and interest in and to any invention that you
may make during or as a result of your employment, relating to company’s products and
methods of manufacture. You shall also observe and perform and do all necessary to secure
to the company or its successors, to such invention and improvements including patents in
foreign countries.

13. You shall not divulge or pass on any information, knowledge etc. which may come into your
possession during your service in the company connected with the business of the company
to any outside person, company or agency without the prior written consent of the company.

14. The terms and conditions confirmed herein above will continue to apply to the appointee, if
during his/her tenure of service in the company, he/she is appointed to another post and/or
any other scale of pay by order under the company.

15. If any declaration given or information furnished by you in connection with your employment
either at the time or before seeking employment or later at any stage in the Company, proves
to be false or if you are found to have willfully suppressed or withheld any material
information, you will be liable to removal from service forthwith, without notice or such other
actions as the Company may deem necessary.

16. In case you are employed in a Govt./ Public Sector Undertaking you shall join this post with no
lien whatsoever in the previous post/ organization.

17. For your travel undertaken for joining the services of our Company, you will be reimbursed
only inland expenses for self and family consisting of dependent spouse and children as per
MSIL rules.

18. Please maintain strict confidentiality of your salary and all other benefits. Any disclosure of
your salary and benefits by you to any one without the permission of the competent authority
will be viewed very seriously by the company.

19. Future revision of your salary and benefits and annual increases will be decided based on your
performance.

20. At the time of joining, you are required to submit the following documents in original along
with an attested photocopy of each. The originals will be returned to you after verification:
i. Documents/Certificates in support of all your claims as to your
Educational/professional qualifications, Experience, Salary particulars, Age/Date of
birth and your claim of being a SC/ST etc., if any.SC/ST certificate, previous
experience, if any, etc.
ii. Relieving certificate from your immediate past employer (if any)
iii. Ten copies of your recent passport size color photographs.
iv. A medical fitness certificate as stated above

Dear Ashish Pai,

Further to our offer and your acceptance thereof, we have pleasure in appointing you as
Management Trainee at Bangalore effective 13th July 2015.

Your annual total base pay will be INR 11,48,000 (Rupees Eleven Lakh Forty Eight Thousand Only).
Your compensation is mentioned in the attached Annexure-I.

In addition to the above, you will be eligible for 10% of your base pay as an annual performance
bonus as per the Bonus plan‟s terms and conditions. The company will review its overall
performance and your individual performance and will determine your bonus, if any.

Additionally, you will be eligible for a joining bonus of INR 1,00,000/- (Rupees One Lakhs Only)
subject to tax deductions.

Your Employment shall be "at will," meaning that either you or the Company shall be entitled to
terminate your Employment at any time and in a manner specified below for any reason, with or
without Cause. Any contrary representations that may have been made to you shall be superseded
by this Agreement. This Agreement shall constitute the full and complete agreement between you
and the Company on the "at-will" nature of your Employment, which may only be changed in an
express written agreement signed by you and a duly authorized officer of the Company. You
employment may be terminated as under:

You will be on probation for a period of 3 months from the date of joining or longer at the sole
discretion of the Company. During this period your services can be terminated by either you or the
Company giving the other 15 days‟ notice in writing.

Your services may be terminated at the instance of either party only by giving to the other party 1
calendar months‟ prior written notice provided that the Company may if it shall so choose pay 1
months‟ prior written notice or salary in lieu thereof.

This offer of appointment is subject to positive feedback on your reference checks and conditional
upon successful background checks (which may include criminal checks, verification of previous
employment, education verification, credit check and appropriate identification verification) being
conducted either by Flipkart or an appropriate third party, and the results of such background checks
being favorable in Flipkart's reasonable opinion. If this condition is not satisfied, then this offer of
appointment will be void or will become void, on notice by Flipkart. If the terms & conditions are
acceptable to you, kindly send us an acceptance mail at the earliest and confirm your date of joining.
You may be required to work from Monday to Friday or Monday to Saturday as per company policy
applicable to your area of function, for such hours as are necessary to suit the Company's
requirements and for the proper discharge of the Employee's duties. You may also be required to
attend duties on Public Holidays as per the exigencies of work. However, the maximum number of
working hours per week shall not exceed the provisions of the applicable law. In the event that you
are required to work for more than 48 hours in a week, you shall be informed of the same by your
immediate supervisor.
You represent and warrant to the Company that you are under no obligations or commitments,
whether contractual or otherwise, that are materially inconsistent with your obligations under this
Agreement. In connection with your Employment, you shall not use or disclose any trade secrets or
other proprietary information or intellectual property in which you or any other person has any right,
title or interest and your Employment will not infringe or violate the rights of any other person. You
represent and warrant to the Company that you have returned all property and confidential
information belonging to any prior employer, other than confidential information that has become
generally known to the public or within the relevant trade industry.

You shall serve the Company in India in connection with the business either of the Company or one
of the Associated Companies as the Company may at any time or from time to time direct.
(“Associated Companies” shall mean and include any and every Company in which at least 25% in
the aggregate of the Ordinary Share Capital is for the time being held by or in the beneficial
ownership of the Company and/or any of its associated companies)

You shall not have any claim whatever against the Company or any of its Associated Companies for
any extra service, unless for such payment (if any) as may have been expressly agreed to in writing
prior to such services being rendered.

During the employment period, you are required to travel or stay outside your location specified
above, you shall be entitled to reimbursement of reasonable expenses as per the travel policy of the
Company, applicable from time to time.

You shall not, during the continuance of this engagement, be engaged, concerned, or interested
directly or indirectly, in any other occupation, business or employment whatever without the previous
consent in writing of the Company, but shall devote your time, attention and abilities exclusively to
the performance of your duties hereunder and shall in all respects obey and conform to the
Company‟s orders and regulations, and well and faithfully serve the Company, and use best
endeavors to promote the interests hereof, and of the business in which you shall for the time being
be engaged. During such time as you may be engaged in connection with the business of any of the
Associated Companies you shall at all times readily conform to obey and execute all lawful orders
which may be issued to you by such Associated Company.

You shall not, unless directed by the company, either during the continuance of this engagement or
thereafter disclose, divulge, or communicate to any person or persons whatsoever any information of
a secret or confidential character relating to the trade or business of the Company or of the
Associated Companies or to the strategies, plans, methods, process, appliances, machinery or plant
used by them, or by any of them or to any activities or experiments made by them, or any of them, or
by any persons in their employ, or relating to the prices paid or charged by, or the customers or
suppliers of the Company or its Associated Companies.

All Intellectual Property rights in any work or material developed/co developed/conceptualized


directly or indirectly by you during the course of your employment shall be considered „Works made
for Hire‟ under the Intellectual Property laws and shall belong to and be the property of the Company
and you confirm and accept that you shall not be entitled to claim any rights over any such
Intellectual Property. If required by the Company, during or after the Employment Period, you shall
assign and transfer in favour of the Company or, at the request of the Company, in favour of any of
its subsidiary, affiliate or customers, all Intellectual Property rights in such works or materials and
shall execute such deeds and documents, as the Company may require, to effectually vest in the
Company, any of its subsidiary, affiliate or customers as the Company may require, any and all
Intellectual Property rights and benefits in such works or materials. In performance of your duties and
responsibilities you shall not use or infringe any intellectual Property or rights of the Company or of
any other third party/s.
You shall, at the request and cost of the Company, take all necessary steps to procure the granting
of Letters of Patent in India and similar protection abroad in the Joint names of the Company and
yourself in respect of such invention, and upon such Letters of Patent and/or similar protection being
granted, shall, at the request and cost of the Company, execute all assignments, licenses, and other
documents required by the Company to deal with the said Letters of Patent and/or similar protection
in such manner as the Company may think fit. Should the Company so desire the said invention shall
not be made the subject of Letters of Patent or similar protection, but shall be worked by the
Company, and all or any of its Associated Companies as a secret process, and in such case you
undertake not to disclose, divulge or communicate any information relating to such invention to any
other person or persons whatsoever.

All the provisions hereinbefore contained regarding any invention or patent shall apply to any design
which during the continuance of this Agreement, you shall become entitled to register, the
registration thereof being deemed to be equivalent to the grant of Letters of Patent, and any other
necessary changes being made.

If at any time hereafter it shall be agreed between the Company and yourself that an alteration shall
be made in your salary, duties or place of employment, such alteration shall not affect the other
terms of this Agreement, except as may be expressly agreed on.

You shall not do or indulge in any of the following, without the prior written consent of the Company:

(a) Compete: During the Employment Period and for a period of at least 6(Six) months after the
Employment Period, you shall not directly or indirectly carry on, assist, engage in, be concerned or
participate in any business/activity (whether directly or indirectly, as a partner, shareholder, principal,
agent, director, affiliate, employee, consultant or in any other capacity or manner whatsoever) which
is similar to the business of the Company nor engage in any activity that conflicts with your
obligations to the Company;

(b) Solicit Business: During the Employment Period and for a period of at least two (2) years
after the Employment Period, you shall not solicit, endeavor to solicit, influence or attempt to
influence any client, existing or prospective customers or other person, directly or indirectly, to
purchase his product in lieu of Company‟s products and/or services, to any person, firm, corporation,
institution or other entity in competition with the business of the Company;

(c) Solicit Personnel: During the Employment Period and for a period of at least two (2) years
after the Employment Period, you shall not solicit or attempt to influence any person employed or
engaged by the Company (whether as an employee, consultant, advisor or in any other manner) to
terminate or otherwise cease such employment or engagement with the Company or become the
employee of or directly or indirectly offer services in any form or manner to himself or any person or
entity which is a competitor of the Company.

You acknowledge and agree that the compensation stated in Annexure I of this appointment letter is
sufficient consideration for you to agree to non-compete and non-solicitation

You will not borrow or accept any money, gift, reward or compensation for your personal gains from
or otherwise place yourself under pecuniary obligation to any person/client with whom, you may be
having official dealings.

You acknowledge and agree that violation of the covenants and obligations with respect to non-
compete and non-solicitation as set forth above will cause the Company, irreparable injury.
Therefore, you agree that the Company shall be entitled to an interim injunction, restraining order or
such other equitable relief as a court of competent jurisdiction may deem necessary or appropriate to
restrain you from committing any violation of the covenants and obligations. These injunctive
remedies are cumulative and are in addition to any other rights and remedies that the Company may
have against you as provided under laws.

If you are at any time be guilty of misconduct, commit any breach of this Agreement, or refuse or
willfully neglect to perform to the satisfaction of the Company or any of the Associated Companies in
connection with whose business you may be engaged all or any of the duties devolving upon you
under this Agreement, the Company may at once, without any previous notice, terminate your
appointment. Unless in case of earlier termination of this appointment due to a plausible cause, you
shall retire on your 60th birthday or the day immediately preceding such date, if your birthday does
not fall on a working day.

You will have access to the employee portal which will have Company‟s Code of Business principles,
Privacy Policy Guide, IT Usage Policy, Safety and Environment policy and other policies of the
company. We request you to go through the same and understand them. You will be required to
abide by the principles set out in the document, breach of which, can have serious consequences
including dismissal from service.

This Agreement and all of your rights and obligations hereunder are personal to you and may not be
transferred or assigned by you at any time. The Company may assign its rights under this agreement
to any entity that assumes the Company's obligations hereunder in connection with any sale or
transfer of all or a substantial portion of the Company's assets to such entity.

No provision of this Agreement shall be modified, waived or discharged unless the modification,
waiver or discharge is agreed to in writing and signed by you and by an authorized officer of the
Company (other than you). No waiver by either party of any breach of, or of compliance with, any
condition or provision of this Agreement by the other party shall be considered a waiver of any other
condition or provision or of the same condition or provision at another time.

If you agree to these terms and conditions, may we request you to sign the copy of this letter in token
of your acceptance.

personal belongings from Mumbai to Bangalore. This includes movement of one vehicle from place
of relocation to location.

The above amount will be reimbursed upon submission of the original bills.
Temporary Housing/Accommodation

Company arranged Hotel / Guest House / Service Apartment, with Breakfast provided, starting one
day prior to date of joining for 15 days. This applies to Self, Spouse & Children.

If you choose to leave the organization with in 1 year from the time of joining, all the expenses above
will be recovered in full. This includes the travel expenses, expense towards moving goods and the
expenses towards initial days of accommodation in the guest house/hotel.

Commencement/Term:

 You shall be required to join our Bank on 01-Jun-2016.


 You will be on probation for a period of one year or such extended period as may be
decided by the Bank based on your performance during the probation period.
 On satisfactory completion of your probation period, including that of extended period, if
any, you will be confirmed in the services of the Bank in writing.

Other Terms and Conditions of Service:

 Professional Ethics & Confidentiality: While you are in the services of the Bank, you are
not permitted to carry on any business or profession or enter, for any part of your time,
in any capacity, the services of, or be employed by or engaged with any other firm,
company or person. You will devote your whole time and attention to your office work to
promote the interest of the Bank. You will not divulge details like your compensation
structure (CTC), performance rating, performance bonus amount, increment, etc. and will
not divulge to any person or utilize any of the Bank’s secrets or other related information
(which you may possess by reason of your association with the Bank) with any external
agencies, press etc. outside the Bank. Any act in breach of this term would entail
initiation of appropriate action as deemed fit by the Bank.

 IT Security Practice & Procedures: While you are in the services of the Bank, you will
adhere to the IT Security Practice & Procedures as prescribed by ICICI Bank. Any
instance/s of violation or any attempted violation of the aforesaid IT Security Practices
and Procedures on your part shall result in disciplinary action.

 Notice Period: In case you decide to leave the Bank's services during probation period,
you will be required to give forty five days' notice. The Bank in its sole discretion can
decide to waive off/reduce the notice period depending upon the exigencies. In such
case, you would be required to pay to the Bank the gross salary for the notice period so
reduced/waived off.
In case you decide to leave the Bank's services after confirmation, you will be required to
give ninety days' notice. The Bank in its sole discretion can decide to waive off/reduce
the notice period depending upon the exigencies. In such case, you would be required to
pay to the Bank the gross salary for the notice period so reduced/waived off.
After confirmation, your services would be liable to be terminated by the Bank, by giving
ninety days' notice or on payment of ninety days' gross salary in lieu of the notice period.

 Transfer: The Bank shall have the right to transfer you to any of its offices or ICICI group
companies in India and abroad.

 Joining Competitor: In the event of termination of your services by the Bank or your
resignation from the services of the Bank, you shall not join any Banking or Financial
Services Company for a period of six months from the date of resignation/termination.

 Please note that during the course of your services with the Bank or in the event of
cessation of your services in future, due to any reason whatsoever, you shall, for a
period of six months from the date of such cessation, directly or indirectly, either on your
own accord or on behalf or in conjunction with any other person/s, firm or company
refrain/desist from canvassing or soliciting or attempting to or inducing any
employee(s)/business associate(s) to leave their current employment with the
Bank/Group Companies/Business Partners to join the services of your new
employer/firm/company or any other competitor of the Bank/Group Companies/Business
Partners. Any act in contravention of the above provision shall entail initiation of
appropriate action as deemed fit by the Bank.
 Please note that during the course of your services with the Bank you cannot be a
member of any anti-social/national outfits or of any outfit which is declared as banned by
the Government. Any act in breach of this term would entail initiation of appropriate
action as deemed fit by the Bank.

 Please note that while joining the services of the Bank and during the course of your
services with the Bank, you would be required to notify the Bank immediately with
details of civil or criminal case/s instituted against you in any Court of Law or any
complaint/show cause notice /prosecution with/by any Police Station or by any statutory
authority, as also you will notify any outcome of such complaint like filing of Chargesheet
/Arrest/Conviction/Acquittal/Discharge. Any act in breach of this term would entail
initiation of appropriate action as deemed fit by the Bank.

 The Bank expects resolution of issue/s relating to your employment, if any, within the
framework internally, at all times during your service period and even after cessation of
service due to any reason whatsoever. As such please note that any attempt to bring any
outside influence - directly or indirectly - upon any authority to further your interest/s in
respect of matters pertaining to your services with the Bank would amount to breach of
employment contract leading to initiation of appropriate action.

 Please note that during the course of your services with the Bank, you will not take part
in any demonstration/agitation against the Bank and its official/s for or on behalf of any
external bodies/political outfits- either as a member or as a sympathizer. Any act in
contravention of the above would be treated as prejudicial to the interest and reputation
of the Bank leading to initiation of appropriate action.

 Termination of Employment: Your services with the Bank are liable to be terminated:
 Without assigning any reason and without giving any notice during probation period
 At any time during your services with the Bank in the event of
 Any breach of the conditions mentioned in this letter on your part
 Any incorrect information furnished by you like:
 Mismatch in your previous employment data even for a day
 Mismatch in your previous pay slip

Remuneration:

 Your Base Salary will be Rs. 300,000/- (Rupees Three Lakhs only) per annum.

 You will eligible for the Performance Linked Retention Pay, as per the policy of the Bank.
Please note that there is no minimum guaranteed payout amount of the Performance
Linked Retention Pay, and it will vary from time to time as decided by ICICI Bank.

Supplementary Allowances:

 You will be eligible for a Supplementary Allowance of Rs. 645,000/- (Rupees Six Lakhs
Fourty Five Thousand only) per annum. Supplementary allowance will include – HRA,
Additional HRA, Conveyance / Travel Allowance, Telephone Reimbursement, LTA,
Medical Reimbursement, Canteen and any other allowance. All the components of
supplementary allowance are subject to limits and rules prescribed by Income tax act
and policies of the bank.

 The composition of supplementary allowance can be decided once in a year. The


unexercised amount of the supplementary allowance will be paid to the employee
subject to deduction of tax at source.

Superannuation Allowances:

 You will be eligible for a Superannuation Allowance of Rs. 45,000/- (Rupees Fourty Five
Thousand only) per annum.

Benefits:

 Comprehensive Mediclaim Coverage for you and your immediate family up to


Rs.400,000/-(Rupees Four Lakh only) per annum. Your immediate family includes
yourself, your spouse and dependent children.

 You will also be eligible for Retirement Benefits of the Bank; namely Provident Fund and
Gratuity, in accordance with the statutory requirements and/or, as per Bank policy.

 The salary and perquisites including supplementary allowance are subject to limits and
rules prescribed by the Income Tax Act / Rules and policies of the Company.

 You being active and not serving notice as on the dates of 1st and 2nd year payments
 Your performance being satisfactory
 You not having breached any rules and regulations of ICICI Bank, applicable to you
from time to time
 You not having any ongoing disciplinary or misconduct-related investigation against

Loan Scheme
You will be eligible for Rs. 500,000 (Rupees Five Lakh only) of education loan at the interest
rate of 2.5% per annum. The following terms and conditions will be applicable.

Terms and conditions:

1. Sanction of loan will be at the sole discretion of the Management.

2. The tenure of repayment is 5 years. The monthly installment and interest will be
recovered from monthly salary.

3. The entire loan outstanding will have to be repaid at the cessation of service.

4. Interest rate @ 15% p.a. will be levied in case the employee leaves the services of the
Bank before completion of 3 years of services from the date of joining. The 3-year
service period would also include probation period.

5. In case of separation from bank’s services, employee should settle full outstanding
staff loans before the last working day. In case of delay in loan repayment under
exceptional circumstances, either on account of being taken over by the new
employer/bank/financial institution or on account of being paid out of retiral
accumulation, commercial interest @ 24% p.a. will be charged from last working day
till the date of repayment.

6. All new loans will require the beneficiary to provide a “guarantor” who would
underwrite the loan in case of default. The employee and the guarantor need to
complete the process of signing the ‘Guarantee and Indemnity’ form and also provide
adequate income proof of Guarantor. Personal guarantor cannot be an existing
employee of the Bank.

7. All loan disbursements shall be subject to the Bank fulfilling its requirement of
obtaining critical information like PAN details, proof of permanent residential address,
and copy of driving license and/or passport details.
