The Retail and E- Commerce Club (“REC”), a part of Graduate Student Body (“GSB”), at
ISB is conducting an e-commerce competition where participating students will be selling
products on the EGuerra E-Commerce platform (“Platform”) to the participating buyers. The
REC Club is pleased to award this rate contract to you for supply of your products to the
interested buyers as per the details and rates specified in Schedule A. Below are the terms and
conditions applicable:

Delivery:
1. The Goods, more specifically described in Schedule – A, shall be shipped by the
Consignor directly to the customers in accordance with the customer details (address,
phone number) provided to the vendor.

2. The Consignor shall be responsible to deliver the Goods to the customers and shall
bear all costs, responsibility, and management to make such delivery

3. The Consignor shall ensure that goods are dispatched within 24 hours of placement of
order by customers on the E-Guerra website

4. Goods must be adequately and safely packed by the Consignor. Goods contained in
the package must be adequately protected from damage which may be caused during
the normal course of rough road transport and to prevent entry of dust and moisture.

5. Any damage or tear in transit due to faulty packing will be the responsibility of
Consignor and all costs in the regard shall be borne by the Consignor. The Consignor
shall be bound to exchange the damaged goods, in a reasonable time frame, on an
instruction provided by the Consignee or the customer within 7 days from the date of
receipt of the goods.

Product & Rates: As per details in Schedule A

Quantity: As per order that would be placed by the participating buyers on the Platform.

GST: As per applicable rates included in the price as per Schedule A. You shall comply will
all the
application GST provisions as applicable on sale of product to the participant buyer.
Payment and Invoicing:
1. The Consignor shall issue an invoice to the customer for an amount the purchase is
made for by the customer.
2. The payment for the invoice shall be transferred by the customer to the Consignee’s
account who in further will transmit the payment to the Consignor.
3. The price for the product quoted by Consignor shall be the final price which shall
include the cost of the product, packaging charges, shipping charges, applicable taxes,
and the commission to be paid to the consignee.
4. The Consignee shall be liable to transfer the price (specified in Schedule A) to the
consignor minus the
i. 6% commission charges of the Consignee inclusive but not limited to all
listing fees and marketing fees (“Commission”)
ii. Standard payment gateway charges on the full and final settlement payable to
the Consignor (post adjusting the Commission)
5. The prices mentioned in this Memorandum of Understanding are fixed and will not
change unless specifically agreed to by the Consignee in writing.
6. The final payment for Goods sold shall be made electronically on or before
31/10/2022 in the following account:

The REC Club and GSB are student bodies at Indian School of Business and this transaction
is for student learning competition. Hence this transaction has no commercial value to REC
Club.

This is an independent student learning initiative of REC Club and does not create any
obligation between you and ISB.
