CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Instrument is executed by and between:

ROSALIE MUŃEZ y Latoza, of legal age, widow, Filipino, and a resident of


Brgy. Cudangdang, E. B. Magalona, Negros Occidental, Philippines (hereinafter referred
to as the “VENDOR”);

-and-

NENA MAJAN y Arco, of legal age, Filipino, married, and a resident of Brgy.
Cudangdang, E.B. Magalona, Negros Occidental, Philippines (hereinafter referred to as
the “VENDEE”);

WITNESSETH that:

WHEREAS, the VENDOR is the registered co-owner, alongside with her


husband GENEROSO MUŃEZ, of a certain parcel of land with improvements situated
in Hda. Lani, Brgy. Tanza (now Brgy. Cudangdang), Municipality of E.B. Magalona,
Negros Occidental, Philippines, covered by TCT No. T-182101, more particularly
described as follows:

Containing an area of SIX HUNDRED THIRTY-SIX (636) SQUARE METERS

WHEREAS, GENEROSO MUŃEZ passed away on March 3, 2021 leaving the


Vendor as his sole heir, their marriage having no issue.

WHEREAS, the VENDOR desires to sell the aforementioned lot with


improvements to the VENDEE, and the VENDEE agrees to buy the same.

WHEREFORE, the parties hereby agree on this Contract to Sell on the


following agreed conditions and payment scheme:

1. The total contract price shall be TWO HUNDRED THOUSAND PESOS (Php
200,000.00), Philippine currency, more or less, payable as follows:

a. The amount of SEVENTY THOUSAND (Php 70,000.00), Philippine


currency, was already paid and duly received by the VENDOR;

b. The remaining balance of ONE HUNDRED THIRTY THOUSAND


PESOS (Php 130,000.00), Philippine currency, shall be paid in
twenty- four (24) equal monthly installments or FIVE THOUSAND FOUR
HUNDRED SIXTEEN PESOS (P 5,416.00) per month starting on October
15, 2022 and every 15th day of the following months thereafter until fully
paid.

2. Considering that the subject parcel of land has still remaining amortizations with
the Land Bank of the Philippines, it being covered by Agrarian Reform Program,
the VENDEE hereby undertakes to fully settle the same on behalf of the
VENDOR;

3. The VENDEE shall be responsible in updating the payment of land taxes;

4. The VENDOR likewise, by this instrument authorize the VENDEE, or any of her
authorized representative(s), to represent before the Land Bank of the
Philippines and the Department of Agrarian Reform for the transfer of title in the
VENDEE’s name upon full payment of the price hereof. Authority is also given to
the VENDEE to represent the VENDOR before the BIR, Register of Deeds, Land
Tax and Municipal Assessor’s Office of the Municipality of E.B. Magalona, and
other government agencies or instrumentalities for purposes of the transfer of
registration and ownership of the subject property;

5. The VENDEE shall shoulder the payment of the capital gains tax, documentary
stamp tax, notarial fees, transfer taxes, registration fees, and all other
miscellaneous fees and expenses to transfer the certificate of title under the name
of the VENDEE;

6. The VENDOR also agrees to execute an Absolute Deed of Sale upon the full
payment of the purchase price, and provide necessary documents for the
processing of the transfer of title under the name of the VENDEE;

7. In case the termination or discontinuation of the sale is at the instance of the


VENDEE, all costs expenses, fees or taxes made or paid by the VENDEE shall be
borne by him and shall not be subject for reimbursement by the VENDOR;

WHEREAS, this Agreement shall be valid and binding not only on the parties
represented herein but also on their heirs, agents, representatives, successors and
assigns.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures

This Instrument consists of only three (3) pages, including this page in which this
acknowledgement is written, duly signed by the parties and is instrumental witnesses on
each and every page hereof.
