Subject: Parent Company Guarantee Letter

Dear Mr. Villaronte,

With regard to the foregoing, Greenzone Investment Group Inc., parent company of
MMSC Services Corp guarantees the due observance and timely execution of all
obligations, duties, undertakings, covenants, and conditions included therein and
which guarantee shall extend to include any variation or addition to the Three (3)
Year Contract for Customer Meter Reading and Billing System of Manila Water
Enterprise.

Thus, any failure to carry out, observe, or execute any of the aforementioned
responsibilities, duties, undertakings, covenants, and conditions under the Contract,
Greenzone Investment Group Inc. shall be liable for and shall indemnify MMSC
Services Corporation against all losses, damages, costs, and expenditures of any
kind that the latter may incur. All notices, demands, requests, and other
communications made pursuant to this Guaranty shall be assumed to have been
lawfully provided to the Contractor and shall not be changed, altered, or waived
until in a document signed by the Parties.

Therefore, this Guarantee Letter shall be conterminous with and remain in effect
until all of the existing and future obligations, responsibilities, duties, undertakings,
covenants, conditions, and guarantees of the Contractor herein have been fully
and completely performed by the Contractor.
