The Owner has engaged the Contractor for the provision of operation and rmainienance services for the Owner's WIGS, and the Contractor has agreed {0 provide such services, for a period of Five (O5)years (“Original Term”) D. As per Clause 19.7 of the Original Agreement, the Owner and the Contractor ‘agree fo renew Ihe Original Agreement on the terms and conditions hereinafier cppearing . we will provide HTTechnicion in wind season day time only. NOW THIS AGREEMENT TO RENEW THE OPERATION AND MAINTENACE SERVICES \WIINESSETH AS UNDER. 1. The Contractor hereby proposes, and the Owner accepls such renewal of the ‘Operation and Maintenance of the WIGS fora further period of Five (08) years (Term”), commencing from 17" March, 2022 and shall be vata fil 16 March, 2027. 2. The Owner shall pay fo the Contracter an amount of Rs. 31,60,000 /- (Rupees Thity One Lakh Sidy Thousand Only) per WIG per annum as "O&M Service Fee" duzing the fist year of the Renewal Period. This Agreement along with Original Agreement constitutes the entre ‘agreement between the Partias in relation fois subject matter and supersedes {ll prior memoranda of understanding /letlersefintent / meetings and minutes thereof / post conespondence / letiers executed / exchanged / verbal communication belween the Parties herelo in respec! of the subject matter of this Agreement. 5. The following clause shall be added os Clause 18.1 in the O8M Agreement ithout prejudice fo any other rights. remedies or defenses under the Contract either Party may have and notwithstanding the fact that the outbreak of the 2019 Novel Coronavirus ("2019-nCo¥" or *COVID-19") was known to both Parties prier to the Etfective Date, the Parties agree that the epidemic/ pandemic “COVIO-19" and any related quarantine, restrictions of movernent, emergency response measures and/or any actions of any Governmental Authority or thi) parly in connection with the ‘epidemic/pandemic is and shall be a Force Majeure Event for the purpose of this Agreernent.”IN WITNESS WHEREOF. tne Parties have caused this Agreement to be executed by their duly their duly authorised representatives on the day, the month and the year fist herein above written.
