later on, was approved & enlisted by NBR.

In course of time the software has been enlightened by Bangladesh VAT Professionals’ Forum (VAT
FORUM) through adapting time to time changes in VAT & SD Act 2012 and also by adding best
practices to ease the operation of the software by the users.

Bangladesh VAT Professionals’ Forum (VAT Forum): AT A GLANCE


Founded in 2010 and registered in 2014 under the Societies Registration Act, 1860, VAT Forum has
now about 1,031 Members who are junior, mid and senior level functionaries mostly in the private
sector in the areas of VAT, income tax, accounting, procurement, audit, post-audit, supply chain,
human resources, legal affairs etc. The Members include Barristers, FCAs, FCMAs CFOs, government
officials, NBR certified VAT Consultants, VAT Agents etc.

The VAT Forum runs VAT training courses, a major of them is 25 sessions (75 hours) training course
titled Standard Course on Value Added Tax. Moreover, International VAT Training Institute (IVTI)
which is affiliated with Bangladesh Technical Education Board (BTEB) is an associate organization of
VAT Forum. IVTI runs 6 months long Practical VAT Management course at VAT Forum premises.

VAT Forum has a wide range of publications; an important of them is Budget Proposals which is
published before budget of each year. Many of the budget proposals given by VAT Forum has been
accepted by the National Board of Revenue (NBR) during the last couple of years.

The Members of VAT Forum are now working across the country in most of the businesses and
industries. VAT Forum aims at establishing a standard VAT system in Bangladesh to generate enough
domestic resources for financing projects to implement Vision 2041 thus turning the country a
developed one.

The government has made it mandatory for the VAT registered entities having Taka 5 crore or above
yearly turnover to maintain VAT accounts by VAT software approved by NBR. VAT Forum, being a
leading functionary in the area of VAT in the country has developed a VAT software in association
with Best Business Bond Ltd (3BL) which is a leading NBR-approved VAT software.

3BL has built its success around the development of a core product called Troyee-Business
Solutionware which encompasses innovative solutions in Financial Accounting, Inventory
Management, Business Analysis and Decision Support Systems. Today, the company has emerged in
the forefront in the development of Business Accounting solutions with an established support
service system spanning all over the country with a clientele of more than 6000 (Six Thousand).
Other than Troyee-Accounting-Inventory package software, 3BL also deals with all sorts of
customized software.

Readiness of the application, Installation and configuration


The software has been developed as off-the-shelf software according to VAT & SD-Act 2012 and
other strict guidelines from NBR. This is applicable for Manufacturing, Trading and Service providing
businesses. The software has also options for creating multiple branches under main company to
perform branch-wise transactions to have BRANCH-wise VAT forms & other reports.
As per directives from NBR, we are committed to accommodate time to time changes of acts/rules
in the software those would be adapt by NBR.
Installation/company setup may be initiated at any time & it takes take 2-3 hours if required
hardware and OS are in place. Configuration of the software is done as per transaction needs during
implementation & training period (5-6 sessions & each session are of 2-3 hours).
Master data input or import and reporting
Master data of Customer, Supplier (with BIN number), Item (with HS code) etc. may be inserted by
direct entry in the software or may be import from MS-Excel (Format defined as per VAT software
field structure).
Once all are set, only regular transactions automatically create all sorts of reports including forms
(Mushaks) and VAT Return (Mushak-9.1) along with all relevant sub-forms.
All required reporting as per guideline of NBR are built-in. In addition, some MIS reports are
included for better monitoring.
Data export from VAT software to Excel, PDF and other available format
Data export as report format to MS-Excel, PDF & other formats are available as built-in facility in
the Software. In case of need of something else, will need to have detail discussion.

Detail Terms & Conditions

01. Confidential Statement


We request that no part of this document be reproduced by any means or transmitted without the
written permission of Bangladesh VAT Professionals’ Forum. This information is considered
privileged and confidential, and its release would offer substantial benefit to competitors offering
similar services. This document includes descriptions of methodologies and concepts derived
through substantial research and development efforts. Therefore, it is the position of Bangladesh
VAT Professionals’ Forum that the use or release of the information contained in this document
other than an evaluation of its contents as a basis for contract award is prohibited, and materials
herein are not considered subject to release.

02. Executive Summary


Your company aimed to automate activities of VAT operations and the solution would be compatible
with the norms of NBR declared in the SRO-14/Mushak/2018; Date: September 11, 2018.

04. Delivery of Software


If ready version of the software covers all the needs of business operations, it may be supplied &
deployed in local server within 1/2 days after receiving the work order subject to readiness of
required hardware for local server loaded with necessary operating systems, database engine and
web server.
If it require to develop some additional issues in the core solution, delivery would be made after
development of the same within 1 (One) month (max.) after receiving the work order. However,
VAT FORUM will make all possible endeavors to complete the assignment earlier.

05. Training
VAT FORUM Team will conduct Online or Onsite training or combine of both Onsite & Online
training arrangements for the users for 3-4 sessions; this may be Individual or Group training and
each session of 2/3 hrs. as per prescribed training outline.
Further online training may be arranged with mutual discussion in case of change of users or
attaining more expertise by the existing users. Onsite training &implementation program is usually
arranged as crash-program for 1/2 day(s).

Training arrangement at Out Station: Onsite training program at outside Dhaka (Out Station) is
usually arranged as crash-program for 1/2 day(s).

The time frame may be extended for further training with mutual discussion until the users be
familiar.
06. Assistance for Software Implementation
After installation of the software, VAT FORUM Team will assist in implementation of the software
during each training sessions. Time frame of software implementation completely will depend on
your team. Your team will have to make entries or import from MS-Excel preliminary information of
supplier and customer details, item detail, input-output co-efficient etc. Then, final entries can be
started. As all relevant reports & Mushaks are built-in in the software, will generate automatically.

07. Cost for Required Software License & other services

for Two to Five Users for single BIN and excludes-cost of database engine, operating
systems, hardware-networking components or setup and any kind of data entry, Tax/VAT
(if any). This price also excludes cost for additional works those may come up other than
above works.

08. Mode of Payment: 70% (Seventy Percent) of the total cost should be paid along with work
order and 30% (Thirty Percent) should be paid after completion of training & Implementation.
All payments should be made in favor of the Best Business Bond Ltd. only.

09. Maintenance, Support Service &Software License Renewal Cost


After one month (from the date of software implementation and data entry) maintenance, support
service & software license renewal cost monthly would be TK. 5,000.00 (Taka Five Thousand only)
for EACH Company/Each BIN; excluding-TAX/VAT (if any) and payable monthly or quarterly.

NOTE-1: For EACH BIN, standard Troyee-VMS Software have facilities of 2-5 users and LAN/WAN
connectivitity in between HEAD-Office & one Factory/Warehose. In case of need of additional users or
branches/warehouses/sales centers/factory locations etc. it would incur additional cost as per
requirements.

NOTE-2: Maintenance, support service & software license renewal cost for additional Branches/
Warehouses/Sales Centers/Factory Locations etc. will also vary depending on number of
Branches/Warehouses/Sales Centers/Factory Locations etc.

NOTE-3: Training & Implementation arrangement at Ex-Head-Office Location (within a day trip):
It would require to arrange transport or bear cost for traveling, local conveyance, food etc. AS AT
ACTUAL and an Ex-HQ service cost Tk. 5,000/= for each of the required days.

NOTE-4: Training & Implementation arrangement at Out Station Location (Require Night Stay):
This is usually arranged as crash-program for 1/2 day(s). For this, it would require to arrange transport or
bear cost for traveling, local conveyance, accommodation, food etc. for the respective days AS AT
ACTUAL and an outstation cost Tk. 10,000/= per day would be charged for the respective days.

NOTE-5: Additional requirements for Training & Implementation assistance in case of change of users or
attaining more expertise by the existing users: This may be arranged on per day basis payment modality
(each day of 3-4 hrs).

For Online assistance, it would cost Tk. 3,000/= per day.


For Onsite assistance at Ex-Head-Office Location, it would cost Tk. 5,000/= per day PLUS cost for
traveling, local conveyance, food etc. AS AT ACTUAL and at Out Station Location, it would cost Tk.
10,000/= per day PLUS cost for traveling, local conveyance, accommodation, food etc. for the respective
days AS AT ACTUAL.
Assistance for import of backlog data & scrutiny of mismatches: This may be arranged on per day basis
payment modality. It would be only Online assistance and would cost Tk. 5,000/= per day (each day of 3-
4 hrs).

10. Terms of Maintenance, Support Services


Depending on the situation of price-hike in HR & others in every year, the cost may vary time to
time and may be settled every year on mutual discussion.
This Service Level Agreement would provide guarantee for the servicing of Minor, Medium, Severe
and Fatal errors of operations(Detail terms of services are furnished in separate SLA)of the supplied
solution and renewal of the software license. The End User shall maintain and operate the software
as per the general norms and rules of safe operation. The End User should also ensure that all
preventive measures are undertaken as laid down or communicated to them from time to time. The
support will be provided between 09:00 hours to 18:00 hours on working days.
Support issues (if any) after office hours or in weekends or in Govt. holidays are also addressed
on special arrangements.
Support service would be provided by the way of Telephone, E-mail, Internet (Desktop sharing) etc.
at the recorded & registered site(s) of the End User. Site support would only be resorted when all
other means of correction and/or solution do not work.
Guaranteed Response and Resolution Times
Support issues raised by the customer would be addressed in a timely fashion maintaining standard
respond & resolve durations.
Response times
The response time would be measured by how long it takes by VAT FORUM to respond to a support
request raised by the customer. This may be in the form of an email or telephone call, to either
provide a solution or request further information. Guaranteed response times would depend on the

Resolution times
The resolution time would be measured how long it takes by VAT FORUM to resolve or fix an issue
raised by the customer.

Guaranteed resolution times only apply when operations are affected by the most serious issues. In
other situations, VAT FORUM shall make best effort to resolve the issue as soon as possible.

Severity levels
The severity levels shown in the tables above are defined as follows:
 Fatal: Complete degradation—all users and critical functions affected. Operations completely
unavailable.
 Severe: Significant degradation—large number of users or critical functions affected.
Operations partly available.
 Medium: Limited degradation—limited number of users or functions affected. Operations can
continue.
 Minor: Small degradation—few users or one user affected. Operations can continue.
These support service contracts do not cover—
 Data entry of any sort and manner by our personnel
 After prescribed training sessions, further training or re-training to be given by our personnel
 Services arising directly or indirectly out of hardware problems or any incompatibility or
complication arising from hardware/network malfunction or a virus attack etc. or end user’s
mishandling of the application or mismatch in data/reports due to wrong data inputs which are
not directly related with the software.
11 11. Data Entry/Work Process Management & Report Generation
Data Entry and Work Process Management responsibilities will remain to your personnel. Based on
actual data entered in the software, standard report will generate automatically and this may by
checked by your personnel with the assistance of VAT FORUM implementation team.

12. Change Management at Entry Level &Report Customization

Feasibility of all Change Requests (CR) from your end for entry level or report customization will be
evaluated by the development team of the software. If the CR complies with the rules of NBR, as
per their findings, VAT FORUM will approach to your company for technical and commercial
approval.

13. Warranty
We guarantee that this Software will function considerably in conformity with the recommended
and available hardware components free from defects in workmanship under normal use and
service. We also assure time to time adaptation of change in rules (if any) by the NBR authority in
the same platform. Major change in software platform or other tools &technology by your company
or recommendation for the same by the NBR authority will not cover these guarantees. However, if
any problem observed, we shall undertake to correct the same as per terms of SLA. Malfunctions
due to misuse of the software or wrong reports due to incorrect entry from conceptual lacking shall
not be deemed as defects of the software.

14. Software Source Code & Rights of License Use


The Software Product is protected by copyright laws and international copyright treaties, as well as
other intellectual property laws and treaties; the software product is licensed, not sold. So, the
source code of the software is the sole property of Best Business Bond Ltd. (3BL).
VAT FORUM permits your company the right of use of the delivered licensed software, hereinafter
called the Troyee VAT FORUM VAT Management Software in local server for simultaneous use by the
registered users. The Licensee shall not be allowed to use the Software for anyone other than the
registered users.

15. Liability/Accountability
VAT FORUM under no circumstance shall be liable for any damages whatsoever (including loss of
business profit, business interruption, loss of business information, or any other monetary or non-
monetary loss) arising out of the user or the inability to use this Software, even if the possibility of
such damages has been advised by VAT FORUM.

16. Norms of Software Usage as per guide line of NBR Authority


You/your team must use the software as per ‘operations guide line’ circulated by the NBR authority.
In order to adapt and follow the said ‘operations guide line’, you/your team may seek assistance
from VAT FORUM and VAT FORUM team will render their full cooperation. Complete liability of not
adapting or not following ‘operations guide line’ of NBR will be of your company.

17. Norms of Maintaining Secured Data Backup as per guide line of NBR Authority
You/your team must keep & maintain data backup file secure as per ‘operations guide line’
circulated by the NBR authority. In order to ensure secured data backup you/your team may seek
assistance from VAT FORUM and VAT FORUM team will render their full cooperation. Complete
liability of not adapting or not following secure data backup process will be of your company.

18. Arbitration
In the event of any dispute whatsoever arising between the parties in any way connected with the
interpretation or implementation of any term of this agreement, or in any way connected with the
use or inability to use the Software, shall be settled by the parties hereto in an amicable way and in
the spirit of their collaboration so that it may be fair to both parties hereto, in the case of lack of
amicable settlement, all dispute shall be referred to and settled by Arbitration in accordance with
the arbitration act 2001. The determination of the arbitration panel shall be final, binding and
conclusive upon the parties hereto. The arbitration proceedings shall always be held in the city of
Dhaka, Bangladesh. Moreover, this agreement shall be governed by and constituted in accordance
with the laws of Bangladesh, and shall be subject to the exclusive jurisdiction of the courts of
Bangladesh.

19. Termination
Either party may terminate this agreement by giving three months’ notice in writing of its intention
to do so and on the expiration of such notice this agreement shall be determined. Termination of
this agreement will automatically void the Service Level Agreement (SLA) that was made separately.

20. Risks & Contingency


Unwillingness to Business Process Reengineering (BPR): Success of software solution may calls for
BPR at different function areas. It requires sacrifice in the organization at all levels for a few
months. Most organizations lose long-term perspective and patience on account of their short-term
outlook.

Reluctant to take implementation load: Implementation of software requires an extra start up


effort. Due priority is not being given by the operational people to this extra task, which in turn
make the project delayed and incurring additional tangible and intangible costs. Top management
parental support and strong monitoring is an essential part to the success.
Resistance from user to adapt new system : As per normal human psychology, particularly in our
culture, operational people do resist any changes. To make it success strict instruction from the
management needs to be communicated to the operational people. Best practice would be to
involve the operational people in every possible stages of the project. Dedicated and committed
implementation team is required from the client side.

21. Non Disclosure Understanding


This proposal implies the non-disclosure understanding between VAT FORUM and your company
which restricts either party to disclose any information to the third party of this proposal or any
information, which is confidential to the other party.

22. Employment Restriction


Both the parties will restrain from employing other’s employee within two year from the
discontinuation of the service from respective organization.
