5. TERMS & CONDITIONS

5.1 No Free STAND-BY Time for Equipment and Personnel

Respectfully, the CONTRACTOR confirms that there shall be “No Free STAND-BY
Time”. All CONTRACTOR Manpower and Equipment shall be on the appropriate
STANDBY HOURLY RATES, in all cases of Stand-By because of reasons not
attributable to the CONTRACTOR.

Any Stand-By Time duration, with the reasons not attributable to the
CONTRACTOR shall be charged to the COMPANY.

5.2 Materials and Consumables Compensation

For any additional requirement of Materials and Consumables which are out of
scope of the CONTRACTOR, all COMPANY approved Materials and
Consumables, which are purchased by the CONTRACTOR after instructions from
the COMPANY via a Service Contract Work Order (SCWO), shall be invoiced to
the COMPANY on a “Cost Plus Fee Basis” of Fifteen (15) %.

In addition, there shall be further COMPANY Costs associated with Transport,

Marine Agency Fees, Custom Duties, Custom Clearance Agency Fees, Port
Charges and Local Transportation.

5.3 Force Majeure during the Execution of the Project

The CONTRACTOR shall not be liable for failure to perform its obligations if such
failure is as a result of force majeure within the following categories, but not limited
to: acts of God (including fire, flood, earthquake, storm, hurricane or other natural
disaster), war, invasion, act of foreign enemies, hostilities (regardless of whether
war is declared), civil war, rebellion, revolution, insurrection, military or usurped
power or confiscation, terrorist activities, nationalization, government sanction,
