INVITATION TO TENDER FOR:

PROVISION OF DOWNHOLE TOOLS SERVICES (PBLS, NEAR BITS & REAMERS)

Dear Sirs,

MAZARINE ENERGY TUNISIA BV (hereinafter referred to as Company or MAZARINE),

intends to avail itself of the cooperation of a qualified and experienced Contractor for the
provision of Downhole Tools Services (PBLs, Near Bits & Reamers) (the “Services”)
relevant to its operating area. Requirements details shall be as further specified in Section
C - Schedule A - Scope of Work under this ITT.

The selection of the Contractor will be made on the basis of competitive tendering.

Tenderers are hereby invited to tender for the provision of the Service described in the
enclosed Invitation to Tender documentation as detailed hereto.

This Invitation to Tender is not an offer capable of acceptance by you.

Your Tender is an offer capable of acceptance by Company on the terms and conditions
contained in this Invitation to Tender. This Cover Letter of Invitation to Tender and the
relevant acknowledgement of receipt shall not be construed as a commitment on the part
of Company.

Tenderers agree to bear all costs they will incur in connection with the preparation,
submission and negotiation of the Tender, and participation in the Tender process in
general, whether or not successful and to bear any further cost they will incur prior to any
award irrespective of whether such award is made to themselves or any third party or not
awarded and Tenderers agree to defend, indemnify, and hold harmless Company from and
against any and all of any liabilities, damages, claims, demands, actions, losses, costs and
expenses (including legal expenses) in respect of or arising or out of such preparation,
submission or negotiation of the Tender, or participation in the Tender process.

Tenderers are asked to note particularly the "Instructions To Tenderers" enclosed herewith
together with the requirements specified within this Letter of Invitation To Tender.
Deviation or non-compliance with these requirements may lead to the disqualification of
the Tender.

The Tender and all accompanying documents shall be in the English language.
Tenderer shall carefully read and fully comply with the requirements of the enclosed
Instructions To Tenderers. Any deviation from the requirements specified therein may lead
to disqualification of the Tender.

You should take the upmost care in keeping confidential all information which is made
available to you by the Company in the course of negotiations. Only based on the express
written approval of the Company you will be entitled to share such information.

Should you have any questions or clarifications to the bid documents, the sole point of
contact in connection with this tender process is the e-mail address mentioned above.

Please note all communications must be made in writing to the above sole point of contact
by email. Verbal Communication or Queries by telephone will not be accepted.
Tenderer shall not, and shall make no attempt to communicate with any other employee,
officer, director, agent, consultant, advisor, contractor or seconded of COMPANY in
connection with this Tender. Failure to comply with these Company requirements will result
of an unsuccessful Bid.
Acknowledgment of Receipt:
Please acknowledge receipt of this letter and Tender Package and confirm you will submit
a response by the nominated closing time and date. Confirmation should be given by
completing the Form of Acknowledgement included in the Invitation to Tender and
returning by replying to the Notification Email you received within three (3) days of receipt
of this letter. If you do not wish to submit a proposal, please use the same format and
advice by facsimile or email immediately and destroy the complete Tender Package.

specified date and time and to your participation in this Tender process.
