SCHEDULE B
RATES AND PRICES

PART I: GENERAL

All unit rates, sums and prices shall be quoted in US Dollars. All unit Rates, sums and prices
shall be inclusive of “WT” withholding taxes. For Tunisian Resident Companies, payment
will be in Tunisian Dinars.

All unit rates, sums and prices shall be fully fixed for the Term of the contract and no
fluctuations shall be permitted for any changes in any of Contractor's costs or inclusions,
currency variation or any other reason unless expressly provided for elsewhere in this
contract.

All extra costs incurred through working overtime shall be included in Contractor's rates
and prices.

The Technical Specifications, Pricing Schedule and drawings do not necessarily cover all
items to achieve the requirements of the PO. The PO rates, however, shall be deemed to
include all costs to supply the specified Goods and all related works which an experienced
Contractor shall reasonably foresee. Costs of items described or implied in the Technical
Specifications and not specifically mentioned in the Pricing Schedule shall be deemed to be
included in the prices of the other items.

All rates, sums and prices shall include for all necessary information, details, clarifications
or drawings and documents as required in the execution of the manufacture and supply of
the Goods and for the preparation of proposals, drawings, calculations, documentation,
etc. as shall be required for approval procedures.

The unit rates, sums and prices shall include all material supply, tools and equipment,
labor, supervision, transport, storage and handling, freight, insurances, customs charges,
vacations, leaves, facilities, overheads, profits, taxes and duties, and all inspection, repair,
maintenance, certification and insurance prior to mobilization and delivery to the Point of
Delivery, and whatever else shall be necessary to supply the Goods.

The unit rates inserted by Contractor for the various items in the Pricing Schedule shall be
used for the evaluation of interim payments and authorized Variation orders, in accordance
with the requirements of the PO.

Contractor shall, when directed by Company, submit detailed supplementary schedules

breaking down the unit rates for composite units of Goods in the Pricing Schedule into their
component elements in such detail as shall be required by Company.

Notwithstanding any limits which shall be implied by the wording of the individual items
and/or explanations in this Schedule B, it shall be clearly understood by Contractor that
the unit rates, sums and prices which shall be entered in the Pricing Schedule shall be for
the Goods finished complete in every respect. Contractor shall be deemed to have taken
full account of all requirements and obligations, whether expressed or implied, covered by
all parts of the PO and to have priced the items therein accordingly.

All rates, sums and prices shall be deemed to include all taxes and duties of every kind
that may be levied upon the manufacture, sale, delivery or supply of the Goods and all
packing, loading, carriage and insurance costs except where otherwise stated.

Contractor will be deemed to have familiarized itself with the full extent of the Technical
Specifications required under this SO.

Contractor is deemed to have satisfied itself as to the sufficiency of the unit rates stated
herein. This Schedule B shall form the sole method of remuneration under this SO. No
other charges shall be considered payable by Company, the unit rates herein being deemed
to include for all costs associated with the supply of the Good.

All rates, sums and prices are subject to withholding tax according to the applicable tax
legislation in full force and effect.

All rates, sums and prices are exclusive any incidence of Added Value Taxes (VAT).
