"This Sales Contract (''Contract'') is made by and between the Seller and the Buyer on the Contract Date, whereby the Seller
agrees to sell such System Articles as mentioned in the below to the Buyer (''System Articles'') and make JUKI Corporation (with
its principal place of address at 2-11-1 Tsurumaki, Tama-city, Tokyo 206-8551, Japan, the parent company of the Seller (''JUKI'') ）
grant the Buyer the non-exclusive and non-transferable license to use JaNets JT Simple (facilities operation management system)

2. Basic Conditions
(1) Specification of System shall be as specified in the Exhibit-A attached hereto, and it is expressly acknowledged and agreed by Buyer that sales
brochure shall be deemed Specification hereunder.

(2) Trade/Delivery Terms: FOB port of Sigapore per INCOTERMS 2020. But, in response to Buyer's request, if any, Seller shall
hire vessel third party for the Buyer at Buyer's expenses. And, Buyer shall be responsible for taking importation procedures
and transporting System Articles to Installation Location at its expenses.
(3) Payment Terms:
(a) The amount equal to Fifty Percent (50%) of the Grand Total Value (1. System Articles, etc) needs to be paid by the Buyer
within ten (10) days subsequent to Contract Date and before shipment of System Articles.
(b) The balance amount equal to Fifty Percent (50%) of the Grand Total Value needs to be paid by the Buyer within thirty
(30) days subsequent to the day when the installation /setting up of System Articles, Buyer Local Purchase Items (specified
in the avobe list [1. (4) The Buyer Local Purchase Items which Buyer shall procure and prepare) and System are completed.
 (4) Payment Method : T/T @ USD to remmitance to the Seller's following bank account:

(5) Shipment Schedule:
(a) ETD (Estimated Time of Departure)(Delivery Date): Seller will notify Buyer of ETD without delay after conclusion hereof.
(b) ETA (Estimated Time of Arrival): Seller will notify Buyer of ETA without delay after conclusion hereof.
(6) Environment of Use: Before ETA, Buyer shall prepare Environmental Conditions which shall enable Seller to adequately
install System and shall enable Buyer to adequately operate System. The immediately preceding sentence means that Buyer
shall procure and prepare any other things and environment than System before ETA.
(7) Master Agreement:
(a) Any term beginning at any capital letter but not defined hereunder shall have the same meaning therefor given under
Master Agreement.
(b) With respect to such matters as not provided for in this Contract, any and all provisoins of Master Agreement shall apply.
３. Maintenance Contract
Main
(1) After Warranty Period expires, if any System Articles need to be repaired, Seller may charge Buyer for the System Articles repair related cost
based on the real cases happening
(2) After Warranty Period expires, for the System maintenance (not including the user new requirement), Buyer shall conclude Seller's prepared
