procurement method open call for proposals
Supply of jet engine fuel and aircraft fueling services (aircraft fueling management)
to PJSC "Aeroflot" and partner airlines
from 01 January 2018 to 31 December 2018 at airports in foreign countries
is implemented in compliance with applicable provisions of the Federal Law No.
223-FZ "On Procurement of Goods, Work, and Services by Certain Types of Legal Entities”
dated July 18, 2011 and the Regulations on the procurement of goods, work, and services (RI-
GD-148F)
1. General Provisions
2.3. In order to participate in the Call for Proposals, the Applicant shall prepare a
Participation Bid for the Call for Proposals in full compliance with the requirements of the
Documentation of the Call for Proposals. Every Applicant shall possess the right to submit only
one Participation Bid of a Call for Proposals in respect of each Procurement Item (Lot).
2.4. Procurement Participant's obligations for the submission of a Participation Bid for the
Call for Proposals shall include:
2.4.1. Enter into a contract on the terms and conditions of the draft contract that constitutes
an integral part of the documentation and notice of the call for proposals and the participation bid
for the call for proposals.
2.4.2. The obligation not to change and (or) not to withdraw the Participation Bids for the
Call for Proposals after the deadline for Participation Bids for the Call for Proposals.
2.4.3. The obligation not to provide false information, data, and documents as part of the
Participation Bid for the Call for Proposals.
2.4.4. The obligation to provide the information in respect of the entire chain of owners,
inclusive of beneficiaries (inclusive of ultimate beneficiaries), and the composition of the
executive bodies within one week from the date of placement of the report that defines the rights
of Procurement Participants to enter into a contract with the Customer in the Unified Information
System; such information shall be confirmed by means of the relevant documents in the form of
Annex No. 3 to the Regulations on the procurement of goods, work, and services used by PJSC
“Aeroflot” (with the exception of Procurement Participants that are public authorities, state and
municipal institutions, and unitary enterprises).
2.5. From the date of the placement of a Notice in the Unified Information System and
until the deadline for the submission of Participation Bids for the Call for Proposals as specified in
the Notice of a Call for Proposals, the Customer shall accept the Participation Bids for the Call for
Proposals.
2.6. To participate in the call for proposals, an applicant shall submit a participation bid via
the electronic trading platform in the form and in the manner established by the documentation of
the call for proposals
2.7. Participation Bids for the Call for Proposals shall be received from the date of the
placement of a Procurement Notice in the Unified Information System and until the deadline for
the submission of Participation Bids for the Call for Proposals. A relevant note shall be made on
the receipt if a participation bid is received inappropriately sealed.
2.8. The Customer shall ensure the confidentiality of the information contained in the
submitted Participation Bids until the summation of the Call for Proposals and for one year from
the date of the summation of the Call for Proposals unless otherwise determined by applicable
provisions of the local regulatory documents of the Customer.
2.9. Participants may modify or withdraw a participation bid submitted via the electronic
trading platform in the manner described in paragraph 2.15. Participation bids cannot be
modified and/or withdrawn after expiry of the submission period indicated in the documents of the
call for proposals is not permitted.
2.10. If the customer extends the bid submission period, an applicant that has submitted a
bid shall be entitled to make any of the following decisions:
2.10.1. Withdraw the bid.
2.10.2. Do not withdraw the bid and to extend its validity and validity of the security by the
relevant period of time, and to changing it (if desired).
2.10.3. Do not withdraw the bid and do not extend its validity, in such case the bid expires
on the initial expiration date.
2.11. If the Customer has only received one Participation Bid for the Call for Proposals at
the end of the deadline for the submission of Participation Bids for the Call for Proposals as
established by applicable provisions of the Documentation of the Call for Proposals, the Call for
Proposals shall be declared invalid.
2.12. If the Documentation of the Call for Proposals provides for two or more Lots, the
Call for Proposals shall be declared invalid only in respect of the Lots where under only one
Participation Bid for the Call for Proposals has been submitted
2.13. If the Customer has only received one Participation Bid for the Call for Proposals at
the end of the deadline for the submission of Participation Bids for the Call for Proposals as
established in applicable provisions of the Documentation of the Call for Proposals, the Tender
Committee shall consider the Participation Bid for the Call for Proposals according to the
procedure established in applicable provisions of the present documentation despite the fact that
the Call for Proposals has been declared invalid. If the considered Participation Bid for the Call for
Proposals and the Procurement Participant who has filed such a Participation Bid comply with the
requirements and the conditions stipulated by the Documentation of the Call for Proposals, the
Customer shall possess the right to conclude a contract with such a Procurement Participant.
2.14. Participation bids for the call for proposals received by the customer after the
submission deadline indicated in the documentation of the call for proposals will not be reviewed
and will be returned to the applicants within three working days from the date of receipt thereof
from the relevant applicant. Participation bids for the call for proposals received by the customer
after the submission deadline indicated in the documentation of the call for proposals will not be
reviewed. The information of a confidential nature shall not be recorded in the Reports compiled
during the procurement.
2.15. In compliance with applicable provisions of the procurement documentation, in case
of submission in electronic form, all the documents shall be submitted to the electronic trading
platform in the form of scanned copies of signed and stamped documents.
Note.
The participant in the Call for Proposals that is declared the Winning Bidder based on the
results of the Call for Proposals shall provide to the Customer with original copies of the
documents specified in applicable provisions of para. 2.15 hereof within three business days from
the date of the placement of the final report in the Unified Information System.
3. Form, terms, and order of payment for Products, Work, and Services1
4.1. The requirements for quality, characteristics of the Goods, Work, or Services, their
safety, functional characteristics (consumer properties) of the Goods, dimensions, packaging,
shipment of the Goods, and the results of the Work as established by the Customer shall be
provided in applicable provisions of the Terms of Reference (refer to Annex No. 3).
4.2. Requirements for the Legal Capacity of Procurement Participants:
4.2.1. The compliance of Procurement Participants with the requirements established in
compliance with applicable provisions of the current legislation of the Russian Federation in
respect to the persons engaged in the provision of Services;
4.2.2. The participants or persons engaged by them shall have all necessary certificates (for
airfield services, fueling support of air transport and aviation fuel quality control in the relevant
airport) to carry out the activities required to perform their obligations under the Documentation
and a contract to be concluded in accordance with the Documentation;
4.2.3. Non-implementation of liquidation of the Procurement Participant that is a legal
entity and the absence of an arbitrament on insolvency (bankruptcy) of the Procurement
Participant (a legal entity or a private entrepreneur) and on opening of bankruptcy proceedings;
4.2.4. Non-suspension of activities of the Procurement Participant according to the
procedure stipulated by the Code of Administrative Offenses of the Russian Federation as of the
day of submission of the Procurement Participation Bid;
4.2.5. The absence of back taxes, fees, other obligatory payments to the budget system of
the Russian Federation from the Procurement Participant (except the amounts in respect whereof
postponing, extension, investment tax credits have been provided in accordance with the
applicable provisions of the current legislation of the Russian Federation on taxes and fees, which
have been restructured in accordance with the current legislation of the Russian Federation, in
respect whereof a court decision on the recognition of the applicant’s obligation to pay these sums
as performed or deemed to be uncollectible in accordance with the current legislation of the
Russian Federation on taxes and fees have entered into force) for the previous calendar year.
Procurement Participants shall be considered to conform to this requirement if they have
submitted an appeal against the said arrears, debt in due order and no decision on such appeal has
been reached as of the date of the Bid for participation in consideration of the Supplier
(Contractor, Performer);

In a contract is awarded to small and medium-sized business entities, the maximum period of payment for
the goods supplied (works performed, services rendered) under the contract (separate phase of the contract) concluded
as a result of the procurement shall not exceed 30 calendar days from the date of performance of the obligations under
the contract (separate phase of the contract).
4.2.6. Indicators of financial and economic activity of the Procurement Participant shall
testify to its solvency and financial stability;
4.2.7. The absence of information about a Procurement Participant in the Register of
Unfair Suppliers as specified in applicable provisions of Article 5 of the Federal Law No. 223-FZ
and the Register of Unfair Suppliers as specified in applicable provisions of the Federal Law dated
April 5, 2013 and registered under No. 44-FZ "About the Contract System in the Field of
Procurement of Goods, Work, and Services for State and Municipal Needs."
4.2.8. Absence of the purchase participant - an individual or
the person acting as the sole executive body or the chief accountant of the procurement participant
- a legal person for criminal conviction for economic crimes and (or) crimes provided for in
articles 289, 290, 291, 291.1 of the Criminal Code of the Russian Federation with the exception of
persons in whom such a conviction is canceled or withdrawn).
4.2.9. Procurement of a physical person or a leader, members of the collegial executive
body, a person acting as the sole executive body or the chief accountant of a procurement
participant - a legal entity, in the form of deprivation of the right to occupy certain positions or
engage in certain activities that are related to the supply of goods , the performance of work, the
provision of services that are the subject of ongoing procurement, and administrative punishment
in the form of disqualification.
4.2.10. Not involving a procurement participant - a legal entity
to administrative responsibility for the commission of an administrative offense provided for in
Article 19.28 of the Code of the Russian Federation
on administrative offenses, within two years prior to the moment of filing an application for
participation in the procurement.
4.3. Priority shall be given to goods of Russian origin, and works and services performed
by Russian entities and individuals (hereinafter referred to as "the priority of goods, works and
services of Russian origin") in accordance with Order No. 925 of the Government of the Russian
Federation "On Priority of Goods of Russian Origin, and Works and Services Performed by
Russian Entities and Individuals Over Goods of Foreign Origin, Works and Services Performed by
Foreign Entities and Individuals" dated 16 September 2016.
4.3.1. If the "priority of goods, works and services of Russian origin" is established, the
bids submitted by the applicants availing the "priority of goods, works and services of Russian
origin" shall be evaluated at the contract (lot) price that is 15 per cent lower than that indicated in
the bid, however, the contract will be concluded based on the contract (lot) price that is indicated
in the bid.
4.3.2. A bid will be given the "priority of goods, works and services of Russian origin" if
the participation bid is accompanied by the following documents:
4.3.2.1. Certificates of origin for each item in the lot. The certificates shall be
enclosed to and listed in clause 6, section 4 "Annex to the Participant's Questionnaire".
Note: If the country of origin of the goods (country of establishment of the participant) is
not mentioned in the participation bid, such bid will not be rejected and will be considered as a bid
containing a proposal for supply of goods of foreign origin (rendering of services by a foreign
legal entity).
4.3.2.2. Participant's statement of consent to rejection of its bid if the certificates
submitted under clause 4.3.2.1 contain misleading information about the country of origin of the
goods (country of establishment of the participant). The statement shall be enclosed to and
mentioned in clause 13, section 4 "Annex to the Participant's Questionnaire".
4.3.2.3. Participant's written obligation not to change the country of origin of the
goods if the contract is awarded to such participant unless when such change will lead to supply of
Russian goods instead of foreign goods provided that the quality and performance specifications
(application properties) of such goods are not worse than those of the goods mentioned in the
contract. The obligation shall be enclosed to and mentioned in clause 15, section 4 "Annex to the
Participant's Questionnaire".
4.3.2.4. A statement confirming that the participant is aware that the participants are
classified as Russian or foreign entities based on the place of registration of the participants (for
legal entities and individual entrepreneurs) or identity details of the participant (for natural
persons) provided by the participant in cl. 2, section 4 "Annex to the Participant's Questionnaire".
4.3.3. A bid is not given the "priority of goods, works and services of Russian origin" in
the following cases:
4.3.3.1. The procurement procedure was declared invalid.
4.3.3.2. The bid does not contain a proposal for supply of goods of Russian origin,
performance of works or rendering of services by Russian entities or individuals.
4.3.3.3. The bid does not contain a proposal for supply of goods of foreign origin,
performance of works or rendering of services by foreign entities or individuals.
4.3.3.4. The bid contains a proposal for supply of goods of Russian and foreign
origin, performing of works, rendering of services by Russian and foreign entities and individuals,
and the cost of goods of Russian origin, cost of works performed and services rendered by Russian
entities and individuals is less than 50 per cent of the total cost of the goods, works and services
offered by such participant.
4.4. The list of all the documents that confirm the compliance of Procurement Participants
with applicable requirements shall be specified in the Participant's Questionnaire (refer to Annex
No. 1).
4.5. The deadline for the conclusion of a contract by the Procurement Participant whose
Participation Bid has been recognized to constitute the best offer shall not be later than three
calendar days from the date of receipt of the contract from the Customer.

6.6.2. price calculated according to the formula based on Platts rates (according to clause
7.1.2. of Annex 3 to the procurement documentation) gives 2 points. When formula price is
calculated applying same Platts market, the final price will include differential and all applicable
taxes and fees only. Platts quotation will not be included into the final price. When a particular
location is covered by formula prices with different Platts markets, the final price is calculated as
sum of differential, all applicable taxes and fees and a monthly difference between two different
Platts markets. All applicable taxes and fees, differentials as well as base fuel prices expressed in
local currencies will be recalculated into US Dollars per ton using exchange rate applicable at the
time of summarising the outcomes of procurement procedure.
Price calculated according to any other formula/method gives 0 points;
6.6.3. granted by the purchaser deferral of payments up to 15 days gives 0 points; 16 to 29
days - 2 points, 30 days or more - 3 points;
6.6.4. an IATA service level compliance certificate shall be submitted as evidence
according to the Guidance Material. The criterion shall be evaluated as follows:
- failure to submit a certificate or submission of level I certificate - 0 points,
- submission of level II certificate - 5 points,
- submission of level III and above certificate - 10 points.
6.7. Awarding of the Final Score to the Participation Bid:
6.7.1. The final score of each Participation Bid for the Call for Proposals shall be
calculated by adding up the points for each Participation Bid evaluation criterion specified in
applicable provisions of para. 6.6..
6.7.2. Each Participation Bid for the Call for Proposals shall be assigned a serial number
that corresponds to the decreasing degree of profitability of the terms of performance of the
contract therein contained on the basis of the results of the calculation of the final score for each
Participation Bid.
6.7.3. The Participation Bid for the Call for Proposals that has the highest score shall be
assigned the first place.
6.8. The Winning Bidder shall be the Participant that has offered the best combination
of contract performance conditions and whose Participation Bid for the Call for Proposals has
been assigned the first place.
If several Participation Bids for the Call for Proposals contain an equivalent combination
of contract performance conditions, the lesser sequence number shall be assigned to the
Participation Bid for the Call for Proposals that was received earlier than the other Participation
Bids for the Call for Proposals that contain such conditions.
If the Tender Committee requires extending the deadline for the selection and / or the
evaluation stage indicated as the date of consideration of the Proposals of Procurement
Participants and summation of the Procurement Procedure in the Notice of a Call for Proposals
during the evaluation and the comparison of Participation Bids for the Call for Proposals, the
Customer shall upload a notice of the extension of the corresponding period in the Unified
Information System within one business day from the date of approval of the decision on the
extension of the qualification and / or the evaluation stage by the Tender Committee.
6.9. For the purposes of evaluation and comparison of Participation Bids for the Call for
Proposals, the Tender Committee may involve experts and specialists from the departments of the
Customer as well as, without limitation, any other person whom the Committee deems necessary.
A written expert opinion based on evaluation results shall be submitted to the Tender Committee
to adopt a decision on determining the Winning Bidder. The Tender Committee shall possess the
right to disagree with the conclusions and the recommendations contained in the expert opinion,
resubmit Bids for re-evaluation and re-comparison, invite other experts and specialists, or make an
independent decision. The persons involved in the evaluation and the comparison of Competitive
Bids, inclusive of the members of the Tender Committee, shall ensure the confidentiality of the
evaluation process.
6.10. According to the results of the meeting of the Tender Committee that determines
the Winner of the Call for Proposals, a report on the results of the Call for Proposals or a market
sheet shall be issued. The report shall indicate the following:
6.10.1. the volume of purchased Goods, Work, and Services;
6.10.2. the term of the contract;
6.10.3. the name-based composition of the members of the Tender Committee who are
present at the meeting;
6.10.4. the information on the name and the location (for legal entities) or the surname, the
name, the patronymic, and the place of residence (for private individuals) of Procurement
Participants whose Participation Bids have been considered;
6.10.5. the ranking of Participation Bids according to the degree of preference;
6.10.6. Successful bidder(s).
6.11. The report shall be signed by the members of the Tender Committee who are
present at the meeting on the day of the summation of the Call for Proposals and shall be approved
by one of the heads of the Customer in compliance with its internal procedures. The Customer
shall upload this report into the Unified Information System within three days from the date of
approval.
6.12. As a result of Procurement Procedures on an electronic platform, a Market Sheet
signed (approved) in compliance with the local regulations of the Customer shall be issued.
6.13. The Market Sheet shall not be placed in the Unified Information System.
6.14. The Market Sheet shall, at least, contain the information on the name and the
location (for legal entities) or the surname, the name, the patronymic, and the place of residence
(for private individuals) of Procurement Participants whose Participation Bids have been
considered and the ranking of Participation Bids according to the degree of preference. The
Market Sheet shall not be placed in the Unified Information System.
6.15. In case of refusal of the Winner to sign the contract, the Tender Committee shall
possess the right to decide to conclude a contract with the Procurement Participant whose
Participation Bid has been assigned the second number as a result of evaluation and comparison of
Participation Bids (Proposals) under the terms of the draft contract attached to the Documentation
and contract performance conditions suggested by this Procurement Participant in its Participation
Bid. Such a decision shall be registered by means of a relevant report of the meeting of the Tender
Committee. In this case, the Participant in the Call for Proposals shall not possess the right to
refuse to conclude the contract with the Customer.
6.16. The Customer shall possess the right to refuse to conclude the contract without
compensating the Winner or any other Participant of any costs incurred by them in connection
with participation in the Call for Proposals without providing any reason.
6.17. In case of refusal of the Customer to sign a contract with the Winner of the Call for
Proposals and the Participant whose Participation Bid was assigned the second place, the
Customer shall upload a notice to that effect in the Unified Information System.
6.18. In terms of assessment by criteria that take into account the purchase price of the
contract (lot) indicated in the bids, the bids of those participants that are given the "priority of
goods, works and services of Russian origin" (according to para. 4.3) are assessed based on the
contract (lot) price that is 15 per cent lower than that indicated in the bid.
If the Call for Proposals is declared invalid and / or the contract is not concluded with the
Procurement Participant that has submitted the only Participation Bid for the Call for Proposals or
that has been recognized to be the only Participant, the Customer shall possess the right to hold
another Call for Proposals or to apply another procurement method.
8. Final Provisions
8.1. In case of changes in the flight program of PJSC "Aeroflot" and partner airlines
to the airports in foreign countries, the customer reserves the right to change the quantity of jet
fuel to be purchased and the scope of works to be performed and services to be rendered
from 01 January 2018 to 31 December 2018 at the airports in foreign countries within the +/-20
per cent option.
8.2. In all other matters not specified in applicable provisions of the present
procurement documentation, the Customer shall be guided by the Regulations on the procurement.

Bid for the Call for Proposals and reaffirm the right of the Customer to request personal information that
specifies the data herein provided from us, the authorized authorities, and legal entities and private
individuals referred to in our Participation Bid for the Call for Proposals in agreement with applicable
requirement for the formation of conditions for proposals that are equal for all the participants.
4. If the Customer offers us to conclude a contract on the basis of the results of the Call for
Proposals, we shall provide the Customer 10 with information with respect to the entire chain of ownership
of our company, including beneficiaries (particularly but not exclusively ultimate ones), and the
composition of the executive authorities, within a week of the date of placement of the report online. 11
5. If the Customer offers us to conclude a contract on the basis of the results of the Call for
Proposals, we shall sign the contract with PJSC “Aeroflot” in compliance with applicable requirements of
the documentation on the Call for Proposals and the terms of our proposals within three calendar days
from the date of receipt of the corresponding contract from the Customer.
6. If we are awarded the second place on the basis of the results the Call for Proposals and the
Winning Bidder of the Call for Proposals is recognized to have evaded from the conclusion of the
contract, we shall sign the contract in compliance with applicable provisions of the documentation on the
Call for Proposals and our offer on the cost of the contract.
7. If we are declared the only participant of the Call for Proposals, we shall sign the contract for
the performance of work in compliance with applicable provisions of the documentation on the Call for
Proposals and at the price indicated in our proposal.
8. If we are declared the Winning Bidder of the Call for Proposals or are awarded the contract in
specified cases but evade the conclusion of the contract that is the subject matter of the Call for Proposals,
we consent to the information

Annex 3 to the Procurement Documentation
Terms of reference
The aviation fuel quality requirements are described in Article 3 of the IATA General
Conditions that are included in the Standard Aviation Fuel Supply Agreement drafted by
PJSC "Aeroflot":
SPECIFICATION
The Seller shall ensure that the supplied fuel will meet one of the following specifications
(depending on the place of delivery, the Agreement may include one of the following
specifications):
Aviation fuel quality requirements for shared systems (AFQRJOS) known as the
Joint Fuelling System Check List for Jet A-1, current version;
ASTM Standard Specification D 1655 for Jet A/Jet A-1, current version;
United Kingdom Department of Defense Standard DEF STAN 91-91 for turbine
fuels, aviation, kerosene type, Jet A-1, current version;
IATA manuals for aviation turbine fuel specifications, Jet A Jet-A-1, current
version;
Canadian specification Can/CGSB-3.23-97, Aviation Turbine Fuel Jet A / Jet A-1,
current version.
Any other specification of the fuel supplied shall be approved by the Buyer and such full
specification shall be annexed to the Agreement.
Moreover, the fuel must meet the requirements, if any, set by competent regulatory
government authorities at the place of delivery. If fulfillment of such requirements results in a
deviation from the agreed specification, the Seller shall notify the Buyer in advance and request
the Buyer's prior consent to supply of such fuel.
4. QUALITY
With reference to the current version of the Aviation Fuel Quality Control and Operating
Standards for Into-Plane Fuelling Services approved by IATA Joint Industry Group (hereinafter
referred to as "JIG"), fuel samples shall be drawn as prescribed by article 5 of the aviation fuel
quality control requirements. The following approved chemical detectors shall be used if the
airline requests further suspended water test: Shell Water Detector, Velcon Hydrokit, Mobil Water
Indicator, Aqua-Glo or POZ-T device.
The operational standards of the Air Transport Association of America, specification ATA
103, will apply in North America. ATA 103 and JIG Standards are inconsistent in some aspects, so
ATA 103 does not meet the requirements of IATA airlines, where JIG Standards approved by IATA
are accepted as operating standards.

- comply with the Manual on Civil Aviation Jet Fuel Supply, ICAO Doc 9977 AN/489;
1. The Supplier shall ensure compliance with the jet fuel quality preservation
requirements as per JIG requirements.
2. Use vehicles specially prepared and designed for transportation of the relevant jet
fuel grade as per JIG requirements.
3. Jet fuel retention samples shall be drawn from the means of transportation in
accordance with JIG requirements.
4. Supply period: 01 January 2018 - 31 December 2018
5. Pricing procedure (participants may submit bids based on any of the following
calculation options):

5.1.1. Price = Weighted average Platts rate (one month, two weeks, one week) +
differential + taxes + charges + duties
where:
Platt's is a weighted average Platts rate (one month, two weeks, one week)
published by the Platt's in Platt's European Marketscan (US dollars per 1 ton) from
the first to the last day of the month (inclusive) immediately preceding the month of
supply. Only published values shall be used for calculation purposes. The resulting
Platt's value shall be rounded to the second decimal point inclusive;
Differential is a Platt's price markup that is fixed for the entire contract period and
is the subject matter of the call for proposals.
Taxes + charges + duties are taxes, charges, and duties charged in each particular
point of fueling by a third party (airport, etc.).
5.1.2. Price = market price + differential + taxes + charges + duties
where:
Market price is a price fixed for a certain period of time that is applied until a
notice of change thereof is given.
Differential is a market price markup that is fixed for the entire contract period
and is the subject matter of the call for proposals.
Taxes + charges + duties are taxes, charges, and duties charged in each particular
point of fueling by a third party (airport, etc.).
5.1.3 Price = government controlled price
6. Invoicing and method of payment: all invoices must come to PJSC “Aeroflot” by
the tenth (or earlier) of the month following month of delivery and payment for supplied jet fuel
and rendered services must be deferred.
7. Other terms and procedure of payment for the supplied jet fuel are determined in
accordance with the participant's bid.
8. Delivery basis: aircraft fuel tanks of PJSC "Aeroflot" and partner airlines at airports
in foreign countries.

10. In case of changes in the flight program, PJSC "Aeroflot" reserves the right to
change the quantity of jet fuel to be purchased and the scope of works to be performed and
services to be rendered from 01 January 2018 to 31 December 2018 at the airports in foreign
countries within the +/-20 per cent option.
11. If PJSC “Aeroflot” from time to time has requirements for Fuel at delivery
locations that are not set forth in the Agreement, PJSC “Aeroflot” shall submit written requests
for such supply at least three (3) business days in advance to SELLER/SUPPLIER.
SELLER/SUPPLIER may, but shall have no obligation to, fulfill such requests. To constitute a
binding order, PJSC “Aeroflot”’s request must be accepted in writing by SELLER/SUPPLIER.

Subject to and in accordance with the conditions set forth in the IATA Model Terms and
Conditions for Aviation Fuel Supply, version 3, dated January, 2009 (hereinafter: “the General
Terms and Conditions”) which are incorporated herein by reference and attached hereto as Annex
I, Seller agrees to sell and deliver or cause to be sold and delivered and Buyer agrees to purchase,
receive and pay for the Fuel for consumption in Buyer’s Aircraft as detailed in this Agreement and
subsequent location contracts (as defined hereinafter).
For the purposes of this Agreement, the following companies will be regarded as Affiliated
Companies of Buyer:
3. Duration
This Agreement is effective from the date mentioned on the cover page of this Agreement and
continues in full force and effect, until terminated pursuant to the General Terms and Conditions.
4. Location Contracts
4.1 All specific terms and conditions relating to the supply of Fuel, agreed between Buyer and
Seller for any given location during a certain period of time, shall be detailed in a location
contract (hereinafter: “Location Contract”). In case of any discrepancy or conflict between a
provision in a Location Contract and this Agreement, the Location Contract shall prevail.
4.2 Upon the parties having reached agreement on the specifics of any such location, Buyer shall
forward a fully completed Location Contract to Seller. Upon receipt thereof, Seller shall
reconfirm the agreement by either, at Seller’s option
a. countersigning the Location Contract and returning the document to Buyer, or
b. giving written notice of reconfirmation.
Each Location Contract shall form an integral part of this Agreement and shall be attached to
this Agreement as Annex III.
4.3 A Location Contract becomes effective as of the date specified in the respective Location
Contract. The expiry date of the Location Contract shall be the date specified in the respective
Location Contract, or, in case of (early) termination in accordance with the General Terms
and Conditions, the day of such (early) termination.
Except as otherwise agreed upon in the Location Contract, the following will apply in respect of
prices and price adjustments.
Should the parties fail to agree on the price change before the Effective Date, each party shall
have the right to terminate the applicable Location Contract(s) until the 15th (fifteenth) day
following the Effective Date by giving written notice thereof to the other party. Termination
shall become effective on the first day of the following month (the “Termination Date”). In
this case all conditions being valid at the date of the price change notifications shall remain
valid and binding until the termination becomes effective.
In case of a termination under this subclause 5.1, Seller shall, on Buyer’s request, continue to
deliver Fuel at the applicable location during a period of 30 (thirty) consecutive days following
the Termination Date, in accordance with the terms of the terminated Location Contract but at a
price to be determined by Seller.
A formula price is a price which is based on a published third party quotation (i.e. “Platts”) and
is subject to variation on either of the following:
Price shall be firm for weekly, fortnightly or monthly periods whichever is agreed upon in the
Location Contract and shall be based on the weekly, fortnightly or monthly average of the
applicable published quotations of the week, fortnight or month prior to the new pricing period
plus the agreed differential. The average shall be calculated over quotation days only.
Pricing periods:
Prices based on a weekly (from Monday till Friday) formula will be effective each Tuesday;
Prices based on a fortnightly formula will be effective either the 1 (first) day and the 16
(sixteenth) day);
Prices based on a monthly formula will be effective the 1 (first) day of each month.
Prices related to published “ex-refinery quotations” and prices related to conditions set forth by
local government authorities may change at the day the price change becomes effective,
provided that Buyer has been notified by Seller as soon as possible, preferably in advance. If
Seller so fails to notify Buyer, the price change will become effective as per the date of receipt
by Buyer of Seller’s notification. Buyer shall only explicitly accept retroactive price increases.
6. Delivery
Unless otherwise agreed in the respective Location Contract, Fuel shall be delivered into Buyer’s
Aircraft.
To the extent not otherwise agreed in the Location Contract, the following shall apply:
7.1 Seller shall invoice Buyer once a month for all Fuel delivered to Buyer. Invoices shall state
price of the product, volume and the total value for all Fuel delivered to Buyer for _______
(_____________________) day period and the number of the Agreement.
7.2 Invoices for Fuel delivered to companies for which Buyer is acting as a Parent Company
shall be separated but sent to the Buyer along with the Buyer’s invoices unless otherwise
agreed in the respective Location Contract.
7.3 Unless otherwise specified in the respective Location Contract, invoices shall be issued in
United States Dollars (USD) and invoices must come to Buyer by the tenth (or earlier) of the
month following month of delivery. Payment shall be made in Dollars of United States
(USD).
7.4 The payment term is ____ (___________________) days from the date of the invoice receipt.
7.5 All bank charges at Buyer’s bank for Buyer’s account and all bank charges at Seller’s bank
for Seller’s account.
Payments shall be transferred to Seller’s bank account unless otherwise agreed upon between
the Parties:

If the Buyer fails to pay any invoice by its due date for payment, the Seller may at its option:
a. require the Buyer to make advance payment at the noncontractual price at the time of any
future delivery and/or provide satisfactory security;
b. charge to delay interest at the rate of LIBOR plus 2% on any amount overdue for payment
at the end of each month in accordance with the monthly Statement of Account; or
c. withhold future deliveries until all sums due have been paid in full or forthwith terminate
current Agreement.
The General Terms and Conditions have been incorporated herein. In case of any discrepancy
between the General Terms and Conditions and this Agreement, the Agreement shall prevail.
Additions to General Terms and Conditions: The Article 5 “Quantity” is completed by the
following paragraph: If PJSC “Aeroflot” from time to time has requirements for Fuel at delivery
locations that are not set forth in the Agreement, PJSC “Aeroflot” shall submit written requests
for such supply at least three (3) business days in advance to SELLER. SELLER may, but shall
have no obligation to, fulfill such requests. To constitute a binding order, PJSC “Aeroflot”’s
request must be accepted in writing by SELLER.
At least on the date when this Agreement is signed Seller shall provide Buyer with information
in respect to all of its owners (beneficiaries), including the ultimate beneficiaries, as well as in
respect to the composition of executive bodies according to the form of the Annex No. 05 to the
Aviation Fuel Supply Agreement, along with the confirming documents presented.
In case of any changes in the mentioned chain of owners, including ultimate beneficiaries, or in
the composition of executive bodies of Seller, the latter shall immediately inform about them to
Buyer with the confirming documents attached.
In case the obligations hereunder are violated or execution thereof is waived, Buyer shall be
entitled to waive the Agreement (terminate the Agreement) unilaterally and within the
extrajudicial procedure, having notified thereabout to Seller three calendar days prior to the date
of termination.”
10. Confidentiality
a. Both Parties undertake not to disclose confidential information and use it other way than with
the purpose of performing obligations under the present Agreement. The Party which comes into
possession of confidential information must take measures to protect it to the degree not lesser
than the measures taken to protect its own confidential information.
b. The information is considered to be confidential when it is obtained within the framework of
performing the present Agreement and when it is including but not limited: commercial secrets,
personal data or any other information protected by Law or the information which while being
passed over by other Party is marked as “Confidential” or “Strictly Confidential” with indication
of full name and address of its keeper.
c. Confidential information can be passed over to competent state authorities and securities
regulators in case and in order, prescribed by regulation and its disclosure will not involve
consequences.
d. The Party which either failed to keep confidential information or meet any other demands for
keeping confidentiality will bear responsibility in accordance with the laws of _____________.
e. The obligations stated herein will be valid for the duration of the Agreement and for another
three year period after the Agreement has ended.
11. Insurance
Seller confirms having concluded a liability insurance for coverage of 500 (five hundred) million
US Dollars.

14. Disputes
If any dispute arises between the Parties relating to the interpretation or application of this
Agreement or concerning any rights or obligation s arising therefrom, the Parties shall, in the first
place, endeavour to settle such dispute by means of negotiation which can not exceed 30 (thirty)
day period.
Any dispute, controversy or claim which may arise out of or in connection with present
agreement, or the execution, breach, termination or invalidity thereof, shall be settled upon
expiring 30 day negotiation period by

Indemnity Agreement

WHEREAS
A. BUYER purchases from SELLER certain aviation fuels for use in BUYER aircraft.
B. BUYER also engages SELLER or its agent to carry out the fuelling of BUYER aircraft at
the airports fixed in the Location Agreements.
C. From time to time BUYER may request that SELLER or its Agent perform the following
Additional Delivery Services (“ADS”).
D. SELLER and BUYER agree that SELLER or its Agent shall perform the ADS on BUYER
aircraft at the Airports on the terms and conditions of this Agreement.
1. BUYER acknowledges that it shall be solely responsible for the airworthiness of its aircraft
and, in addition, that it shall be solely responsible for determining product weight and
distribution, density, and supervision of the ADS.
2. Any request by BUYER that SELLER or its agent perform any ADS on any BUYER
aircraft while carrying out fuelling services at the Airport, must be in writing and
addressed to SELLER and to the agent (if applicable) and specify the type of ADS that is
to be performed and the aircraft and refuellings that it is to apply to.
3. BUYER shall timely provide to the relevant personnel of SELLER and its agent (if
applicable) current technical documentation, for each aircraft type, that is necessary to
enable the ADS to be performed.
4. BUYER agrees to indemnify and hold harmless SELLER, its affiliated companies and
agents, and all directors, officers, and employees of SELLER, its parents, affiliates,
subsidiaries and agents against all losses, claims, damages, judgements, legal fees,
liabilities, suits, demands, costs or expenses whatsoever, arising out of or relating to the
actions or omissions of SELLER or its agent in performing:
(b) any other “ad hoc” services that have been requested by BUYER airport personnel:
except to the extent that such losses, claims, damages, judgements, legal fees, liabilities,
suits, demands, costs or expenses have resulted from the Gross Misconduct of SELLER or
its agent. “Gross Misconduct” means an act or omission (not justified by any special
circumstances) which demonstrates an intentional, conscious or reckless disregard of
avoidable and harmful consequences resulting from such act or omission, but shall not
include any error of judgement or mistake made in good faith.
5. SELLER or its agent shall at any time have the right not to provide any ADS by giving
BUYER 24 hours written notice.
6. If BUYER requests SELLER (and SELLER agrees) to perform any ADS at an airport
which is not then an Airport, that airport shall automatically be deemed to be an Airport for
the purpose of the Agreement.
7. This Deed shall be construed and interpreted in accordance with the laws of the State in
which the Airport is situated.
