LEAVE & LICENSE AGREEMENT

This Agreement to LEAVE & LICENSE made at Ahmedabad on this 15th day of May, 2011 BETWEEN HAMID SAIYED & NILOOFER SAIYED, residing at 103, Rukun-2 16, Muslim society, Navrangpura, Ahmedabad-380009. (Hereinafter called the LICENSOR which expression shall, unless excluded by or repugnant to the content include her heirs, successors, executors, administrators, legal representatives and assigns) of the ONE PART and MOHAMMAD ZEESHAN address 93/116, Nai Sadak, Kanpur 208001. (Hereinafter called the LICENSEE which expression shall include their successors and assigns) of the SECOND PART. THAT THE LICENSOR hereby allows the LICENSEE to use the following described premises located at 4th floor, kirtan Complex, Nr. Mithakhali under Bridge, Navrangpura, Ahmedabad-380009, having built-up area of 800 approx sq.ft. with Furnishing 2 cabins, 2 tables, 2 ceiling fans.

Whereas it has been agreed that the Licensee shall (with the leave and License of the Licensor) have the use of the Licensed premises upon the terms and conditions contained herein.

NOW THE DEED WITNESSETH AS FOLLOWS: 1. LICENCE FEE : That the Licensee shall pay to the Licensor of the premises, the advance License Fee of Rs.20,000/- (Rupees Twenty thousand only) per month in advance on or before the 15th day of each English Calendar month, including all the taxes and license charges. 2. DEPOSIT: That the Licensee has paid to the Licensor a non- interest bearing security deposit of Rs.40,000/- (Rupees Forty thousand only) being two months license fees which will be refunded by the Licensor against vacating the premises and clearing all the outstanding towards Electricity charges, maintenance charges etc. Whichever applicable as per this Agreement and producing the copies of payments made to the concerned authorities to the Licensor.

3. ADVANCE RENT: That the Licensee has paid One months License Fee i.e. Rs.20,000/- (Rupees Twenty thousand only) as advance which in included in the above referred to the Licensor at the time of execution of this Agreement. 4. OTHER CHARGES: a. Electricity: That the Licensee shall pay the Electricity due to AEC up to date of handing over possession. b. Societys / Associations Common Maintenance Charges: That the licensor shall pay the Societys Maintenance charges and in future if there is any rise in the charges of society maintenance. c. Local Authority Taxes: That the License fee which includes all the Govt. Corporation AUDA Taxes, AMC Taxes shall be borne by LICENSOR. 5. PERIOD: That the Leave & License Agreement is granted for a period of 11 month 29days commencing from 15th May, 2011, and the License Fees starts from the above date.

6. NOTICE PERIOD: One month notice from either side will be sufficient to terminate this agreement and the Licensee will have to hand over the vacant and peaceful possession back to the Licensor. 7. RENEWAL OPTION: The Licensor shall have an option to renew this Agreement for further interval of 11 months 29 days and if this Agreement be renewed further, the License Fee will be increased by 10% on the last fee paid. 8. That the Licensee shall not sub-license, assign or sublet any part or whole of the said premises to anybody during the License period. 9. That the Licensee shall not carry out any structural additions to the building layout, fittings or fixtures without the written consent of the Licensor. 10. That the Licensee shall not keep any hazardous or inflammable items/goods etc. in the said premises which is prohibited by the law. 11. That the Licensee shall not carry any anti-social activity prohibited by law. 12. That the Licensee shall not create any kind nuisance / annoyance or hindrance illegal activity in the said premises or its surrounding neighborhood and the societys / Associations norms, rules and regulations will be binding to the Licensee and its occupants. 13. That the Licensee shall bear the current day to day minor repairs and maintenance to the premises. 14. That the Licensee shall permit the Licensor to enter upon the demised premises for inspection and carry out major repairs etc, as and when necessary. 15. If the Licensee fails to comply on any of the terms mentioned in this Agreements, the Licensor shall have right to terminate this Agreements by giving one months notice to the Licensee and the Licensee shall be liable over the vacant and peaceful possession back to the Licensor. 16. That the said premises is let to Mr. MOHAMMAD ZEESHAN for business purpose only. If he is transferred his business some where else, the licensee shall hand over the vacant and peaceful possession back to the Licensor, subject to the settlement of deposit paid and other charger due.

17. On the expiry (unless renewed) or sooner termination of this Agreement to remove itself and its officer entitled to use the said premises in terms of this Agreement and also to remove all their furniture and other articles and things brought in or up to the said premises by the Licensee in pursuance of this Agreement and to ensure to return the said premises to the Licensor in the same state and condition (subject however to any improvement made with the consent of the Licensor) as he was on the date of this Agreement, reasonable wear and tear accepted. 18. It being the express intention of both the parties that this is purely a leave and license Agreement and nothing herein contained shall constitute any tenancy or sub-tenancy between the Licensor and the Licensee.

19. The Licensor shall deliver the said premises to the Licensee on this date complete in all respects duly repaired with 2 cabins, 2 tables, 4 ceiling fans, electricity and clearing all the dues towards Electricity, Society / Associations Maintenance charges, failing which the licensee shall clear such dues on behalf of the Licensor and will deduct same from the License Fee payable to the Licensor. 20. That the original copy of this Agreement will be retained by the Licensor. Certified copy shall be retained by Licensee. 21. That the Licensor also agree (s) that the Licensee paying the License fee hereby (reserved and performing the conditions herein contained) shall peacefully and quietly possess and enjoy the said premises during the currency of the agreement without interruption or disturbance by the Licensor. 22. Upon the expiry of these Leave & License Agreement if not renewed, and sooner termination of this agreement, or the renewed term, the Licensee shall deliver possession of the said premises by removing all their belongings and physically handover the said premises to the Licensor and clear all the dues payables as per this agreement. In the event, the Licensor fails to refund the deposit; the licensor shall thereafter be liable to pay the Licensee, interest on the deposit at the rate of 8% per annum for the delayed period. The Licensee shall in that event be entitled to remain in occupation of the said Premises until refund deposit without liability to make any and all payments otherwise payable under the terms of this agreement. 23. The terms of this Agreement shall not be altered of added to nor shall anything be omitted from this Agreement except by means of an Agreement writing duly signed by the parties hereto. The Licensee shall not be entitled to any further renewal for any other reason whatsoever.

24. Electricity Meter Reading of Service No.3067859 is ----------- at the time of taking the possession. IN WITNESS WHEREOF the licensor and the Licensee have hereto set their hands in the day and year first written above.
