MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT AGREEMENT, made this 28th day of November 2022

at Puerto Princesa City entered into by and between:

MR. JERRY ACUÑA CHOI with address at 61-A Multinational Village Avenue,
Parañaque City where it may refer to us by the FIRST PARTY for purposes of
this agreement and MS. PRINCESS DIANNE B. DECOLONGON, residing at
Block 8 Lot 09 Sexta Calle Alta Homes Subdivision, Barangay San Jose, Puerto
Princesa City where she may be referred as the SECOND PARTY for purposes of
this agreement.

Whereas, on __________ the FIRST PARTY was demanded by BDO Unibank

(BRANCH) to pay the total amount of Php ___________ representing the car
loans of his three cars, to wit:

1. Nissan Terra with plate number NED 6242

2. Nissan Navarra with plate number NCR 8805
3. Toyota Hilux with plate number MCQ 8614

Which he purchased on _________ (dates) respectively, as the BDO Unibank

being the Mortgagee Bank.

Whereas, in order to settle the obligation with the Bank, the FIRST PARTY hires
the services of the SECOND PARTY, to process with the BDO Unibank among
others to settle, fix and to come up with the reasonable Statement of Account
(SOA) to be paid by the FIRST PARTY on the above-mentioned car units;
Whereas, it is understood that the SECOND PARTY will only be considered done
with her task the moment the Bank will issue a new SOA with lesser fees and
penalties including the imposition of not exorbitant arrears in favor of the FIRST
PARTY as the case may be;
Whereas, it was mutually agreed upon by the FIRST PARTY and SECOND
PARTY that the latter will be compensated the amount of Fifty Thousand pesos
(Php 50,000.00) per car unit or a total of One Hundred Fifty Thousand Pesos (Php
150, 000.00) which includes among others airfare, board and lodging,
transportation expenses and all necessary expenses ancillary to the aforesaid task
or obligation in favor of the FIRST PARTY;
Whereas, it was further agreed upon by both parties that the FIRST PARTY shall
pay 75% before the SECOND PARTY will begin to accomplish her above-
mentioned task and the remaining 25% shall be paid the moment the BDO
Unibank will issue a new statement of account that is favorable to the FIRST
PARTY;

Whereas, this CONTRACT AGREEMENT shall be valid and binding, between

the parties, their successors-in-interest and assigns. No amendment of the terms of
the instrument shall be effective unless in writing and signed by the parties therein.

Whereas, this CONTRACT AGREEMENT may be terminated by mutual

agreement of the parties and shall automatically terminate upon completion of all
responsibilities as stated herein unless otherwise amended.

Whereas, this CONTRACT AGREEMENT, words and expressions shall have the
same meaning as are respectively assigned to them in the condition of the contract.
In case anyone or more of the provisions contained herein shall, for any reason,
shall be held to be invalid, illegal or unenforceable in any respect, such invalidity,
illegality, unenforceability shall not affect any of the provisions of this Agreement.
In such event, the parties shall consult each other as to the manner by which their
original intention can be fulfilled as closely as possible and they will amend this
Agreement accordingly.

Whereas, the parties agree that all disputes, legal action, suits and proceedings
arising out of or relating to this Agreement, any Ancillary Agreement or the
transaction must be brought exclusively in the Court of Puerto Princes, Palawan.

Whereas, this MEMORANDUM AGREEMENT, the parties particularly, the

SECOND PARTY affirms that the same was fully discussed with her and the
latter’s signature herein below is an indication that she fully understood and accept
the terms and conditions of this Memorandum of Agreement and she may be
amended from time to time by mutual agreement of the parties in a written
modification signed by both parties
