AGREEMENT OF APPOINTMENT OF CSA

(First party)

This agreement Made on date ______________between M/S sun spark fresh Tea Pvt Ltd, having its
corporate office at 16/2, Sareen complex ,Sec 27 A industrial Area, Near Badkal Flyover -

Through its proprietor/ partnership/ Pvt Ltd/public Ltd hereafter called second party.

Whereas second party approached to first party with a request to perform as CSA for products
running under the division of sun spark fresh tea Pvt Ltd with Brand Name” sunshine”

TERMS AND CONDITION OF CSA APPOINTMENT

1. Second party areas of operation will be______________________________________________

2. Second party has agreed to invest Rs ______________lakh in first party product/ business as
investment in sunshine products.

3. First party will provide sufficient Manpower and marketing support to establish product in
your territory as agreed.

4. First party will send stock to second party up to 50% of his investment and balance 50% of
his investment will be hold as a security amount and company will pay simple interest@ 8%
per annum upon 50% security amount kept with company which is refundable at the time of
settlement of business as per full and settlement process of refund.

5. Second party will be responsible to deliver goods to super stockiest as per order by first party
through Email only.

6. Second party will not paid any amount to first party employee or any person without First
party permission in writing otherwise first party will not be responsible for any loss in this
respect.

7. If any goods return from SS to second party then goods should be return through commercial
vehicle like transport/tempo or any vehicle if second party has any vehicle. First party will
not be responsible for any stock theft by second party due to any reason.

8. First party employee will be responsible for appointment of Super Stockiest, distributors, any
sales channel suitable to company. Employees will be responsible for Sales and marketing of
first party product. They will not be responsible for any stock delivery, goods return and cash
collection on behalf of second party.

9. First party will be responsible to reimbursement of freight, Loading and unloading upon
delivery to Ss point only as per transport Bilti.

10. First party will provide sale commission @3% -Three percent of total monthly billing
to ss upon excluding freight and Gst value. Commission, Freight, loading,
Unloading will be paid to CSA till 15-20th of next month cycle after auditing
/checking / tracking.

11. All claim like any type of scheme, freight etc. will be reimbursed in 1 month’s business
cycle by first party to second party after auditing /checking/tracking.

12. This agreement is valid till both parties agree to work with Each other for Minimum 1 Year
And after 1 year it will be renew for second year if both parties are agreed to work for same

13. First party will be responsible for stock return from second party in case of exit from first

Holiday otherwise Rs 5000 per day penalty will be charged from CSA upon hold amount

15. Second party will be deliver goods at his firm invoice after getting sale note from first party
On mail.

16. All disputes are subject to jurisdiction of the Faridabad civil court only.

17. First party can terminate to second party in case of any cheating/fraud with company or its
Employee, customers, distributor or any person related /negligence of delivery of goods to
distributors with 3 months prior notice period and full and final settlement will be done with
each other as per notice period Norms.

18. Second party has to maintain stock register of goods sale to ss. company has right to check
Periodically Audit of stock Register.

19. Company will send stock at GST SALES INVOICE to second party (csa).

20. Company will be responsible to exchange for any damage and expiry of goods if product is
In resale able / repacking condition only maximum within 3 months of invoice.

21. Csa business establishment time is 3 to 6 months, so csa has to patience for the same to build
his assigned territory/ market.
