BANK GUARANTEE

CONTRACT FOR COOPERATIVE FINANCING

Issuing Party : FORESIGHT FINANCIAL SERVICES

(hereinafter referred to as “Party A”)

(hereinafter referred to as “Party B”)

With respect to cooperative financing of Party A’s BANK GUARANTEE with Party B, Party A
and Party B agree as follows:

1． Financing content:

Financing Instrument : BANK GUARANTEE (hereinafter referred to as the “BG”)

BG Format : ICC600 URDG758 Format
Term : One Year and One Day
Issuing Bank : Barclays Bank, London
Contract Amount : Euro 2 Billion. first One Billion, Second by both parties agreed
Denomination : Euro One Billion or by both parties agreed
Receiving bank : HSBC Bank Plc, Hong Kong
Benificiary : Designated by the Party B
Delivery : By Bank to bank SWIFT MT799 Pre-Advice and MT760. Hard copy of
BG delivered by bank secured courier
Cash Rate : Party B shall pay 80% of the face value of the BG’s to the bank
account designated by Party A
Payment code : ICBPO by MT799, Party B received MT760 after 5 working days
within payment. Hard copy to be delivered via bank bonded courier
within seven (7) banking days.
BG Liquidated Due : Expires BG by party A is responsible for liquidated

2. Operating procedures:

1) The parties shall confirm and meet the above conditions and attach hereto their
respective business registration certificates, colored scanned copies of signatories’
passports and the BG format and BCL provided by the receiving bank. After initialing the
Contract via Party B shall e-mail this Contract to Party A for initialing hereof. Within 2
working days of initialing the Contract, the both parties shall duly sign this Contract by e-
mail and submit the duly signed Contract to each party for the record, which thereby
automatically becomes a commercially recourse legal document in the Contract parties’
dwelling jurisdictions.

2) Within 3 working days after the parties duly sign the Contract and confirm the receiving
capacity of Party B’s bank, Party A shall give notice of BG pre-advice in the form of SWIFT
MT799 to the LENDING BANK designated by Party B.
3) Within 2 working days after Party B receives the said MT799 pre-advice of BG, Party B’s
the LENDING BANK shall reply to the issuing bank by SWIFT MT799, issue a ICBPO of
80% of the face value of the BG’s to Party A by MT799. Confirmed shall be paid within 3
working days after Party B’s bank receives and confirms Party A’s bank’s BG’s MT760.
4) Within 3 working days after Party B confirms its completion of the aforesaid procedures,
Party's A bank shall send formal BG’s MT760 to the receiving bank.
5) Within 3-5 working days after receiving and confirming the BG’s MT760, Party B shall
remit 80 % of the face value of the BG’s to the bank account designated by Party A .
6) The hard copies of the BG to be delivered via bank bonded courier to the buyer’s bank
within seven (7) days after receipt of total payouts by seller’s bank and intermediaries.
7) After the first transaction is completed, the subsequent operation shall be subject to the
above procedures until the Contract is fully performed.

2． The parties’ responsibilities:

A． Party A shall ensure that the provided BG’s are lawfully sourced, authentic and valid, not
leased notes and may be confirmed unconditionally at maturity, subject to the penalty of
perjury and the punishment for lawbreakers.
B． Party B shall ensure that it has the line of credit for bank’s BG’s and will pay in full Party A
80% of the face value of the BG’s. In case of breach of either of the said responsibilities,
Party B shall bear all the liabilities for breach of contract and pay a penalty to Party A.
C． It is agreed that if either party breaches the Contract, the breaching party shall pay the
non-breaching party 1% of the total Contract price as a penalty (50% of which is vested in
the intermediaries).

4． Applicable laws: This Contract is governed by ICC500/600 and the laws of the Hong Kong
Special Administrative Region.
5． This Contract takes effect upon signature by the parties’ representatives. This Contract is
made in four copies and each party holds one copy.
6． The parties hereby confirm that this Contract and the electronic versions of all the
documents attached hereto, including photocopies, duplicates and scanned copies, have
the same legal force as their originals.
