REAGENT TIE-UP AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This contract made and executed at Quezon City, Metro Manila, Philippines, this _________ by
and between:

MRL CYBERTEC CORPORATION, a corporation duly organized and existing by virtue of the
laws of the Republic of the Philippines, with principal office address at MRL Tower, 124 Malakas
St. Diliman Quezon City, represented herein by its National Sales Manager, MA. GIGI S.
VESLIÑO, referred to as the FIRST PARTY;

- and –

ST. MARTIN’S MISSION HOSPITAL a corporation duly organized and existing by virtue of
the laws of the Republic of the Philippines, with principal office address at Poblacion Sablayan,
Occidental Mindoro, herein represented by its Hospital Administrator, SISTER ARLYN N.
ASOR, OP referred to as the SECOND PARTY;

The FIRST PARTY and SECOND PARTY agree on the following contract package and terms and
conditions:

CONTRACT PERIOD : Three (3) years for One (1) unit

CONTRACT PACKAGE : Free Use of One (1) unit “MINDRAY” BS240

Clinical Chemistry Analyzer

TERMS OF PAYMENT : 30 Days

TERMS AND CONDITIONS:

a) Cost of Reagents: Please see attached “Annex 1”

b) The First Party shall provide service and maintenance by factory-trained service engineer
throughout the duration of the contract, Free of charge.

c) On site End user training will also be conducted, Free of charge.

d) Prices are subject to change due to several factors including foreign exchange
fluctuation, thus prices quoted are subject to change with prior notice. However, as a
protection for the hospital, in case of price increase, the Second Party shall continue to
be billed at the prevailing prices for a period of thirty (30) days. Thereafter, the hospital
shall be billed at the new prices.

e) That the Second Party shall not make any alternations or modifications on the
instrument and that the Second Party shall exercise due diligence in taking utmost care
of the One (1) unit “MINDRAY” BS240 Clinical Chemistry Analyzer and shall be held
responsible for any loss or damage that may be incurred due to severe mishandling or
misuse.

f) That, in case of machine loss, The Second Party shall reimburse the First Party the
amount of Php 980,000.00 for one (1) equipment.

g) That the Second Party shall purchase the listed reagent set and controls contained in
this agreement exclusively from the First Party for a period of Thirty Six (36) months,
commencing from the effectivity date of this agreement.
 h) That in the most unlikely event, that any of the terms and conditions of this agreement
is not fulfilled for any reason whatsoever, this agreement shall be considered terminated
and the Second Party agrees to return to the First Party the One (1) unit “MINDRAY”
BS240 Clinical Chemistry Analyzer in such good order and condition as when delivered,
less ordinary wear and tear.

i) In the event of hitting the quota of 10 samples per day everyday in the period of 3
years, the machine will be free of use and the reagent’s price will be back to its
Suggested Retail Price (SRP).
