BETWEEN:

(1) Deloitte Touche Tohmatsu India LLP, a firm registered under the Limited Liability Partnership
Act, 2008, having its registered office at Indiabulls Finance Centre, Tower 3, 27th - 32nd Floor,
Senapati Bapat Marg, Elphinstone Road (West), Mumbai – 400 013, Maharashtra, India (“Supplier
Party”); and

(2) Reckitt Benckiser Healthcare India Private Limited, a company incorporated under the
Companies Act, 1956, having its registered office at Plot No. 48, Sector 32 Institutional Area,
Gurgaon, Haryana and Branch Office/s at 12, Unit no 1201 and 1202, North Wing Skyview 20,
Divya Commercial Properties Pvt Ltd, Survey No 83/1, Raidurg Village, Serilingampally Mandal,
Ranga Reddy, Telangana, 500014 and The Executive Center, Level 3B, DLF Centre, Sansad
Marg, Connaught Place, New Delhi-110001 (“RB”);

IT IS AGREED AS FOLLOWS:

1. Incorporation and Interpretation

This Statement of Work is entered into between RBHIPL and DTTILLP pursuant to the Local
Agreement dated 04-March-2021 between Deloitte Touche Tohmatsu India LLP and Reckitt
Benckiser Healthcare India Private Limited (the “Local Agreement”) and signed First Addendum to
the Local Agreement on 17 th December 2021 and sets forth the specific terms and conditions
whereby the Supplier Party will provide RB with certain Services as set out in this Statement of
Work.

1.1 Defined terms used in this Statement of Work shall, unless the context requires otherwise, have the
same meaning as in the Local Agreement.

2. Term

2.1 The period for the provision of the Services under this Statement of Work will commence with effect
from 21st November 2022 (the “SOW Effective Date”) and will continue until either (i) the Services
are completed or (ii) this Statement of Work is terminated in accordance with the terms of the
Agreement, whichever is the earlier (the “SOW Term”)

2.2 This SOW shall terminate upon the Deliverables to be provided under this Statement of Work
passing the relevant Acceptance Tests, or where there are no Acceptance Tests then delivery of
the last Deliverable, unless otherwise terminated earlier in accordance with the terms of the
Agreement.

4. The services to be provided

4.1 DTTILLP will be providing loan staff resources for project management work.

The Services shall be availed by RB subject to issuance of specific PO’s

5. Delivery Plan: The consultants will work directly and deliver for RB under the RB’s supervision,
and RB will be responsible for the direction, supervision and control of their work. There is no
specific deliverables under this agreement.

7. RB Responsibilities

7.1 Timely access to necessary systems, information and documentation, internal and external teams
of RB to be made available to DTTILLP

8. Fees / Rates applicable for the services

8.1 The following Fees /rates shall be payable in consideration of the provision of the Services
pursuant to this Statement of Work.

8.2 Additional terms:

• On this basis the T&M Model cost will be INR 1,04,66,010. An invoice will be raised at the end
of each month for the actual efforts spent in that month.
• Payment Terms: Within sixty (60) days of the end of the month of receipt of the relevant
invoice by RB plus one (1) Business Day
• If RB is required to deduct or withhold any taxes or charges from any sum payable to
DTTILLP, then RB’s remittance to DTTILLP shall be made after deduction of such amounts. In
such instance, RB will provide information to DTTILLP for supporting such deduction. RB shall
also reimburse any travel and living expenses incurred by DTTILLP or the consultants in
connection with performance of the services by such consultants
• If the consultants are required to travel / work outside India for this engagement, RB will
ensure that the appropriate business visa / work permit is obtained for the consultants prior to
his/ her departure from India. If the consultants are required to stay and work outside India for
the purposes of this engagement, RB will reimburse the consultants for any applicable tax,
charge or levy on the personal income of the consultants which is payable by him/her due to
such overseas stay.
• Activities of the assignment will be planned with the project team in detail
