 1. Introduction

This document and any exhibits, appendices, schedules, and attachments to it is made pursuant
to the Spark Digitus, the terms of which are incorporated herein by reference, by and between
Spark Digitus (“Customer”, “you”, “your”, “Spark Digitus”) and ExaTex Enterprise Solutions,
(“ExaTex”, “us”, “we”, “our”, ”ExaTex Enterprise Solutions”), or our affiliate, and sets forth the
SharePoint Consultancy Services.

 2. Our Understanding and Proposition

It is our understanding that Spark Digitus requires services on development activity for STCS
Intranet Portal. The scope for this project is referred from shared proposal and Designs.

3. Deliverables

 Complete Developed solution including Site backup from development environment.

Payment Terms
The payments required to be paid as below.

20%  Resource Mobilization / Project Kick off

30%  Sprint 1 sign off

30%  Sprint 2 sign off

 5. Terms and Conditions

Following are the general terms imply:

1. Onsite activities (such as UAT, trainings and other meetings to finalize requirements) would
be performed by Spark Digitus.

2. The proposal is valid for a period of 30 days from the date of submission.

3. ExaTex will require 2 weeks mobilization period after getting official go ahead from customer
i.e. Letter of Award (LOA) along with 20% payment for project kick off. This period does not
include any training which resources may have to undergo.

4. The resource will be provided visa, ticket & accommodation by Spark Digitus, in case resource
needs to be at onsite.

5. Customer will provide required Infrastructure i.e. hardware, software etc. for smooth
proceeding of the engagement and efficient functioning of the requirement.

6. It will be the responsibility of customer to manage the outsourced resource, keep an accurate
track of work assigned to resource and to make sure of timely completion of tasks assigned.

7. The resource deployed will get the same status as other employees at customer in terms of
holidays and timings etc.

8. Quoted price is exclusive of any license fees for the products & components to be employed
in the building and deployment of the solution. They will be borne by the customer.

9. Efforts placed by the resources would be 8 hours a day/5 days a week. Timings can be agreed
mutually among two parties.

10. All deadlines of tasks will be agreed mutually btw resource(s) and customer.

11. There shall be only 1 point of contact with respect to day to day dealing between ExaTex
and customer on either side there will be only 1 person who will be responsible to execute
and/or give / receive instructions and other data.

12. Customer shall not hire or offer any employment agreement to ExaTex engaged resource(s).

13. ExaTex will provide best suited consultant of the desired skills set for the implementation
purpose. However, managing/guiding the outsourced resources will be the responsibility of
customer.

 14. Resources will be closely managed by customer’s Project Manager in order to make sure the
delivery of required tasks and for routine activities.

15. ExaTex shall be allowed to track resources’ performance and customer shall provide
necessary inputs if needed for resources’ performance during their direct interaction with
customer staff.

16. Customer shall give written notice for any termination to happen after giving at least 2 notices
to an onboard resource. The law applicable for any employee will be as per Saudia Arabia’s
existing federal labor laws.
