Timeline

1Center team has estimated each requirement (features, flow, integration points, etc.) based on

TERMS & CONDITIONS

1. Change Requests. Should the Client request additional features or changes at any point during
the project that do not align with the Statement of Work (SOW) or require changes to the SOW,
this will be considered a "change request". In such cases, 1Center will follow its standard
scoping process and create an additional SOW and project addendum to accommodate these
changes.

2. Content/Copy Writing. Unless specified otherwise in this SOW, content writing or copywriting
services are not included. The Client is expected to provide all copy for all site pages. If content
writing services are needed, 1Center will create an additional SOW and project addendum.
The Client must own, purchase, or license any content they provide.

3. Photography and Illustrations. Unless otherwise specified in this SOW, there are no illustration
or photography services included. The Client will need to provide all necessary photography
or illustrations to 1Center. If not, 1Center will use stock photography.

4. Post Deployment Support, Fixes, and Changes. 1Center will provide development support for
15 days post-deployment. If further requests or support are required after this period, the
Client will need to engage in a separate Support or Maintenance Agreement with 1Center, or
1Center will create an additional SOW and project addendum to handle these tasks.

5. Third-party Applications and Tools.

a) Any consultation, troubleshooting, or liaison work between the Client and a third-party will
either use site support hours if engaged, or will be billed to the Client a la carte.

b) 1Center has no control over third-party applications or tools and is not responsible for
them.

c) If a third-party application or tool fails to work as expected and additional work is needed
to set up or reconfigure an alternative solution, 1Center will create an additional SOW and
project addendum.

6. Hosting. 1Center does not control, own, or provide site domain, server, or hosting services. If
such services are needed, the Client will be responsible for purchasing and owning the
domain/hosting/server service, and providing the appropriate credentials to 1Center.

7. Theme Maintenance and Updates. Unless otherwise noted in the SOW, 1Center will not be
responsible for theme maintenance and updates. If the Client wants to proceed with a Theme
Maintenance engagement, 1Center offers several packages that can support this request. If the
Client does not engage in a Theme Maintenance engagement, updating, maintaining, and
ensuring the theme is always the latest version is the Client's responsibility.

8. Site Security. In the event of a security breach, hacking, or data theft, 1Center will not be held
responsible. The Client will need to contact their hosting, domain, third-party participants, or
software providers to resolve the issue.

9. Laws, Regulations, and Compliances. Unless otherwise directed by the Client and part of the
SOW, 1Center will not be responsible for adhering to city, state, or country laws, regulations, or
compliances. Also, 1Center will not ensure that the Client's website, application, or deliverable
is ADA Compliant unless it is specifically specified in the SOW.

10. Shipping and Payment Setup. 1Center is not responsible for setting up backend systems for
desired payment, taxes, or shipping methods. This information is confidential and should be
handled by the Client only. However, if the Client requires help configuring the system, the
1Center team can offer step-by-step guides or assistance so the Client can configure the
details independently.

11. Cost Recovery. 1Center will not be held responsible for the loss of revenue, sales, customers,
site visitors, etc., as many factors contribute to the success of an eCommerce business.

12. Deployment. All deployments by 1Center will be made outside of standard business hours to
limit risk during high-traffic hours. Depending on the size of the site and the elements involved,
the deployment process can take from a few minutes to a few hours before going live. 1Center
does not control the time it takes when re-pointing domains.

13. E-mail, DNS, A, MX Records, etc. 1Center is not responsible for setting up or migrating DNS
records. During deployment, 1Center only changes name servers. If there are email addresses
associated with the Client's domain, the Client will need to contact their IT provider or hosting
platform after deployment as they may need to set up/migrate the MX and A records since the
platform will take over hosting.

14. Site Speed. 1Center will not be held responsible for specific Site Speed results or optimization
requirements, as many factors contribute to site speed. However, the 1Center team will take
care of basic aspects to enhance page speed on Google.

15. Sandbox Ownership. 1Center will never own the Client's store or sandbox. As an agency
partner, the platform owns the sandbox in which the theme has been developed. Once the
theme has been deployed to the live store, 1Center will grant ownership access to the sandbox
to the Client. If the Client wants to keep the sandbox as their development environment, the
Client will be responsible for coordinating the same with the respective platform. 1Center does
not control or will not be held responsible for the sandbox's expiration, deletion, or
maintenance once the site has been deployed.

16. Sharing Credentials. For the security of the end customers and the Client, 1Center advises the
Client to share only the minimum necessary access and authorizations to their eCommerce
platform and apps. 1Center will guide clients on how to share the credentials with us. The
Client must never post their credentials in the chat or project management software in plain
text. If doing so results in any security breach or data theft against the Client, then 1Center is
not responsible for any liabilities and claims that arise from that against the Client.

SERVICE AGREEMENT

1. Agreement. This Service Agreement (the "Agreement"), including its Scope of Work (SOW),
Add-Ons, Compensation, Timelines, and Approvals, Terms, and Conditions sections, shall
govern the provision of services to the undersigned Client (the "Client") by 1Center ("Agency"
or "1Center").

2. Termination. Either party may terminate this Agreement for any reason by giving 15 days'
written notice. Upon termination of this Agreement by the Client, the Client must pay the
Agency for ALL billable hours spent on the project, which includes all services, scoping,
meetings, and project management time from the start of the project to the effective date of
cancellation. The Agency will then deliver to the Client all assets completed from the start of
the project to termination. At the Agency's election, the Client's delay of work under this
Agreement for a cumulative period of more than 30 days without the Agency's fault or consent
shall be considered a termination of this Agreement by the Client within the meaning of the
immediately preceding sentence. If the Client desires to terminate this Agreement due to the
Agency's fault, the Client shall give written notice to the Agency, elaborating the nature of the
Agency's fault and possible remedies in detail, after which the Agency shall have a reasonable
time (but no less than 30 days) to address such fault. Termination by the Client without
providing the foregoing notice and cure period shall be considered termination without the
Agency's fault as described above.

3. Expenses. The Client will be notified in advance for pre-approval of any additional expenses
set forth in the SOW. At the Agency's discretion, the Client shall either pay such fees directly to
the third-party vendor or reimburse the Agency for additional expenses.

4. Payment Terms. The Client shall pay the Agency for the work performed as set forth in the
SOW. In no event will any payment under this Agreement be contingent on receipt of any
monies or other compensation by the Client. Delays resulting from the action or inaction of the
Client may result in an adjustment in fees by the Agency. All rights of the Client herein are
conditioned on the Agency's receipt of payment. In addition, the Agency may suspend the
performance of services and withhold delivery of materials until full payment of all amounts
due as set forth in the "Compensation" section. The Agency shall not be liable for any
damages, losses, or liabilities arising from the Agency's suspension of performance and/or
withholding of materials due to the Client's non-payment. The Agency shall be entitled to all of
its costs of collection of amounts outstanding, including, without limitation, its attorneys' fees.

5. Client Representative. In order to avoid miscommunication, the Client shall appoint a sole
representative with full authority to provide or maintain any necessary information and
approvals that may be required by the Agency (the "Client Representative"). The Client
Representative shall be responsible for coordinating and reviewing the Agency's services and
notifying the Agency of the Client's instructions, change requests, and approvals. The email or
verbal approval of the Client Representative shall be final and binding on the Client. If, after the
Client Representative has approved a design, the Client or any authorized person alters the
scope of work or requires additional services, the Client shall pay all fees and expenses arising
from such changes and additional services as set forth in the "Terms and Conditions" section.

6. Client Obligation and Material. The Agency's ability to perform its obligations under this
Agreement depends on the Client fulfilling its own obligations. The Agency shall not be liable
for any costs, charges, or losses sustained by the Client arising directly from any failure of the
Client to fulfill its obligations under this Agreement.

The Client warrants that all assets, concepts, materials, specifications, information, and
instructions provided by the Client, or its agents may be utilized in accordance with this
Agreement and any applicable Statement of Work, including on the Internet, without violating
any laws or infringing any rights of any third parties.

7. Approval of Work. Work will not commence until the first payment has been made, as set forth
in the "Compensation" section. The Agency will begin work within five business days following
receipt of any deliverables and payment. The Client's written approval of any deliverables,
materials, plans, or other work created or produced by the Agency in the course of providing
the Services, or any cost estimate, will constitute the Agency's authority to purchase, publish,
make contracts for talent, space, time, and other facilities, and to do any other act or thing
which the Agency considers reasonable to carry out its obligations under this Agreement or
any Statement of Work.

8. Liability of Agency. The Agency shall not be held responsible for delays or nonperformance
caused by activities or factors beyond its reasonable control, including delays and
nonperformance caused by viruses, denial of service attacks, other acts or omissions by third
parties, Internet service providers, the Client or its contractors, strikes, lockouts, work
slowdowns or stoppages, accidents, fires, acts of God, terrorism, failure by the Client to timely
furnish information or approve or disapprove work, or faulty performance by the Client or
others, including third-party contractors hired by the Agency or by the Client. The Agency shall
not be liable for any indirect, third-party, incidental, special, consequential, exemplary, or
punitive damages arising from this Agreement. The Agency's maximum liability under this
Agreement shall not exceed the total fees received by it under this Agreement.

9. Confidential Information; Non-Solicitation. Confidential information is that which relates to the
Client's or Agency's research, development, trade secrets, or business affairs and includes, in
the case of the Agency's confidential information, concepts presented to, but not selected by,
the Client; it does not include information that is generally known or easily ascertainable by
third parties. The Agency and the Client shall mutually respect and maintain each other's
confidential information and shall use it only to perform their respective obligations under this
Agreement. For the avoidance of doubt, the confidential information does not include
information that is public knowledge, was in the recipient's possession before receipt, or is
independently developed by the recipient. Neither party shall solicit the other's employees,
independent contractors, or consultants or engage them in any work independent of the
parties' relationship under this Agreement during the term of the Agreement and for two years
thereafter.

10. Rights, Ownership, and Usage. Subject to the Agency's receiving full payment under this
Agreement, the Agency assigns to the Client, without representation or warranty, all rights,
title, and interest the Agency may have in any work specifically created by the Agency for the
Client under this Agreement, except that:
a) The Agency shall own and retain all rights to any and all concepts, ideas, designs,
proposals, and other work and materials (collectively, "Work") which have been presented
to the Client but not included in the final work product.
b) While giving the Client credit and marketing exposure, the Agency may show work as part
of its portfolio.
c) The Agency shall own and retain all rights to any technology, technical documentation,
inventions, algorithms, software, architecture, logic, navigation, 3D modeling files,
animation files, and other source files for front-end deliverables, computer programs,
source codes, game engines, or other backend and background elements, files, and
features incorporated into or utilized by the work (collectively, "Background Technology").
Unless the parties agree otherwise in a written and signed Statement of Work, the Agency
shall retain ownership of any and all Background Technology, including any and all
associated intellectual property rights.

11. Signature and Acceptance. By signing this proposal, the Client acknowledges understanding
and agreement to each section; Scope of Work (SOW), Add-ons, Compensation, Timelines,
Approvals, Terms, and Conditions.

This proposal constitutes an offer by 1Center valid for 5 Days from the date on this proposal. Your
Signature below indicates acceptance of this proposal and entrance into a contract with 1Center.
