SECURITY SERVICE CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This contract made and executed this ____________ 2018, in the City of
Mandaluyong by and between:

Outsourcing Corporation

An establishment duly registered and existing by virtue of the laws of the


Republic of the Philippines with business address at ______________ Metro Manila
represented by its President & CEO hereinafter referred to as the Principal/Client.” and

AGENCY AND SERVICES, INC.

A duly licensed security agency organized and existing under and by virtue of the
laws of the Republic of the Philippines, with business address at _______________
and represented herein by its Assistant General Manager hereinafter referred to as
Contractor/Agency

WITNESSETH

WHEREAS, the AGENCY has offered its services to guard and protect the
property of the CLIENT, against theft, pilferage, robbery, arson, and all other acts
against property by strangers or malefactors, as well as protecting the
CLIENT's officers, directors, employees, visitors and guests from assault, harassment,
threat or intimidation, and enforcing and implementing its rules, policies and regulations,
relative to maintenance of security and safety there at. 

WHEREAS, the CLIENT has accepted the proposed offer for the purposes of
guarding and protecting the properties of establishments the CLIENT located at the
above-mentioned address as well as client offices/ against all criminal acts above
mentioned.

NOW, THEREFORE, in consideration of the foregoing premises, the parties


hereunto have agreed and do hereby agree the one with the other on the following
agreement, stipulations, terms and conditions:

1. The agency will provide the CLIENT with qualified, bonded, uniformed guards
with the following qualifications:
a. Filipino citizen
b. High School / College Graduate

c. Physically and mentally fit;
d. Not less than Twenty-One (21) years of age;
e. Must have passed a neuro –psychological (NP) evaluation and with Drug
Test Clearance.
f. Cleared by law enforcement and without previous record of any conviction
of criminal offense involving moral turpitude;
g. Of good moral character and pleasant disposition

2. The AGENCY shall provide as its expense the regular guard trainings,
inspector/s and necessary equipment’s as may be requested by the CLIENT for
the security purpose.

3. The AGENCY shall provide the CLIENT during the existence of the contract, the
initial number of eight (8) duly licensed security personnel, who shall render
twelve (12) hours duty per shift per day at the establishments/offices of Makati
City. It was arranged and understood that this number may be increased by
mutual agreement of the parties and dependent upon the security situation or
necessity of the service.

4. To ensure that guard on post are always manned during the time required, the
AGENCY shall maintain and made available guard relievers or replacement
when the need arises, such as, in the case of absences and shortage of
sentinel’s present at the premises to cover temporarily the post of the absent
guards.

5. The AGENCY shall, as its own expenses, make periodic and appropriate
inspection of the guards assigned in the CLIENT’S premises and shall exercise
discipline, control and supervision and administration over the security personnel
assigned in the CLIENT’S premises in accordance with rules and regulations and
of the Security Agency Law prescribed in RA 5487.

6. The CLIENT shall have the right to inspect the guards of the AGENCY with a view
of determining the quality of services rendered by the AGENCY personnel within
the premises. It is expressly understood and agreed that the CLIENT at any time
may request for the immediate replacement of any security guard/personnel of
the AGENCY assigned in the CLIENT’S premises for reason, which the CLIENT
believes to be prejudicial to his interest.

7. Similarly, It is expressly understood herein that the guard/s of the AGENCY are
in no sense employees of the CLIENT and as such the AGENCY shall be
responsible for claim for any personal injury or damage arising out of and in the
course of the performance of security functions and duties.

8. The AGENCY shall be responsible only for such losses or damage which is due
solely to the negligence of the guards. In case of loss or damage, written notice
and information should be given to the AGENCY within Twenty-Four (24) hours
from the time of occurrence.

9. In this connection, the CLIENT agrees to have the AGENCY properly
represented in any investigation that will be conducted where the responsibility of
the AGENCY is at stake. If after the investigation, it is established beyond
reasonable doubt that the loss/damage incurred by the CLIENT is attributed
solely to the fault or negligence of the guards without any contributory negligence
on the part of the CLIENT, the AGENCY agrees to restore, indemnify and pay for
such loss or damage.

10. The agency shall not be liable however, if the loss/damage is due to or
occasioned    by any of the following:

a. Force majeure or fortuitous event;


b. Negligence on the part of the CLIENT or any of its employees;
c. The loss/damage property was not properly, physically, personally
accounted for or inventoried by both the AGENCY and the CLIENT or by
their duly authorized representative.
d. When the loss or damage property occurred inside a close house,
structure, office, room, building or warehouse where the guards of the
AGENCY are not allowed or have no access, unless there are clear signs
or forcible entry in areas within sight of the guards;
e. When the loss or damaged property is pocket able or easily transported or
concealed or which cannot be considered as bulky such as, but not limited
to pocket calculators, cellphones, jewelries and cash;
f. When the CLIENT’S lost/damaged properties were issued to its official
employees for his/her use, care and safekeeping and the said properties
were not duly turned over to the AGENCY’S guard or representative;
g. When the loss/damage properties belong personally to the
official/employees of the client;
h. When the loss/damage is due to or results of orders of the CLIENT
beyond the scope of this contract.

11. For and in consideration of the services to be rendered by the AGENCY, the
CLIENT shall pay the AGENCY the amount of indicated in the Contract Rate as
ANNEXES “A” and “B” as form part of this CONTRACT to include the admin fee
of twenty percent (20%). Payments shall be made within Five (5) working days
upon receipt of the Billing Statement. In case of NO available signatory, the
Client will notify the Agency two (2) days before the collection day.

12. In case a new law on New Wage Orders is promulgated increasing the statutory
wage rate and other Fringe Benefits of workers, taxes and other government
imposts that will consequently affect the contract rate, the same shall be
subjected to 30 days’ notice and proper negotiation between the parties prior to
its implementation.

13. It is further agreed by both parties that should the CLIENT fails to pay the
AGENCY the services rendered for two (2) consecutive pay periods, such will be
sufficient cause for the agency to terminate the AGREEMENT by written notice to
the effect at least Fifteen (15) days in advance, and to pull out its representative

(security guards), and the CLIENT shall be liable for corresponding charges due
to breach of contract.

14. In case of litigation arising from or in connection with this contract, venue of
action shall be filed in the proper court of City of Mandaluyong and an amount
equivalent to 25% of the amount claimed shall be due and demandable as
Attorney’s fee. The Aggrieved Party reserves the right to charge liquidated
damages equivalent to Twenty percent (20%) of the consideration of the contract
over and above the actual damage suffered by the aggrieved party arising from
the breach of contract.

15. Provided further that should one party desires to terminate this contract for any
valid reasons before expiry date, party concern should submit a Thirty (30) days
written advance notice to the other party.

16. This contract shall be in full force and effect for a period of one (1) year
commencing on _________________, 2018 up to ________________, 2019
and after the date of such expiration, this contract shall be automatically
extended for the period of one (1) year, subject to amendments, if and when new
laws are issued which will affect this agreement and that the same is
automatically extended for the same period unless it is terminated which may be
done by other parties for any reason upon giving thirty (30) days written notice to
that effect.

the date first stated above.
