SECURITY SERVICES AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This service agreement made and entered into by and between:

AMA COMPUTER COLLEGE-ILOILO CITY, INC., a corporation duly organized and existing
under and by virtue of the Laws of the Republic of the Philippines, with business address at W2
Lim Bldg., Villa Lizares Subd., Mc Arthur Drive Tabuc Suba, Jaro, Iloilo City, represented by
PAMELA DEPOSITARIO in her capacity as SAA/REGISTRAR herein referred to as the
“CLIENT”.

-And-

GOLD CLAW SECURITY AGENCY a corporation duly organized and existing under and by
virtue of the Laws of the Republic of the Philippines, with principal office at 349 Fuentes-
Delgado Sts., Iloilo City and herein represented by its BRANCH MANAGER, VICTORIO G.
GEDOR hereinafter referred to as the “AGENCY”.

WHEREAS, the Client has agreed to hire the services of the Agency and this is to provide
licensed security guard/s in his establishment.

NOW, THEREFORE, for and in consideration of the above foregoing premises and the mutual
covenants and stipulations set forth herein, both the “Client” and the ”Agency” agreed as
follows;

1. That the Agency agrees to provide the Client, licensed security guard/s for the protection
of life, security of the rights and interest, office, building and other fixed assets within the
designated area of responsibilities against theft, pilferage and other unlawful acts that
maybe committed against the latter;

2. That the One (1) lady guard that the agency will provide whose daily 12-hours tour of
duty or are designated by the client shall abide with the Rules and Regulations set forth
by the Client.

3. Should the Client be in need for additional security manpower to serve them, the Agency
shall provide the needed number of guards as per Client’s written request with the same
terms and conditions as stated in the contract;

4. That the Agency agrees to replace the security guards found to be violating the Rules
and Regulations given to them by the Client or whose performance has been found to be
unsatisfactory which is to be the main prerogative of the Client provided however that
the Agency should be notified prior to the replacement;

5. That the Client shall not be responsible for any accident, injury of any kind sustained by
any of the guard assigned to them. The Agency shall be responsible for any claims
made by the guards e.g. SSS, Philhealth, Insurance and HDMF premiums this will
include Labor disputes;

6. That the Agency shall be exclusively responsible for the enforcement of compliance with
the observance of Labor Laws pertinent to the Rules and Regulations governing the
employer / employee relationship and other applicable laws related to such;
7. Any loses; damages that may be suffered by the Client as a result of acts of omission,
fault, and negligence of the guard/s assigned shall be covered by the Agency. However
damages on properties and fixed assets entrusted by the Client to their employees and
considered as outside the territorial and administrative responsibility of the Agency, the
time of loss or damage the Agency shall not be held liable, including other incidents
which are by nature, “force majeure”;

8. Losses of damages to property shall be brought to the Agency within twenty-four (24)
hours from the occurrence or discovery thereof so that that Agency can take appropriate
action on the event;

9. That the Agency shall provide the Security Guard/s reliable firearms as per request by
the Client may it be a 0.38 Caliber Revolver or a 12 Gauge Shotgun with sufficient
ammunitions;

10. That for and in consideration of the services rendered, the Client shall pay the agency
the amount of Twenty-six Thousand Eight Hundred Sixty-One pesos and seventeen
Centavos (Php 26, 861.17 ) per guard per month of duty not included Sundays and
Holidays

11. That this contract shall commence on October 01, 2023 and shall remain in full force up
to September 31, 2024 and can only be terminated upon mutual agreement by both
parties.

12. That the Client shall suggest to the Agency how to improve and or enhance performance
of duties of the security guard/s assigned to them;

13. That the Agency should have reserve security guard/s at all time that will relieve the
regular posted guard/s in case of emergency to prevent delay of operations on Client’s
side.

14. That the Agency in any case is prohibited to post any guard (be it in a reliever or a
regular post) unless otherwise recognized or authorized by the Client.

IN WITNESS THEREOF, the parties hereof, with their duly authorized representative, signed
the foregoing instrument in the City of Iloilo, Philippines, this ______ day of _________, 2023.
