SECURITY SERVICE CONTRACT

KNOW ALL MEN BY THESE .PRESENTS:

This Security Service Contract made and executed this ________________ by


and between:

SIDEKICK FORCE INVESTIGATION &


SECURITY SERVICES, INC.
(Name of Security Agency)

A duly licensed Private Security Agency duly organized and existing under
and by virtue of the laws of the Republic of the Philippines with MAIN OFFICE
address at 137-L 2nd Floor Ly Wing Bldg., Magsaysay Ave., Baguio City,
represented herein by its Branch Manager, MELANIE MANGOMA, of legal age,
Filipino citizen, with branch office address at Brgy. 8 Gen. Luna St. 3/F 80888
Realty Ventures, Laoag City, Ilocos Norte, Philippines, hereinafter referred to as
the “SECURITY AGENCY”.

RJR MEDIA SOLUTIONS, INC

A corporation duly organized and existing under and by virtue of the laws
of the Republic of the Philippines, respesented by its President/Station Manager
JOSE MARIA T. PARROCO of legal age, with Principal Office at Laoag City,
herein after referred to as the “CLIENT.”

WITHNESSETH, That:

WHEREAS, the SECURITY AGENCY is engaged in the business of


rendering private security guard throughout Philippines and is duly licensed as
such under Republic Act 5487, otherwise known as the “PRIVATE SECURITY
AGENCY LAW” as amended and has offered to provide the client with the
services of private security guard/s for the purpose of safeguarding, securing

and protecting the premises, properties and all installation found within the
CLIENT’s premises located at FJE BUILDING, Brgy. 29, Rizal St, Laoag City, Ilocos
Norte;

WHEREAS, the CLIENT desires to engage the services of the Security


Agency for the purpose of securing/protecting the CLIENT’s properties
including all the employees of the client while inside the office and premises of
RJR MEDIA SOLUTIONS, INC against all forms of crimes, misdemeanor as
defined under the Revised Penal Code of the Philippines as amended or any
other laws, rules and regulations that may be issued by the government, and
the CLIENT has accepted the offer of the SECURITY AGENCY.

NOW THEREFORE, for and in consideration of the above-premises, the


parties herein agree to the following terms and condition, to wit:

1. The SECURITY AGENCY shall provide the CLIENT the Security Guard/s
which is acceptable to the latter, they will be assigned to all the properties
owned by Manila Broadcasting Company (MBC) such as FJE Building, Brgy.
29, Rizal St, and its transmitter site located at Brgy. 30B Sta. Maria, Laoag
City, two (2) guards will be assigned to the studio, and one (1) guard for
the transmitter site, which shall take effect on ________of February, 2020
and everyday thereafter. The agency shall provide additional security
guard/s as required by the CLIENT from time to time subject to prior
notification and acceptance by the SECURITY AGENCY.

2. For clarity, the security guard assigned in the transmitter site will report
during the night only from 7:00PM to 7:00AM the following day.

3. It is understood that the Security Guard assigned and/or posted by the


Security Agency shall have the qualification in accordance with Republic
Act 5487, as amended as well as its implementing rules and regulation
duly issued by the Philippine National Police.

4. To ensure that the guarding post are always manned during the time
required, the SECURITY AGENCY shall undertake to provide available
reliever/s and or replacement immediately after learning the absence of

the assigned security guard; but in case of shortage of any available
reliever, the SECURITY AGENCY shall have the option to deduct from
AGENCY’S billing. However, without need of demand, the Security
Agency will provide the client an explanation as to the reason of the
absence of the reliever but must inform the client ahead of time.

5. The functions and duties of the security guards other that what was
mentioned above shall include, but not limited to the following, to wit:

A) Secure, watch, safeguard and protect the PROPERTY of the CLIENT


from trespassers, theft, robbery, arson and any destructive acts that
may injure the client including its employees while inside the premises
of the client;

B) Enforce and implement rules and regulations and policies of the


CLIENT aimed to maintain security and safety within the premises of
the company;

C) Maintain law and order in the PROPERTY of the CLIENT.

D) Also, the CLIENT may inform from time to time, publish or issue written
instruction, rules and regulations for the security guard/s of the
SECURITY AGENCY to enforce or implement;

6. There is no employer-employee relationship between the CLIENT and the


security guard/s who the SECURITY AGENCY may have assigned to
perform the services called for hereunder; on the other hand, and that
whatever instruction maybe given by the CLIENT directly to the security
guard/s shall be constructed simply as desired by the CLIENT to ensure
efficient service result. As such, the SECURITY AGENCY hereby warrants
to fully and faithfully comply with the provision of the NEW LABOR CODE
as well as other presidential decrees. Letter of instruction, General Order
Laws, Rules and Regulations pertaining to the employment of the labor
now existing. Administration/discipline and supervision of the security
guard/s to be assigned by the SECURITY AGENCY under this agreement
shall conform with REPUBLIC ACT 5487 otherwise known as “PRIVATE
SECURITY AGENCY LAW” and its implementing rules and regulations
prescribed by the Chief of Philippine National Police as well as those of

the SECURITY AGENCY shall retain and exercise the sole and exclusive
and absolute right as employer to select, rotate, reassign, suspend, layoff,
terminate CLIENT. It is further understood that the SECURITY AGENCY
shall select, engage, or discharge its employee or agent and otherwise
direct control over their services and determination of wages, salaries or
compensation of its employees shall be within its sole and full control.
However, the client is hereby given a right to select security guards to be
assigned in the premises of the client.

7. The security guards to be assigned by the SECURITY AGENCY to the


CLIENT’s premises shall, on and for the account of the SECURITY AGENCY
be acquired with nightstick and firearms, as well as other equipment
needed, the kind and number which shall be exclusively determined by
the SECURITY AGENCY.

8. The CLIENT shall not be responsible for any incident, mishap or injury of
any kind or nature that maybe sustained/caused by the security guard/s
so furnished by the SECURITY AGENCY in connection with their/his
services in the premises during their tour of duty/duties including death
resulting therefrom, it is also understood that the security guard/s are the
employees of the SECURITY AGENCY and not the CLIENT, and that all
benefits the security guard/s or heirs may claim in connection with their
duties and employment shall be determined by the SECURITY AGENCY
whatsoever.

9. The SECURITY AGENCY shall assume full responsibility for any loss, due
to theft, robbery, pilferage and trespass which the CLIENT may suffer
during the watch hours of duty of the SECURITY AGENCY’s assigned
Security Guard/s; provided that it has been established within the same
degree of proof, that the property was inside the CLIENT’s secured
establishment just before the loss or damage occurred or was discovered,
it is understood that the degree of proof as mentioned is a good father
of a family defined under the Civil Code of the Philippine.

10. The SECURITY AGENCY shall not be liable for losses and/or
damage due to the following:

A. Where the property claimed to have been lost was not within the
security responsibilities or was kept in an open space or storage or was
not duly turnover to the SECURITY AGENCY or its authorized
representatives/guards for physical inventory, proper recording and
safeguarding although not kept in an open space or storage have been
issued to the CLIENT’s employees who, therefore, become directly
responsible for their use, care and safeguarding or safekeeping.

B. Where the loss has occurred in a closed and/or locked warehouse,


office, room, or building wherein under normal conditions the guard
had no access except where it has been proved that the door or any
part of the building had been forcibly opened and that said loss is
reported to the guard immediately upon discovery.

C. Where such loss was due to force majeure and/or fortuitous events or
due to any of the following: robbery in band, tumultuous affrays, acts
of dissidence, war, insurrection, demonstrations or rallied; and

D. When the items reported ‘lost’ were small and pocket-able including
personal belongings of employees and where the CLIENT is not
expressly required and authorized in searching of all personal vehicle
and leave the establishment/premises.

11. The CLIENT obligates itself to report in writing the SECURITY


AGENCY any compensable loss or damage to the CLIENT’s property (1)
week after its occurrence or discovery; otherwise the CLIENT shall be
considered to have waived its right to proceed against the SECURITY
AGENCY for such loss or damage. The personal effect or properties of
individual employees left by them anywhere inside the CLIENT’s are
included in the coverage of this contract. In this regard, the CLIENT agrees
and undertakes not to deduct any amount from the billing of the latter to
the former, pending acceptance by the SECURITY AGENCY.

12. For the consideration of the services to be rendered by the


SECURITY AGENCY to the CLIENT, the latter shall pay without the need
of demand, but subject to the submission of a Statement of Account, pay

to the account of SECURITY AGENCY, the amount of P 13,000.00
Philippine Currency: 13,000.00 Per guard

Per calendar month for the services rendered by each security guard for
12 hours daily duty required by the CLIENT. The services for the first half
(every 15th and end of the month) payments shall be payable one (1) week
after submission of the bill/statement of account but in the event of delay,
the reason of such shall be communicated immediately to the Security
Agency.

13. The SECURITY AGENCY shall not be liable to the CLIENT or to any
person to the personal obligation or indebtedness of the security guard/s
assigned to the CLIENT.

14. Should any lawful order be enacted decreed, or promulgated during


the duration of this Agreement which would increase the Security’s cost
rendering service called for hereunder, upon approval by the CLIENT it is
hereby agreed that the monthly fee stated above be adjusted to the
extent by which Security’s cost shall increase to take effect upon CLIENT’s
approval to the Security’s cost increased.

15. This contract shall take effect on February __, 2020 and shall
continue in full force and effect for a period of TWO YEARS and maybe
renewed for the same period upon expiration of this contract, the same is
deemed to remain full force and effect on a month-to month basis. Any
violation of the terms and conditions of this contract may be a valid
ground for a termination of the same upon thirty (30) days written notice
by one party to the other.

16. The parties may terminate this agreement in the event of a serious
violation hereof to warrant termination upon service of written notice of
termination to both of them;

17. Moreover, in the event of cases brought arising from this


agreement, complaints should be filed within the court of Laoag City,
Ilocos Norte to the exclusion of all other courts in the Philippines.

Security Contract
18. This agreement consisting of eight (8) pages including the last page
shall be binding upon the administration, executors, successors and
assigns of the parties hereto.
