SERVICE PARTNER AGREEMENT BETWEEN SILICON VALLEY COMPUTER GROUP PHILS., INC.

This agreement is made and executed between SILICON VALLEY COMPUTER GROUP (PHILIPPINES),
INC., a corporation duly organized and existing under the laws of the republic of the Philippines, with its
principal place of business located at 35 San Antonio St., San Francisco Del Monte, Quezon City.
(hereinafter referred to as the Silicon Valley), and represented by Albert M. Urbano, Technical
Manager;

the Republic of the Philippines, with its principal place of business ____(STATE YOUR
ADDRESS)_____; (hereinafter referred to as the Service Partner), and represented by its owner, Mr.
Michael B. Holado.

WITNESSETH:

WHEREAS, Silicon Valley desires to furnish warranty services for the products delivered and sold to
customers in the ____(STATE YOUR REGION)_____;

WHEREAS, Silicon Valley desires to appoint ____(STATE YOUR COMPANY NAME)_____to perform
the warranty services on Desktops, Laptops, Tablets, Printers, and Smart TVs among others, on
behalf of Silicon Valley in ____(STATE YOUR REGION)_____;.

WHEREAS, ____(STATE YOUR COMPANY NAME)_____is willing to perform the warranty services for
the products and has the requisite experience to provide the warranty Services based on the terms and
conditions set forth below.

WHEREAS, both parties have reached accord as to their respective rights and obligations in the
premises;

Now, therefore, be it known; that the parties hereto have agreed, as they do hereby agree, as follows:

1. That, Silicon Valley hereby appoints ____(STATE YOUR COMPANY NAME)_____to perform the
non-exclusive Warranty Services and ____(STATE YOUR COMPANY NAME)_____hereby
accepts such appointment and agrees to perform the Warranty Services on behalf of Silicon
Valley for the customers within ____(STATE YOUR REGION)_____;. Silicon Valley may in its
reasonable discretion appoint and designate other service centers for providing the same or
similar Warranty Services on the Products in ____(STATE YOUR REGION)_____;from time to
time.

2. That, ____(STATE YOUR COMPANY NAME)_____shall exert its best efforts to perform the
Warranty Services for the computers and peripherals sold by Silicon Valley, and to perform other
service-related activities as requested by Silicon Valley.
3. That Silicon Valley shall provide spare parts needed for the completion of repairs of ____(STATE
YOUR COMPANY NAME)_____.

4. That upon the request of Silicon Valley, ____(STATE YOUR COMPANY NAME)_____shall
assign an engineer to do on-site services in the area of ____(STATE YOUR REGION)_____;.

5. That as herein duly appointed/authorized, ____(STATE YOUR COMPANY NAME)_____shall

have the following obligations:

a. Shall accept repair of product under warranty. Service Partner is entitled for
warranty labor rebates and warranty parts replacement claims. Such entitlement
shall apply only to actual and direct repairs of within warranty units.
b. Shall perform prompt and quality repair services.
c. Shall maintain adequate records of transactions pertaining to servicing of in-
warranty to support subsequent warranty claims and customer surveys.

d. Shall permit the Silicon Valley to access relevant records pertaining to repair and
services rendered to in-warranty units.

6. That Silicon Valley shall have the following obligations, to wit:

a. Shall provide support to Service Partner for the repair of in warranty products sold by
Silicon Valley. Warranty claims shall be processed based on established guidelines.

b. Provide free technical training, service manuals, part catalogues, technical

information and product updates to support repair services.

7. That each party undertakes with the other party, both for the duration of the contract
and thereafter, to keep confidential all matters pertaining to the business and affair of
the other party and activities of the other party or pursuant to or arising out of this
agreement and comprising all information of confidential nature.

8. That notwithstanding any provision herein contained, it is hereby understood and

agreed that the Service Partner is an independent third party contactor with its own
distinct legal personality independent and separate from the Silicon Valley.

9. That either party may terminate this agreement at any time by giving the other party a
written notice of termination at least sixty (60) calendar days prior to the date of
intended termination.

10. The Company may suspend, cancel, or terminate this agreement based but not limited
to the following grounds; (a) breach of agreement ,(b) ceases to be qualifies and
authorized to carry-out business transaction as provided in the agreement, (c) poor
service performance and/or (d) misrepresentation compromising Silicon Valley.
 11. That this Contract shall be valid and effective for a period of five (5) years or from July
25, 2023 to July 24, 2028 unless terminated by either or both parties.
