MEMORANDUM OF AGREEMENT

Know all Men by these Presents:

This Memorandum of Agreement entered into this ___________________ in

__________, Philippines, by and between:

__________________________ legal age with address located at

___________________________, herein referred to as the First Party.

-and-

___________________________ of legal age, with address located at,

representing ____________________________ as __________________ (the
Talent) herein referred to as the Second Party.

WITNESSETH:

WHEREAS, the First Party is organizing an event as part of its effort to solicit funds for
the Yahuweh Shelter Foundation and other selected beneficiaries on May 25, 2024 at the Grand
Convention Hall “A” and “B”, Philippine Gateway Hotel, Km. 2 Checkpoint, Barangay Luna,
Surigao City;

WHEREAS,, the Second Party, is capable of providing the necessary Talent/s to perform
during the said event;

WHEREAS, the parties agree to enter into Talent Service Agreement for the latter to make
available its talent __________________ with the stage name “_______________”, to perform
on May 25, 2024 at the aforementioned venue;

NOW, THEREFORE, for and in consideration of _________________________________

(Php _________) in addition to the foregoing premises, the parties hereto hereby agree on the
following:

1. The First Party shall:

a. Provide round trip tickets via the most available and convenient airline from
Manila to Surigao City for the entourage. A total of two (2) will be in the
entourage.
b. Provide full security of the whole entourage shall be enforced within the duration
of their stay.
c. Provide in-land transportation and food accommodation within the duration of
their stay.
d. Provide hotel accommodation for the whole entourage of two (2) pax.
e. Dressing room for the entourage and professional sound and light system from a
reputable supplier and technicians shall also be provided.

2. The Second Party shall:

a. Provide its talent, ____________________, who shall perform during the event
on May 25, 2024.
b. Undertake to monitor the punctuality of its talent.

I. Terms of Payment

The First Party shall pay the Second Party a total remuneration of
__________________ Pesos (_______________), net of taxes.
 The manner of payment will be as follows:

a) Fifty percent (50%) or ______________________ (Php

____________) shall be paid on the date of contract signing;

 The down payment shall be deposited in the listed

b) The remaining balance of Fifty percent (50%) or

the arrival of the Second Party to Surigao City.

II. CANCELLATION OR POSTPONEMENT

1. In the event of cancellation or postponement of the Show due to force majeure

causes such as social unrest, war, sickness, extreme weather conditions, riots
and civil disturbances, Producer, Parties shall re-schedule the Show on
mutually convenient dates

2. In the event of cancellation of the Show or any part thereof for reasons
attributable to Talent or Second Party’s fault, and provided that the
cancellation does not arise from a force majeure event, the latter shall be
obliged to return all payments by First Party without prejudice to other legal
remedies available to the First Party.

III. NAME AND LICENSES

Producer shall have the limited right to use Talent’s name, photograph, likeness
voice and or biographical material for the purpose of promoting and advertising the
Show which right shall in no case extend beyond the Performance Schedule or other
schedule.

IV. WARRANTIES AND REPRESENTATION

Each party warrants and represents to the other that it has power and authority to
enter into and perform this Agreement. The party in breach shall indemnify and hold
the other free and harmless from and against all claims that may arise by reason of
the breaching party’s violation of warranties, representation and obligations in this
Agreement.

V. GENERAL PROVISIONS

1. A waiver of any provision of this Agreement must be in writing and shall not be
deemed a waiver of any succeeding breach of the same of a different nature;
2. If any provision of this Agreement is contrary to any applicable law or
regulation, all other provisions of this Agreement shall continue in full force
and effect;
3. The validity, construction and performance of this Agreement is governed by
the laws of the Republic of the Philippines;
4. This Agreement constitutes the complete and final between parties and
supersedes any and all prior agreements and negotiations between the parties
concerning the subject matter of this Agreement.
 VI. EFFECTIVITY

This agreement shall be effective and binding upon signing hereof by the
parties.

IX. CONFIDENTIALITY

The Second Party shall keep all information and the terms of this contract
private and confidential. Conversely, the First Party shall keep the terms of
this agreement confidential and will not divulge, photocopy or share any
relevant information to any person.
