CONTRACT OF EXCHANGE

hereby agree to the following:

1. To exchange the following goods, one for the other, with no further or residual
costs, fees, residuals, or items. Both parties agree that the bartered items are
listed at fair market value for their respective industries , and that all items are
in good working condition:

2. Party 1 agrees to deliver the item to __________ no later than __________.
Party 2 agrees to deliver the item to __________ no later than __________. If
either party fails to deliver, he will provide due compensation to the other for
the charges of transportation incurred.

3. Party 1 agrees to settle the remaining Monthly Amortization amounting to

___________ for ____ months starting on _________ as payment for
assumption of mortgage under (name of financing company). It is in the form of
post-dated checks listed below and shall be paid on or before the date stated on
the check. Should the Party 1 fail to pay the monthly due, he should pay the
charges the transaction may incur.

 4. Party 2 agrees to provide Party 1 the original copy of the Official Receipt and
Certificate of Registration of the Party 2 Item once payments have been
completed.

5. Party 1 agrees to provide Part 2 the original copy of the Official Receipt and
Certificate of Registration of the Party 1 Item once the original copy of the
Official Receipt and Certificate of Registration of the Party 2 Item is made
available and turned over to Party 1.

6. Neither party shall have any hold, claim, nor has due over the other once this
contract has been completed. Both parties shall indemnify and hold harmless
the other for (including, but not limited to) voiding the warranty, loss, theft,
injury, and death caused by the bartered item(s).

7. This Contract shall be valid and binding between the parties, their successors-
in-interest and assigns.
