LOCAL VENDOR
1. The Vendor is or will be doing business or engaging in business transactions with Energy
Development Corporation (“EDC”) as a contractor or supplier of goods and/or services.
2. None of the Vendor’s partners, owners, investors, stockholders, officers, representatives, agents
or employees, or as applicable, the corresponding officers, stockholders, representatives, agents
or employees, of its parent company, subsidiaries, affiliates ( collectively the “Vendor Group”),
are related to, by consanguinity or affinity up to the fourth civil degree, any director, officer,
employee, stockholder, representative, or agent of EDC, its affiliates and subsidiaries
(collectively the “EDC Group”).
3. None of the EDC Group has an ownership interest or any other financial interest in the Vendor or
vice versa. Without limiting the generality of “ownership interest” or “financial interest”, the
same shall refer to ownership (either of record or beneficially) of at least five percent (5%) of
any outstanding class of shares, in the case of a corporation, or of partnership interest, in the case
of a partnership.
4. The Vendor Group has not and shall not, in any manner, exploit, capitalize, or take advantage of
any family or close personal relations in order to influence or in any other manner obtain the
award of any contract from EDC.

commission, in whatever form, or have exerted or utilized any influence in order to secure or
solicit any contract from EDC; and
b. provided or accepted, and will not provide or accept, any gift, entertainment or hospitality or
any other gratuity in cash (or in kind) to or from any of the EDC Group, or any of their
immediate family members, which may unduly influence the engagement of Vendor or the
performance of its obligations to EDC.
6. The Vendor did not, and shall not communicate with any of EDC Group with a view to obtain
any preferred treatment with respect to Vendor as a contractor or supplier of goods or services to
EDC.

7. The Vendor shall not subcontract, or attempt to subcontract, to any EDC official or employee,
including their relatives within the fourth civil degree of consanguinity or affinity, all or any
portion of the works or services for which it was contracted or engaged by EDC.
8. The Vendor shall not directly or indirectly enter into any transaction involving the EDC’s
employees’ properties, including but not limited to sale, lease, and mortgage.
9. The Vendor has not engaged, and shall not engage, in any unlawful or improper conduct that
compromises, or could be seen to compromise, the integrity of the EDC
procurement/accreditation process.
10. Should it be necessary to disclose any conflict of interest to EDC, the Vendor shall make the
disclosure following the form attached as Annex “A” hereof.
11. The Vendor is executing this statement as a requirement for accreditation.
12. The Vendor agrees that any misrepresentation, falsification in or breach of this sworn statement
shall be sufficient cause for either the (a) suspension, disqualification, blacklisting or delisting of
the Vendor’s accreditation by EDC, or (b) the immediate cancellation or termination of any
existing agreement, contract or purchase order between the Vendor and EDC, without prejudice
to a claim or suit for damages by EDC.
13. EDC reserves the right to reconsider any change in circumstances that would warrant the
reinstatement of Vendor’s accreditation, agreement, contract or purchase order.
