CONTRACT OF EMPLOYMENT

This Contract of Employment in conjunction with the standard Ministry of Human Resources and
Emiratisation Employment Contract constitutes the entire Agreement between the Employee and
Uniteam Primary Healthcare Center LLC T/A Aspen Medical, a limited liability company incorporated in
the Emirate of Abu Dhabi, with the registered address PO Box 59593 Abu Dhabi (“the Employer” or “the
Company”) and supersedes all prior communications, understandings, agreements or contracts whether
oral or written between the parties.

1. THIS AGREEMENT IS CONDITIONAL UPON


1.1. The relevant authorities granting to the Employee a work permit and residence visa permitting
the Employee to be legally employed under the sponsorship of the Company in the UAE; and;
1.2. The Employee satisfying health requirements of the UAE government and the Company; and;
1.3. The Employee signing, in addition to this Agreement, a standard form labor contract issued by
the Ministry of Human Resources and Emiratisation.

2.1. The Company has the right to change the workplace and entity from time to time in accordance
with work interest and public interest.

3. SALARY DETAILS AED per month


Basic Salary 4,800.00

3.1. Your services offered in accordance with the terms and conditions mentioned below will
commence from the date of reporting for duty. No salary or allowance will be paid to you for
any period prior to the date of reporting for work.
3.2. Following the successful completion of the probationary period, future salary increases will be in
accordance with the Company’ Human Resources policies and procedures.

4. BENEFIT DETAILS EXPLANATION OF BENEFIT


Annual leave ticket allowance payable for each year of service for self,

spouse and up to 3 children residing in the UAE.

Company provided comprehensive health insurance for self, spouse and up
Health Insurance to 3 children under 18 years of age residing in the UAE sponsored by the
Employee.

Visa Company provided for self only.
Mobile device and rental plan will be provided as determined by the
Telecommunications
Company.
End of Service Gratuity Benefit In accordance to UAE Labor Law

5. LEAVE ENTITLEMENTS
5.1. The employee shall be entitled to two (2) days for each month after 6 months of service until at
least 1 year of service. After 1 year of service, employees are given twenty-six (26) working days’
each year for their annual leave entitlement; to be taken at such time or times as may be agreed
in advance with management in accordance with the Company leave policy. The leave may be
fixed or flexible as per the business need and as agreed in advance with the Company. Leave
cannot be taken during the probationary period unless specifically agreed by the Company.
5.2. The employee shall be entitled to sick leave, maternity leave and other leave benefits as provided
in the UAE Labor Law.
5.3. The employee will also be entitled to all public holidays (a minimum of seven (7)) as declared by
the Government applicable for the private sector.

6. PROBATION PERIOD
6.1. In accordance with the Federal Decree-Law No. (33) of 2021 the probation period will be six (6)
months from the commencement date. If the Employee’s services are found to be satisfactory at
the end of the probationary period, the Employee will be confirmed for the position offered.
6.2. During the Probation Period the company reserves the right to terminate employment with at
least 14 days’ notice period or longer otherwise agreed between parties and with entitlement
and any remuneration in lieu of notice or any other terminal benefits unless otherwise agreed
upon.
6.3. If the employee wishes to move during the probationary period, to work for another employer
in the State, he shall notify the original employer of the same in writing within not less than one
month from date of his/her wish to terminate the contract. Then, the new employer shall
compensate the original employer for the costs of recruitment or contracting with the worker,
unless otherwise agreed upon.

7. RESIGNATION & TERMINATION


7.1. Once the probation period is completed the employment shall continue as a permanent position
and shall be terminated by either the Employee or the Employer with a ninety (90) day notice
period.
7.2. The Company may for disciplinary or non-disciplinary reasons terminate this Contract upon the
expiry of the probationary period at any time, without giving reasons, during the period of the
Contract. In this case, the Company shall notify the Employee with a three (3) months’ notice
letter and shall undertake to pay him/her the total of his/her entitlements as of the date of
termination.
7.3. Should the Employee resign within the first 12 months of employment the Company reserves the
right to seek reimbursement and set-off against outstanding salary and/or termination benefits
appropriate costs relating to training, licensing fees and other relevant expenses incurred by the
Company in supporting the Employee’s employment.
7.4. In the event of termination with notice the Employee shall be entitled to receive termination
benefits and payment in respect of any accrued annual leave entitlement in accordance with the
provisions of the UAE Labor Law.
7.5. Upon termination the Employee must return to the Employer all Company belongings,
equipment and unused materials given to the Employee or placed under your care and
supervision at the time of termination of your employment.
7.6. Upon Termination the employee undertakes to return all documentation and any other written
information obtained or developed by the employee during the employment tenure with the
Company, including Educational or Training materials and programs developed by the Employee
in the course of employment, and also handover all documents relating to the Company’s
business to the immediate manager within the Company.
7.7. Final Settlement with end of service gratuity will be made on full completion of the Employee
Clearance procedure.

8. IMMEDIATE DISMISSAL
8.1. The employee is liable to be dismissed from the employment without notice in any of the
circumstances set forth in Article 44 of the New Federal Decree-law No. (33) of 2021, any
termination payments in the event of an immediate dismissal situation shall be in accordance
with the Labor Law.

9. WORKING HOURS
9.1. Working hours and days will be in compliance with the UAE Labour Law up to a maximum of 48
hours per week. All clinicians are scheduled to work 5 days a week (up to a maximum of 48 hours)
as per the rota with a one hour paid break each day. The rota will normally operate 5 days over
7 and is subject to the needs of the operations. Employees working at client sites or designated
locations will be required to flex their start and finish times according to the needs of the
client/course/location. From time to time the Employee may be required to work more or less
hours per day in accordance with the business requirements of the Company.
9.2. The employment is subject to the provisions of the UAE Labor Law. For more information on the
UAE Labor Law, please visit the Ministry of Human Resources & Emiratisation website.
9.3. The courts of UAE shall have exclusive jurisdiction in respect of any matter rising out of this part
of this Agreement.

10. CONFIDENTIALITY
10.1. Confidential information, including patient information, is all information which has been or may
hereafter be so known to the Employee about the Company and its activities during his/her
employment period whether verbally, in writing by observation or in any other manner
whatever, together with all patient documentation including medical notes, diagnostic results
and past medical history, photographs, copies, notes, software, interpretation and other
material which may directly or indirectly reflect or in any manner reveal or assist in the
determination of such information.
10.2. All confidential information shall not in any manner be disclosed to any other party without the
prior written consent of the management during the period of employment or after termination.
10.3. The Employee shall not retain or copy and keep in his/her personal possession any confidential
information, company documents and similar proprietary information that are the intellectual
property of the Company.
10.4. The Employee is required to exercise caution to prevent disclosure of confidential information
when sending and receiving information through the normal channels used in the Company’s
daily operations and in the event of resignation or termination.

11. NON-COMPETITION CLAUSE
11.1. The Employee undertakes that for twelve (12) months following the termination of this
Agreement, the Employee shall not call-on or otherwise solicit the Company’s current and
prospective customers or provide such information regarding the Company’s customers to a
third party for any reason without the written permission of the Company.
11.2. In reference to Article 10 of the UAE Labor Law, upon termination of this Agreement for a period
of twelve (12) months, the Employee, other than clinicians, may not take part in any competing
project or join a competing company including but not limited to Employment, Consultancy, or
Partnership in United Arab Emirates without the written permission of the Company.

12. GENERAL OBLIGATIONS


12.1. During the period of employment, the Employee is required to carry out the orders and
instructions of the Employer in the performance of work or any other works considered as part
of the Employee’s responsibility and in accordance with your Job Description.
12.2. The Employee is required to follow the Code of Conduct and comply with the Company’s policies
and procedures at all times. The Employee shall generally conduct himself/herself with due care
and attention, in a responsible manner, and per the rules and regulations of the Emirate of Abu
Dhabi.
12.3. Clinical staff are required to comply with the Department of Health (DOH-AD) ‘Healthcare
Professionals Policy Manual’ and maintain their clinical license at all times.
12.4. The Employee shall devote the whole of his/her time to the employment with the Company and
shall not engage in, or be concerned directly or indirectly in, any paid or unpaid employment for
third parties during employment with the company unless prior agreement is given in writing by
the Employer.
12.5. Any misrepresentation / falsification of facts in the employment application or certificates
submitted to the Company shall be considered as sufficient reasons for immediate termination
and legal action as the case may be.
12.6. The Employee shall co-operate fully with the Company to obtain (and in due time cancel) work
permits, residence visas, labor cards, security passes and all other official documentation relating
to the Employment that may from time to time be required.
12.7. Aspen Medical reserves the right to review employment policies and procedures from time to
time to meet business needs. Any such changes will be communicated to the Employee in writing
one month prior to any change.
