Article 1: It is agreed that the Seller commits to sell and the Buyer commits to buy the
following described goods upon the terms and conditions here in after set forth:
Article 2: Delivery:
Transshipment: allowed not allowed
Shipment: shipment will be made 20 days since the date of receiving deposit in Seller’s
account.
Port of loading: Haiphong port, Vietnam.
Port of discharge: Visakhapatnam, India.
Article 3: Marking : As per buyer’s instruction. Marking should be sent to the Seller 02 days after
signing the contract and once the marking is confirmed any changes will be charged.

The remaining amount of USD 36,810 (90% contract value) shall be balanced by T/T within

The contract shall only come into effect if the deposit payment is punctually made as the duration
mentioned above.
Bank swift message of payment is required to provide to the seller by fax/scan file.
In case of balance payment is delayed later than 05 working days from the date Seller send the copy
B/L, the Seller has the right to drop the cargo at transshipped port. All the related charges (demurrage,
detention... at the transshipped port) in this case shall be at buyer's account.
All bank charges at the Seller’s bank are for the Seller’s account. All bank charges at the Buyer’s bank
and intermediary banks outside Vietnam are for the Buyer’s account. The seller should receive full
amount as per contract without any deduction. In case of any deduction the Seller have the right to
claim this shortage amount and the Buyer have to reimburse to the Seller.
2% interest rate per month value shall be applicable against late payment.
The seller is subject to all Force Majeure clauses which are unforeseeable and unavoidable
(earthquake, tsunami, war, strike, long - lasting ultra weather,…) caused delays or fails to make the
delivery of goods. However, in such cases the seller will advise the buyer in writing immediately upon
the occurrence of the force majeure event.
Article 7: Arbitration:
Any disputes arising in connection with the present contract if not amicably settled by both parties will
be submitted and finally settled by Vietnam International Arbitration Centre (VIAC) attached to the
Vietnam Chamber of Commerce and Industry (VCCI) in Hanoi, Vietnam under the Rules of this centre.
