AFFIDAVIT OF TRANSFER OF BUSINESS NAME

I, ANTONINO C. SUAREZ, of legal age, Filipino, with residence and

postal address at 73-C Matatag St., Pinyahan, Diliman, Quezon City, under oath
deposes and says that:

1. I am the registered owner of MPS MARKETING PHILIPPINES with

business address at Unit B8 Amina Bldg., Tandang Sora Avenue, Culiat, Quezon
City, Metro Manila;

2. A Certificate of Business Name Registration No. 01130034 was issued

to me by the Department of Trade and Industry (DTI) on July 26, 2010 which is
valid up to July 26, 2015 for the above-said business;

3. By virtue of the Deed of Waiver and Transfer of Rights executed on

November 11, 2010 between me and Mr. RHEY MIJARES TOGONON, likewise
of legal age, Filipino and with residence and postal address at No. 15 Viola St.,
Saint Dominic, Tandang Sora, Quezon City, I am requesting for the TRANSFER
of the above business name to Mr. Togonon;

4. The transfer of the above-mentioned business name is done in good

faith and for all legal intent and purposes only and that MPS MARKETING
PHILIPPINES has no pending or future financial obligations to any private or
governmental entity;

5. A copy of the said Certificate of Business Name Registration and the

said Deed of Waiver and Transfer of Rights are hereto attached for reference
purposes.

Affiant further sayeth naught.
