COMPROMISE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement is entered into this _______________, in

the___________________, Philippines, by and between:

_______________ of legal age, Filipinos, and with residence at

___________________________, hereafter referred to as the “FIRST
PARTY”;

AND

Juanito Cruz of legal age, Filipinos, and with residence at

___________________________, hereafter referred to as the “SECOND
PARTY”.

WITNESSETH, THAT:

WHEREAS, FIRST PARTY and SECOND PARTY are the Protestant and
the Applicant-Respondent in the CENRO Claim NO. III-2022-003
Cancellation of Free Patent Application No (111-12) 15304-B (`hereafter
the “Case”) respectively;

WHEREAS, the Case involves the subject property particularly

described as Lot No. 2703, CAD No. 303 D located at Bambang Bulacan
Bulacan;

WHEREAS, during the mediation and conciliation of the Case several

opportunities for discussions and negotiations of a possible compromise on
matters that are allowed to be compromised by existing law were given to
the parties;
 WHEREAS, after such negotiations and discussions the parties
mutually realized and deem it best and convenient to resolve the case in an
amicable manner in order to avoid a protracted litigation;

WHEREAS, both parties have come to a mutually beneficial

arrangement as to the method of payment and mode of settlement of case
for its convenient and immediate disposition;

NOW THEREFORE, for and in consideration of the mutual covenants

and agreements herein established, the parties hereto agree as follows:

A. FIRST PARTY, by its own independent and voluntary assessment

categorically expresses that the case against SECOND PARTY shall
be withdrawn subject to the following conditions:

i. The subject property shall be registered in the name of the

SECOND PARTY and sold thereafter to Fonterra Verde
Holdings Inc.
ii. The expenses incurred during registration shall be subject
to proper accounting and shall be deducted from the sale
proceeds;
iii. FIRST PARTY shall receive thirty (30%) while SECOND
PARTY shall receive seventy (70%) percent from the total
net proceeds;

B. SECOND PARTY, by its own independent and voluntary

assessment categorically expresses that FIRST PARTY shall
withdraw the Free-Patent Application subject to the following
conditions:

i. The subject property shall be registered in the name of the

FIRST parties and sold thereafter to Fonterra Verde
Holdings Inc.
ii. The SECOND PARTY shall continue to possess and cultivate
the property until the perfection of the sale with Fonterra.
iv. The expenses incurred during registration shall be subject
to proper accounting and shall be deducted from the sale
proceeds;
v. FIRST PARTY shall receive thirty (30%) while SECOND
PARTY shall receive seventy (70%) percent from the total
net proceeds;
 C. BOTH PARTIES, understood that in the event that any of the
above-mentioned conditions were not met, the party at any time
may resort to proper legal remedies to enforce against the
breaching party.

The execution of this Agreement by the parties however, hereby

CONDITIONALLY absolves and releases both parties. It recognized further
that it had been compensated fully and adequately for any damages that
might have endured in connection with the case and therefore undertakes
not to file a claim or suit against each party or any other person or entity
related to or involved in any manner with the case EXCEPT upon breach of
conditions set forth above.

Upon the completion of the condition set forth in this Agreement, the
RELEASE, WAIVER AND QUITCLAIM shall also be executed by the PARTIES
and shall abide by the matters declared therein.

Both parties have executed this Agreement by their own voluntary

act and deed and in their mutually agreed terms. Both parties warrant
further, that they did so with the full understanding of its nature and its
consequence to the pending Case.

BEFORE ME, this ______________________, Philippines personally

appeared the above-named parties with their valid identifications indicated
below their names and signatures above. Known and identified by me
through competent evidence. They presented this integrally complete
instrument and represented to me that the signatures on the instrument
were voluntarily affixed by them for the purpose stated, declaring that they
executed this instrument as their free and voluntary act and deed.

The foregoing instrument refers to the Compromise Agreement with

consisting of three (3) pages including the page on which this
acknowledgement is written, signed by the parties and their instrumental
witnesses on each page hereof, and they acknowledged to me that the same
is their free act and voluntary deed
