Memorandum of Understanding
Purpose
The purpose of this Memorandum of Understanding (MOU) is to establish the relationship, services and
fees for members of the WIRELESS INTERNET CONSORTIUM (Consortium). This agreement becomes
effective upon the date it is signed by both parties and remains in effect until date specified herein.
The role of each MEMBER SCHOOL DISTRICT (District) is critical to the success of the Wireless Internet
Consortium and the services provided. This MOU stipulates the responsibilities of the District and
EDUCATION SERVICE CENTER - REGION 10 (Region 10). The pole and equipment required to provide
this telecommunication service is owned and managed by Conterra Ultra Broadband LLC, (Conterra). The
network infrastructure is designed to adequately provide broadband Internet service to Districts now and
into the future.
In addition, the District duly notes that the attainment of broadband Internet access will enhance student
performance by increasing access to opportunities for advanced coursework, dual credit, and problem-
based learning through technology.
Terms and Conditions
Region 10
Region 10 agrees to lead the Wireless Internet Consortium and to:
act as fiscal agent;
file for Consortium E-rate discounts;
provide oversight for network operation and manage layer three routing;
provide training
request a CIPA Form 479 each year;
request a Letter of Agency every 3 years; and
invoice annually for the service.
District
The District agrees to continue membership in the Consortium for a period of seven years for wireless
broadband Internet service from June, 2009 through July, 2016. The District shall not resell, share,
sublicense or otherwise distribute the services, or extend network service to for‐profit agencies,
organizations and institutions, regardless of any previous arrangement that may have existed between
them. The District will:
provide a technical contact person to assist in planning, installation and maintenance;
provide a contact person to support the E-rate process;
provide a location for network equipment and access to Conterra and its subcontractor;
promptly notify Region 10 Help Desk of service outages or other loss of the service;
agree to follow applicable E-rate rules and policies;
sign a CIPA Form 479 each year;
sign a Letter of Agency every 3 years;
annually complete the STaR Chart and maintain an approved ePlan as required by the TEA; and
pay the annual invoice for the service.
E-Rate Eligible Services
All equipment belongs to Conterra and if it is physically located at the District’s site, it is only
used as an integral component of the eligible Services.
All on-premise equipment, which is used by Conterra to provide Services, is provided by Conterra
and not by another service provider.
