BOARD RESOLUTION

We, majority of the Board of Directors of ______________. (the “Corporation”), a corporation

duly organized and existing under the laws of the Republic of the Philippines and with office address at,
state as follows:

At the special meeting of the Board of Directors of the Corporation held at its principal place of
business on (Date) wherein a quorum was present and acting throughout, the following resolutions
were unanimously passed and approved:

“RESOLVED, that the Corporation be, as it is hereby authorized to enter into

transactions and contracts with, involving purchase of cylinder tanks (hereinafter
referred to as the ‘Property’) for and in consideration of an amount deemed
appropriate and sufficient by the Corporation, and as the Corporation’s authorized
signatory may deem reasonable, proper and beneficial for the interest of the
Corporation.
RESOLVED FURTHER, that the Corporation empower and authorize
its President, to sign, execute, receive and deliver, for and on behalf of the
Corporation, any and all documents, and such other instruments necessary to
implement the transactions and contracts involving purchase of cylinder tanks,
under such terms and conditions as he may deem necessary and beneficial to
the Corporation.

RESOLVED FURTHER, that , being the President of the Company, be

and is hereby authorized to do all such other act(s), thing(s), and deed(s), as
may be required or deemed necessary to give effect to the above resolution.”
