DEED OF CONDITIONAL SALE

This DEED OF CONDITIONAL SALE executed by and between:

WHEREAS, the VENDORS are the registered co-owners of one (1) parcel of land (THE

WHEREAS, the VENDORS hereby sell and the VENDEE has agreed to purchase a portion
only of the properties having an area of ______________________________________ for the
price and under the following terms and conditions set for the herein below:

1. The Purchase price shall be at ONE MILLION PESOS (P1,000,000.00) It is hereby


understood that the purchase price shall not cover all expenses needed like taxes
and other fees only the net amount shall accrue to the benefit of the SELLER;

2. The BUYER shall pay the SELLER in the following terms and conditions:

Downpayment equal to 10% of the total purchase price, in the amount of ONE
HUNDRED THOUSAND PESOS (P100,000.00) upon execution of this Deed. The
remaining balance covered by the agreement shall be paid within one (1) year and
upon compliance by the SELLER of the following undertakings and conditions at the
full satisfaction of the BUYER.

1) The SELLER shall work for the Reconstitution of Titles within three (3) months
period.
2) The SELLER shall accomplish the Extra-Judicial Partition of Estate of their
predecessor in order to transfer ownership to the BUYER.
3) The SELLER shall surrender to the BUYER the Reconstituted Certificate of Title
portion of what she bought from the SELLER.
4) The SELLER warrant the properties have valid titles and that their ownership
carried with a full peaceful and absolute possession, the rights and interest over
the properties are enforceable and can be conveyed and transferred to the
BUYER.
5) Both parties fully understood the contents of this Deed, and they affirm that this
covenant was entered into in good faith with complete knowledge and the Deed
shall be valid and binding upon the parties respective assigns and successors in
interest.

6) In the event that the SELLER should fail or deliberately refuse to comply with his
obligation, the BUYER shall be reimbursed of the amount of the purchase price
paid, cost of improvements as well as beneficial interests and other damages
that the BUYER may suffer.
7) The SELLER hereby allow the BUYER to enter and take possession and absolute
control of the subject portion of the properties and allow introduction of
improvements thereon upon execution of this Deed.
8) This Deed constitute the entire understanding between the parties and may only
be modified, altered only with the prior written consent of the parties.
9) And finally, cost of registration and transfer taxes shall be paid by the BUYER
while the SELLER shall pay for the Capital gains tax for the subject properties.
