Memorandum of Understanding
District
The District agrees to continue membership in the Consortium for a period of seven years for wireless
broadband Internet service from June, 2009 through July, 2016. The District shall not resell, share,
sublicense or otherwise distribute the services, or extend network service to for‐profit agencies,
organizations and institutions, regardless of any previous arrangement that may have existed between
them. The District will:
provide a technical contact person to assist in planning, installation and maintenance;
provide a contact person to support the E-rate process;
provide a location for network equipment and access to Conterra and its subcontractor;
promptly notify Region 10 Help Desk of service outages or other loss of the service;
agree to follow applicable E-rate rules and policies;
sign a CIPA Form 479 each year;
sign a Letter of Agency every 3 years;
annually complete the STaR Chart and maintain an approved ePlan as required by the TEA; and
pay the annual invoice for the service.
E-Rate Eligible Services
All equipment belongs to Conterra and if it is physically located at the District’s site, it is only
used as an integral component of the eligible Services.
All on-premise equipment, which is used by Conterra to provide Services, is provided by Conterra
and not by another service provider.
The responsibility for maintaining the equipment rests solely with Conterra and not with another
service provider.
Ownership of Conterra’s equipment will not transfer to the member school district in the future,
and the member school district does not have an option to purchase the equipment.
Conterra’s on-premise equipment will not be used by the member school district for any other
purpose other than to receive the eligible Services.
The member school district’s Local Area Network, if any, is functional without dependence on
Conterra’s equipment.
There is no contractual, technical, or other limitation that would prevent Conterra from using its
network equipment in part for other customers.
Additional Network Services
Region 10 provides network services separate from the Wireless Internet Consortium. These services
include Data Services and Videoconference Services. The District may choose to purchase one or both of
these services under an annual agreement with Region 10.
Internet Bandwidth Request
A District may request an increase in Internet bandwidth above the 20 Mbps during the contract period
but not more than once each year. The request must be in writing to the Region 10 so it can be
engineered by Conterra and scheduled for use. Region 10 will invoice the District for the additional
Internet bandwidth based on pricing quoted by Conterra at time of request.
Fee
Region 10, as the lead of the Wireless Internet Consortium, signed a seven year contract with Conterra to
provide the most cost effective broadband Internet services of dedicated 20 Mbps, and 40 Mbps for an
annual fee. The Wireless Internet Consortium shall pay Conterra the annual fee for telecommunication
services providing Internet service to each District. Each District will pay the portion of their annual fee
