BOOK SUPPLY CONTRACT

The FES, founded in 1925, is the oldest political foundation in Germany and was created to
continue the political legacy of Friedrich Ebert, the first democratically elected German
president. As a political foundation, our work is guided by the fundamental ideals and values
of social democracy – freedom, justice and solidarity – which connect us to social
democracy and free trade unions. As a private non-profit public utility institution, we carry
out our work autonomously and independently.

CLAUSE 1 - The purpose of this Agreement is the supply of 200 books by the CONTRACTOR,
book Dirty your nails with Blood by the Mozambican author Benigna Uate.
PARAGRAPH 1 – The Friedrick Ebert Foundation may request the CONTRACTING PARTY to
make, at its own expense, the requisition for the purchase of complementary books, such as
literary works, grammar books, etc...

CLAUSE 2 - The Contractor declares that the books belong to the publisher and the
legitimate authors, and these works are original:
(a) all material must be purchased from the Contractor, or a person appointed by it, since
most of these are not sold on the market in general; and
(b) observe and respect all intellectual property rights related to books, including copyright,
not performing, allowing and/or authorizing the total or partial reproduction of books (in
physical or electronic media);
(d) make the student, now beneficiary, use the Notebooks exclusively for their own
activities, not distributing, marketing or ceding the Notebooks to any third parties,
individuals or legal entities, other than their own students, paying or scholarship recipients,
who are enrolled in the basic education segments (kindergarten, elementary school and
high school) and preparatory courses for entrance exams, as the case may be, under the
terms of this Agreement;
(e) guarantee the confidentiality of this Agreement, not disclosing to third parties any
information related to its content or proprietary information of the Teaching System
developed by the partner Publishers and adopted by the CONTRACTOR obtained during the
execution of this Agreement;
(f) respect and care for the brands, logos, trade name and any other distinctive signs of
ownership of the Friedrick Ebert Foundation, communicating immediately.;
(g) submit to the Contractor's prior analysis any and all publicity, communication or public
promotion actions, aiming at disclosing the acquisition/use of the book by Inter Escolas
Editores and adopted by the CONTRACTOR;
(h) ensure the good name and quality of the Friedrick Ebert Foundation adopted by the
CONTRACTOR, not performing any act that, in any way or by any means, could harm the
good reputation of the foundation.
(i) send us a total of 200 books for the beneficiaries, pursuant to this Agreement;

CLAUSE 3 - The CONTRACTING PARTY shall pay the CONTRACTED PARTY, as an installment
for the supply of books provided for in clause 1 and listed below:
- I soiled my nails with blood, Author Benigna Uate – 200 Copies, in the amount of 800.00
MT per unit.
PARAGRAPH 1 – Any differentiated conditions may eventually be granted to the Contracting
Party, as a mere liberality and at its sole discretion.
2nd PARAGRAPH - The termination of this contract may only take place as provided for in
the caput of this clause, and the CONTRACTING PARTY must comply with all the rules
provided for termination in the contract for the provision of educational services.
3rd PARAGRAPH – Upon requesting the contract termination, the CONTRACTING PARTY
shall be paid to the CONTRACTED PARTY in relation to this contract the total amount
corresponding to the books already received.
PARAGRAPH 5 - Upon termination, the total amount already paid by the CONTRACTING
PARTY in relation to this contract must be raised and if there is a difference with the VALUE
DUE, the debtor party shall, in this act, pay the other part of this difference or compensate it
with other amounts due if possible.

CLAUSE 4 - The Contractor has the option of payment of the above-related amounts in cash
or in installments, which may be divided from 10 to 13 installments, depending on the
payment plan chosen.

CLAUSE 5 - This contract may only be terminated unilaterally by the CONTRACTING PARTY
automatically and together with the termination of the contract for the provision of book
supply service with the Friedrick Ebert Foundation.

CLAUSE 6 - The Contracting Parties agree that the first installment will be paid upon
delivery, and the subsequent installments on the first day of each month (due date).

CLAUSE 7 - Contractors agree that the place of fulfillment of payment(s) will be in


accordance with the Mozambican Civil Code.

CLAUSE 8 - Choosing to pay in installments, the Contracting Party will have a period
stipulated in the sixth clause mentioned above, being able, however, to make payment until
the 10th (tenth) day of each month (payment deadline). Failure to comply with the
established term, overdue installments will be subject to a fine of 2% (two percent) and late
payment interest of 1% (one percent) per month between the due date and the date of
effective payment.
9TH PARAGRAPH – There will be no total or partial refund of the installment(s) paid, and the
transfer of amounts paid for the services contracted for the offer of the beneficiary to the
partial or total settlement of the debt is prohibited.
10th PARAGRAPH - Under no circumstances will the use of amounts paid for the books and
dismissed or terminated in the academic period prior to the amortization or reduction of
amounts due due to subsequent hiring and other activities subject to the mandatory
relationship translated into the old contract be admitted.
