Cooperation agreement

Party A:
Party B: Yingze International Trade (Shandong Province) Co., LTD
As Party A applies for import quota of garlic, chili and onion in Indonesia, Party B
shall provide GAP certificate of the company and other production capacity
certificates of the base, and both parties reach the following agreement through
friendly negotiation:
1. Party B shall provide GAP certificate (Certificate No. 4063061988348) and
ExporindoSentral Agro, respectively, 5000 tons, for Indonesian companies PT.
Samudra Multi Utama and PT. Exporindosentral Agro. The total quantity is 10,000
tons.
2. If Party A and two Indonesian companies (PT. Samudra Multi Utama and PT.
ExporindoSentral Agro) successfully wait for quota in Indonesia, Party B shall
cooperate with Party B in exporting garlic processing in China by giving such quantity
of imported garlic business.
3. Cooperation Mode (Optional)
1). Both parties shall adopt the order mode and deliver each batch. The order price
shall be determined according to the real-time transaction price of domestic garlic,
namely the counter price.
2). The price of garlic purchased by both parties shall be based on the transaction
price of normal garlic circulation transactions in China, and additional processing fees
shall be charged.
4. If Party A refuses to cooperate with Party B after obtaining the quota, it must pay
Party B a certain royalty of the certificate and compensate Party B at RMB 50 per ton
according to the quota amount obtained.
5. Party B shall assist Party A in processing, land transportation, commodity
inspection, customs declaration and sea transportation of export garlic if both parties
reach a cooperation agreement.
6. The agreement of both parties shall be made in duplicate and shall be observed by
both parties. In case of any dispute, a lawsuit can be filed in the local court, and the
defaulter shall bear the corresponding legal liability.
