PART-TIME TEACHING CONTRACT

This Part-Time Teaching Contract ("Agreement") is made and ef f ective this July 20, 2022,

BETWEEN: Myint Thazin (the "Educator"), an individual with their main address at:

No. 6, Khaung Yan Street, Ward 8, Yay Kyaw, Pazuntaung Township, Yangon.

AND: Executive Garden Institute (the "Employer"), an institution organized and


existing under the laws of the Myanmar Labour Policies, with its head of f ice
located at:

No. (273), 3(A), Pyay Road, Red Hill Tower, Sanchaung Township, Yangon.

RECITALS

A. Employer is engaged in the business of Executive Garden Institute and maintains of f ices at
Head of fice : No. (273), 3(A), Pyay Road, Red Hill Tower, Sanchaung Township, Yangon
Branch 2 : No. (62), Ground Floor, Mya Residence, Chin Twin Road, Kamayut Township,
Yangon

B. Educator has been engaged and has had a great deal of experience in the above-designated
business.

C. Educator is willing to be employed by Employer, and Employer is willing to employ E d uc at o r, o n


the terms, covenants, and conditions set f orth in this Agreement.

In consideration of the matters described above, and of the mutual benef its and obligations set f orth in
this Agreement, the parties agree as f ollows:

1. EMPLOYMENT

A. Employer employs, engages, and hires Educator as a PART TIME LECTURER POSITION to
TEACH IGCSE STUDENTS and Educator accepts and agrees to such hiring, engagement, and
employment, subject to the general supervision and pursuant to the orders, advice, and direction
of Employer.

B. Educator shall perf orm such other duties as are customarily perf ormed by one holding such
position in other, same, or similar businesses or enterprises as that engaged in by Employer and
shall also additionally render such other and unrelated services and duties as m ay be assigned to
HIM f rom time to time by Employer.

2. BEST EFFORTS OF EDUCATOR

Educator agrees that SHE will at all times f aithf ully, industriously, and to the best of HER ability,
experience, and talents, perf orm all of the duties that may be required o f and f rom HER pursuant to the
express and implicit terms of this Agreement, to the reasonable satisf action of Employer. Such duties

shall be rendered at No. (273), 3(A), Pyay Road, Red Hill Tower, Sanchaung Township, Yangon and at
such other place or places as Employer shall in good f aith require or as the interest, needs, business, or
opportunity of Employer shall require.

3. TERM OF EMPLOYMENT

The term of this Agreement shall be a period of 1 year, commencing JULY 2022 and terminating JULY
2023, subject, however, to prior termination as provided in this Agreement. At the expiration date of JULY
2023, this Agreement shall be considered renewed f or regular periods of one year, provided neither party
submits a notice of termination.

4. PROBATION PERIOD

All new Educator’s work on a probation basis f or the f irst 30 calendar days af ter their date of hire. Any
signif icant absence will automatically extend the probation period by the length of the absence. If
Executive Garden Institute determines that the designated probation period does not allow suf f icient
time to thoroughly evaluate the Educator’s perf ormance, the probation period may be extended f or a
specif ied period.

During the probation period, both parties may assess suitability f or employment with the Emp loyer. This
also provides management an opportunity to assess skill levels and ad dress areas of potential concern.
During the f irst 30 days of the probationary period, employment may be terminated by either party f or any
reason whatsoever, with or without cause, and without notice or payment in lieu of notice.

5. COMPENSATION OF EDUCATOR

Employer shall pay Educator, and Educator shall accept f rom Employer, in f ull payment f or Educator’s
services under this Agreement, compensation at the rate of 550,000 MMK per MONTH, payable once a
month on the 2ND and 3RD days of each month while this Agreement shall be in f orce.

6. TERMINATION DUE TO DISCONTINUANCE OF BUSINESS

In spite of anything contained in this Agreement to the contrary, in the event that Employer shall
discontinue operating its business at No. (273), 3(A), Pyay Road, Red Hill Tower, Sanchaung Township,
Yangon, then this Agreement shall terminate as of the last day of the month in which Employer ceases
operations at such location with the same f orce and ef f ect as if such last day of the month were orig inally
set as the termination date of this Agreement.

7. OTHER EMPLOYMENT

Educator shall devote all of HER time, attention, knowledge, and skills solely to the business and int eres t
of Employer, and Employer shall be entitled to all of the benef its, prof its, or other issues arising f ro m or
incident to all work, services, and advice of Educator, and Educator shall not, during the term of this
Agreement, be interested directly or indirectly, in any manner, as partner, of f icer, director, shareholder,
advisor, Educator, or in any other capacity in any other business similar to Employer’s business or any
allied trade.

8. TRADE SECRETS

Educator shall not at any time or in any manner, either directly or indirec tly, divulge, disclose or
communicate to any person, f irm, corporation, or other entity in any manner whatsoever any inf ormation
concerning any matters af f ecting or relating to the business of Employer, including but not limited to any
of its customers, the prices it obtains or has obtained f rom the sale of , or at which it sells or has s o l d , it s
products, or any other inf ormation concerning the business of Employer, its manner of operation, its
plans, processes, or other data without regard to whether all o f the above-stated matters will be deemed
conf idential, material, or important, Employer and Educator specif ically and expressly stipulating that as
between them, such matters are important, material, and conf idential and gravely af f ect the ef f ective and
successf ul conduct of the business of Employer, and Employer’s good will, and that any breach of the
terms of this section shall be a material breach of this Agreement.

9. REIMBURSEMENT OF EXPENSES

The Educator may incur reasonable expenses f or f urthering the Institute’s business, including expenses
f or entertainment, travel, and similar items. The Institute shall reimburse Educator f or all business
expenses af ter the Educator presents an itemized account of expenditures, pursuant to Institute policy.

10. RECOMMENDATIONS FOR IMPROVING OPERATIONS

Educator shall make available to Employer all inf ormation of which Educator shall have any knowledge
and shall make all suggestions and recommendations that will be of mutual benef it to Employer and
Educator.

11. MODIFICATION OF AGREEMENT

Any modif ication of this Agreement or additional obligation ass umed by either party in connection with this
Agreement shall be binding only if evidenced in writing signed by each party or an authorized
representative of each party.

12. FIDELITY BOND

Educator will immediately make application f or a f idelity or a surety bond, to any company designat e d b y
Employer, in such amount as may be specif ied by Employer. Employer shall pay the premium on such
bond, and such bond shall continue in f orce in such amounts as Employer may f rom time to time require
and in the event such bond is ref used, or is ever canceled, except with the approval of Employer,
Educator’s employment may be terminated immediately, and Educator shall be entitled to compensation
to the date of such termination only.

13. TERMINATION

A. This Agreement may be terminated by educator with the proper explanations by 2 months’ notice
to the educator.
B. In the event of any violation by Educator of any of the terms of this Agreement, Employer may
terminate employment without notice and with compensation to Educator only to the date of s uc h
termination.
C. It is f urther agreed that any breach or evasion of any of the terms of this Agreement by either
party will result in immediate and irreparab le injury to the other party and will authorize recourse

to injunction and or specif ic perf ormance as well as to all other legal or equitable remedies to
which such injured party may be entitled under this Agreement.

14. URGENT UNPAID LEAVE

If you are ill and unable to attend work according to the approved class schedule, you should inf orm to
Executive Garden Institute via email (pref erably 12 hours bef ore the class) to enable other arrangements
to be made. You must reschedule make-up class under the supervision of School Management to
complete the module.

Employer has the right to forfeit or deduct or delay on payment based on below conditions-
a. If you do not f ulf ill the quota of agreed teaching hours or are absent f rom classes f requently.
b. If you do not make marking scheme, mark assignments and submit the monthly student report o n t ime
to the school.
