General Terms & Conditions

ARTICLE 1: GENERAL
1. Commencement Date
Tentative commencement date is 05. Oct.2021

2. Job Designation
Merchandiser

3. Agreement Period
a. This employment agreement will be valid for a period of 3 years from date of joining.
b. On successful completion of the first 3 years, based on business requirements and
local laws the agreement can be renewed by mutual consent.

4. Salary
The Company shall pay AED 2750/- salary per month.
Break Up

Basic: AED 2250.00


Other Allowance: AED 500.00
This position is not eligible for overtime payment.

5. Accommodation
Employee will be provided with Bachelor sharing accommodation at Company Cost.

6. Conveyance
Company transport Vans/ Buses Pick up and Drop off are from & To designate points (existing
routes only) is provided.

7. Working days and Hours


a. Working days are Saturday to Thursday from 09:00 AM to 6:00 PM which is inclusive of
a 45 minutes lunch break.
b. As per the requirement of Company, the Employer may at any time, where the interest of
the undertaking so requires, assign more work than has been agreed in this agreement
or assign a different work to the Employee without substantial change in his/her rank.

Article 2: Probation Period

1. The Employee must demonstrate his/her suitability to a post in which he/she is


assigned within 6 months of Probation Period.
2. The Employer can terminate this agreement of employment within the probation
period without notice pay or other monetary benefits from the Company.
3. On successful completion of probation, the Employee will be confirmed in the
services of the Company. However, if the Employee's performance is not up to the
required standard, the management shall terminate the agreement or offer any
alternate position.

Article 3: Annual Leave

1. Employee will be eligible to take the first leave after completion of 2 years of
service for a period of 45 days. Then all leaves after this will be upon completion of
1 year and the leave period will be 30 days.
2. However, the exact time of period of leave will be decided by the team
Manager/Director based upon the workload in the department.
3. The number of leave days is inclusive of travelling time.
4. Any emergency leave approved by the Company will be considered as part of the
Annual leave days.
5. Irrespective of the length of the Annual Leave that the employee takes, The
Company will pay 30 Days or pro rata days of Leave pay for every attended year
of service. The Leave pay is eligible only after completion of the first year of
attended service.
6. In case the Employee does not wish to take annual leave he/she can encash the leave
pay upon completion of the years’ service.

Article 4: Air Travel Ticket

1. Employee is entitled to economy class return air passage to Bangalore once in 2


years.
2. In case the Employee decides not to take leave, the Employee is entitled to
encash the economy ticket fare. The encashment of airfare will be at the lowest
rate of the year for that sector.
3. For Employee who has been recruited locally, joining ticket will not be provided.
4. The Company will provide one-way air ticket to Bangalore on separation if
agreement is completed or terminated by the employer.
5. In case the agreement is terminated by the Employee prior to its completion, the
return air fare will not be provided by the Employer.

Article 5: Sick Leave

The Expatriate Employee shall be entitled to 30 days sick leave per year up on
presentation of a valid medical certificate that should clearly specify the prescribed
number of rest days to the Employee. The first 15 days will be paid in full and the
remaining 15 days will be paid in half.

Article 6: Maternity Leave

Maternity leave is 45 days for employees who have completed one year of service and
whose child is born in UAE and is not travelling. For employees who have not completed one
year of service the maternity leave of 45 days will be at half pay. All leaves taken for travel
out of the country will be considered as part of the annual leave days and not as Maternity
leave.

Article 7: Gratuity

Employee is entitled for 21 days of gratuity at the rate of basic salary for each
completed year of service and after the first-year entitlement will be pro-rata for the
period served.

Article 8: Medical Insurance


General Medical Insurance will be provided by the Company.

Article 9: Original Academic & Experience Certificates

At the time of joining, the employee must hand over the original Academic & Experience
certificates to the HR department. These certificates will be released upon separation.

Article 10: Duties and Responsibilities

Main duties, responsibilities and job description will be explained to the employee by the
Head of the Department upon joining. It is a condition of this offer that Management
reserves the right to modify the responsibilities and duties of the position in line with the
business requirements as determined from time to time.

Article 11: Performance Review

A performance review will be done upon successful completion of 2 years and any
increments in salary can be done at that time only and not prior to it.

Article 12: Transfer


It is a further condition of this offer that the Company can transfer the Employee to any
of its associate Companies on the same terms and conditions.

Article 13: Termination of Employment

1. Past the probation period, if the Employer terminates the agreement before the
agreement’s end date, the Employer shall give one-month prior notice to the
Employee or pay one-month wage in lieu of giving notice.
2. In case the Employee terminates the agreement, the Employee shall give a two
months’ prior notice to the Employer or make a payment of salary in lieu of the
same.
3. In case of disciplinarily dismissal there will be no notice pay or other monetary
benefits paid to the employee.
4. In case the Employee terminates the agreement for reasonable motive or is
disciplinarily dismissed, the Company may reserve the right to charges the
following: (1) Breaking contract AED 10,000/- (2) Joining air expenses of employee
if any (3) Expenses related to recruitment agency fees if any (4) Visa Expenses.
5. Should the employee decide to resign at any time within the first contractual period
the company reserves the right to put a ban on the employee for a period of One
year from joining any other organization in UAE.
6. The Company reserves the right not to discharge the employee until a suitable
replacement is found & job responsibilities are handed over properly.
7. The representation and warranties contained in this agreement and Employee's
obligation under this agreement shall survive up to termination and/or expiration of
this agreement.
8. All benefits to which Employee is otherwise entitled shall cease upon termination of
the Employee and this agreement, unless explicitly continued either under this
agreement or under any specific written policy or benefit plan of the Employer.

Article 14: Rights and Duties of the Employer (Company)

1. Manage the Employee’s performance in accordance with this agreement and the
work rules of the Company.
2. Evaluate the performance of Employee.
3. Provide work, equipment and materials, office facilities necessary for the
performance of the work.
4. Pay the Employee wages and other emoluments in accordance with this agreement.
5. Respect the Employee's human dignity.
6. Not to hinder the Employee from exercising his/her right and not to take any
measure against him/her for doing so.

Article 15: Rights and Duties of the Employee

1. A wholesome growth of any organization is determined not only with the business
numbers, but also with other aspects and values such as work culture, respect
for individual, anti-discrimination, harassment free and harmony, striving for
excellence, team development in workplace and personal growth across all the
aspects.

2. The following points should be understood and/or adhered to strictly. Failing to


comply with these policies could result in immediate termination without notice
and without benefits from the Company.

A. Work Ethics

1. Tampering with any records, evidence, threatening potential witnesses,


falsifying, or refusing to give testimony when incidents occur in the undertaking
or other matters that are being investigated or being considered may result in
disciplinary dismissal.
2. False statements made or incorrect particulars given in his/her job application
form or when called upon by the management to make true statements of any
fact in connection with any matter related to work or business of the Company
may result in disciplinary dismissal.
3. Refusing to sign a statement, declaration or to receive or sign notices,
warnings, memo etc., issued or given by any superior or the manager may
result in disciplinary dismissal.
4. This is a confidential document (employment agreement) and should not be shared
with anyone, not limited to other Companies, competitors, potential Employers,
colleagues, or friends.
5. The Employee should not sign any contract on behalf of the Employer with the
customer of the Company or with any third party without the knowledge and
prior written consent of the Employer.
6. Following termination of the Employee and this agreement, the Employee
should fully cooperate with the Employer in all matters relating to the winding up
of Employee's pending work on behalf of the Employer and the orderly transfer
of work to other Employees of the Employer (Company).
7. Employee must always report accident / injuries while employed for the
company and must give evidence in respect of such accidents / injuries.
8. Where there are grounds connected with the Employee's conduct and/or with
objective circumstances arising out of his ability to do his work or the
organizational and/or operational requirements of the Employer may result in
termination.
9. Employee must devote his/her full working time to the business affairs of the
Employer and shall perform his/her duties faithfully and efficiently as per the
direction of the Employer.
10. The Company emphasizes rules of engagement, a prospective employee must
be certain of wanting to join the Company for at least 3 years. The Company
reserves the right to take action including financial penalties should the
employee not take employment seriously and use the Company only as a
transitory means before moving on to other prospects.
11. Employee cannot accept any other employment. If the Employee violates this
Article, he/she shall be penalized 3(three) month’s salary and could face
immediate termination of services and this employment agreement.
12. Employee cannot engage, directly or indirectly in any other business,
commercial, or professional activity (whether pursued for pecuniary advantage)
during the term of this Agreement.
13. To report for work always in fit mental and physical conditions.

14. To inform the Employer any act which endangers himself/herself or his/her
fellow workers or which prejudice the interest of the Employer, and to take major
and give all proper aid when an accident occurs threatens life or property.
15. Adapt to a modern operation system in line with the Company’s business
purpose, service culture and product knowledge.
16. Employee should obey the instructions of the Employer relating to the execution
of the work, work according to the work plan prepared by the Employer and fit
all requirements of the customer satisfaction which in so doing promote
Employers product and good will.
17. Work closely and diligently with the Employer and with other the Company’s
Employees.
18. To undertake the work efficiently and effectively, to the best of his/her ability,
faithfully, to the best of his/her skill, with due care, experience and in a
professional manner as reasonably expected.
19. Notwithstanding, subsequent to termination, the Employee shall cooperate in
the defense of any action brought by any third party against the Employer that
relates in any way to Employee's acts or omissions while employed by the
employer.
20. Be liable for any damages he/she intentionally or negligently causes to his
Employer.
21. Employee agrees that all property, including, without limitation, all equipment,
tangible proprietary information, documents, books, records, reports, notes,
agreements, lists, computer disks (and other computer-generated files and
data), and copies thereof, created on any medium and furnished to, obtained
by, or prepared by Employee in the course of his/her job upon termination of
Employee and this agreement belongs to the Employer.
22. Unauthorized use of a Company vehicle/communication systems (like
Telephone/Fax, etc.,) or equipment or tools.
23. All instruments and tools entrusted to Employee must be handled by him/her
with due care

B. Discipline

1. Employee must act within or outside the Company premises in a way which may
be never considered as a misconduct in common parlance.
2. To maintain self-respect and dignity, by not indulging in activities, which are
criminal and/or disrespectful in nature, outside the working hours, which can
cause harm to the reputation of the Company and one’s own self.
3. Not to use abusive or inappropriate language to undermine someone's dignity
and security through insults or humiliation.
4. Never to attend work under the influence of alcohol and/or drugs or chat,
narcotics or things of that nature or with a hangover as this violates common
decency and morality with respect to all colleagues in the workplace and
diminishes work efficiency.
5. Never be involved in acts of sexual harassment of Employees including and not
limited to subjecting any Employee to provide sexual favors or any nuances
thereof which would result in disciplinary dismissal.
6. No willful insubordination or disobedience, whether alone or in a group with
others to any lawful and reasonable instructions given by the superiors.
7. Never indulge in theft, fraud, or misappropriation of Company's funds in
connection with the Employer's business or property.
8. Habitual late attendance or late attendance on more than 3 occasions in a
month will result in disciplinary dismissal.
9. Misbehavior towards colleagues, customers, and visitors is prohibited.
10. Habitual absence from work without sanction of leave will result in disciplinary
dismissal.
11. Habitual negligence or neglect of work will result in disciplinary dismissal.

12. No smoking and / or spitting within the premises of the Company other than
designated areas.
13. Conviction for any offence by a court of law, involving moral turpitude will result
in disciplinary termination.
14. Being a nuisance within the Company premises will result in disciplinary
termination.
15. Cannot enter the Company premises without permission and/or authority outside
the working hours.
16. Must not interfere in any manner with any management or colleague’s work or
functions and/or rights.
17. Cannot remain within the Company premises without permission and/or any
official business after the authorized duty hours.
18. No Loitering or leaving place of work without sufficient and reasonable cause
and permission during the working hours.
19. Willfully allowing any unauthorized person(s) to enter the premises of the
Company at any time is prohibited.
20. Commit deceitful or fraudulent conduct in carrying out his/her duty and commit
brawls or quarrels at the workplace will result in disciplinary termination.
21. Employee must not indulge in activities, which are criminal and/or disrespectful
in nature, outside the working hours, which can cause harm to the reputation of
the Company and one’s own self.

Article 16: No Gift Policy

1. Our company has enforced a No Gift Policy. Irrespective of the value, no gifts, of
any kind that are offered by local / overseas suppliers, Customers, potential
vendors / suppliers, service providers, shipping companies, banks, recruitment
agencies or any other individual or organization, will be accepted by any Employee
at any time on or off work premises. By gift the Company means any item,
monetary or non-monetary, including even materials such as Pens, Diaries etc. as
well as any other services such as meals, tours etc. that could be provided by way
of favor by any Individual or organization. If such gift is at all offered or proposed
by any Individual or organization, the matter must be taken up by the respective
Employee to the management of the Company for evaluation whether it is
acceptable or not. Failure to do so could result in harsh measures being taken
against the concerned Employee.
2. Giving gratuity or gifts on behalf of the Company or as a representative of the
Company, to any Company or individual is not permitted.

Article 17: Undertaking of Non-Competition

Employee must refrain from competing with the Employer or working for another
competing organization in UAE for a minimum of 2 years upon termination or resignation
or completion of contract unless and otherwise a release letter titled “No objection to
work in UAE” is issued by the Company.

Article 18: Confidentiality

1. During and after the Employment, the Employee will not disclose or appropriate
tohis own use or to the use of others, in competition with the Employer, any secret
or confidential information or knowledge pertaining to the business of the
Employer, or of any of its subsidiaries, obtained by him in any way while he was
employed by the Employer or by any of its subsidiaries.
2. Employee should not disclose or discuss any information related to the Company
without prior written approval of the Director. In case the Employee is approached
for any information, the Director should be informed immediately.

3. The Employee shall not make or publish any statements regarding the Company to

the mass media without the written approval of the Director.
4. The Managerial Employee shall keep all the secret of the Company, Company’s
documents and the Company’s information in strict confidentially and shall not
pass to third parties without the authorization of the Company even after the
termination of this employment agreement.
5. Information includes but not limited personally identified information, financial
information, information concerning the Company’s products, processes, know-
how, pricing, clients, suppliers, distributors, partners, Employee, marketing,
strategic plan, expenses, analysis, reports, IT related data & Backups.
6. The Employee shall keep confidential the knowledge and intellectual property of
the Employee and all confidential information that may acquire in relation to the
other party.
7. The Employee shall not use the confidential information for any purpose other than
to perform or have performed its obligation under this agreement except the party
is ordered by the courts or government authorities.
8. In case an ex-Employee violates any of the above, the Company will use all means
available to locally bring the person to justice.

Article 19: IT Policies and Guidelines

The Employee shall comply with the Company’s set out IT policies and guidelines with
regard to network access, unauthorized remote transfer of files, any material from
Company’s computers to unrelated entities, leakage of passwords and intellectual
property, corporate data, internet browsing and use which is not necessitated by the
Company, undermine in anyway the Company’s IT security policies or contravene UAE
regulations with regard to moral, material or legal laws. The Employee shall be subject
to post termination restrictions for reasons owed to maintaining workforce stability and
be liable to economic tort of inducement leading to injunction on future employment.

Article 20: Selection Criteria

Employment is subject to all conditions being acceptable and to satisfactory completion


of medical examinations, reference checks and work Visa formalities.
