CONTRACT AGREEMENT

This AGREEMENT is made on XXth October 2018 between

(1) SUMEC - VĂN PHÒNG ĐIỀU HÀNH DỰ ÁN ĐIỆN MẶT TRỜI TẠI HUYỆN CƯ JÚT,
TỈNH ĐẮK NÔNG, a project executive office of SUMEC Complete Equipment & Engineering
Co., Ltd. established under the laws of the Socialist Republic of Vietnam and having its office
address at Nhà Máy Điện Mặt Trời Cư Jút 50MWac, Thị Trấn Ea T-Ling, Huyện Cư Jút, Đắk
Nông (hereinafter called “Employer”)

and

(2) XXXXXXXXXXXXXXXXXXX, a corporation incorporated under the laws of the Socialist

Republic of Vietnam and having its headquarter at XXXXXXXXXXXXXXXXX (hereinafter
called “Contractor”)

WHEREAS the Employer desires to contract the Contractor to construct the XXXXXXXXXXXXX
and any other works as specified herein for the 50MWac Cu Jut Solar PV Power Project in Cu Jut
district, Dak Nong province, Vietnam as specified in the contract documents and other relevant
document (hereinafter called the “Works”), and the Contractor agrees to perform upon and subject to
the terms and conditions of the Contract.

Now we hereby agree as follows:

Article 1: Contract Documents

1.1 Contract Documents
The following documents shall constitute the Contract between the Employer and the Contractor,
and each shall be read and construed as an integral part of the Contract.
a. Contract Agreement;
b. Contract Conditions;
c. Appendix 1: Price Schedules;
d. Appendix 2: Performance Security;
e. Appendix 3: Scope of Works
f. Appendix 4: Drawings;
g. Appendix 5: Construction Methods;
h. Appendix 6: Time Schedule;

1.2 Order of Precedence

In the event of any ambiguity or conflict between the Contract Documents listed above, the order
of preference shall be the order in which the Contract Documents are listed in Article 1.1
(Contract Documents) above.

Article 2: Contract Price and Terms of Payment

2.1 Contract Price
The Employer hereby agrees to pay the Contractor the Contract Price in consideration of the
performance by the Contractor of its obligations hereunder. The Contract Price shall be the
aggregate of the Contract.

The total Contract Price is VND XXXXXXXXXXXXXXXXX (VND XXXXXXXXXXX) only.

The above Contract Price is lump-sum, fixed and shall not be subject to price variation and
includes all taxes, duties, fees, charges and copyright related costs.

2.2 Terms of Payment

 The terms and procedures of payment refer to the Clause 4, 5 in Contract Conditions.

Article 3: Scope of Work

The scope of work refers to the Appendix 3 in Contract Conditions.

Article 4: Effective Date

The Effective Date of the Contract is the date when all the following conditions have been fulfilled:

(a) This Contract Agreement has been duly signed between the Employer and the Contractor; and

(b) The Contract Conditions has been duly signed by the Contractor.

Each party shall use its best efforts to fulfil the above conditions for which it is responsible as soon as
practicable.

Article 4: Communications
The address of the Employer for notice purpose is Nhà Máy Điện Mặt Trời Cư Jút 50MWac, Thị Trấn
Ea T-Ling, Huyện Cư Jút, Đắk Nông, Vietnam.

The address of the Contractor for notice purpose is XXXXXXXXXXXXXXXX

This Contract is made in two (02) originals, one (01) for the Employer and one (01) for the Contractor.

In witness whereof the Employer and the Contractor have caused this Agreement to be duly executed by
their duly authorized representatives.
