SERVICE LEVEL AGREEMENT

This agreement is made on 20th March 2023 by and between Diva Healthcare hereinafter referred to as
“Diva Healthcare” AND HADRS (Had Recruitment Services) (hereinafter referred to as “Placement
Company”) with a principal place of business at Tower 2B 202, Nisarg Green, Atladara Bill Road,
Opposite Akshar Amrut, Vadodara 390012. Client wishes to engage the services of the Placement
Company, which is in business of providing professional Recruitment & Placement services.

TERMS & CONDITIONS FOR PROVIDING RECRUITMENT AND PLACEMENT SERVICES ARE AS FOLLOW:

 Term of Agreement: This agreement shall be made effective from the date first mentioned above
and shall continue for a limited period of one year. This agreement gets automatically renewed
unless called off by either party.

 Services: We will provide placement consulting service to resource and recruit suitable experienced
candidates to the Diva Healthcare as per details and selection criteria specified by the Diva
Healthcare doing so it will ensure that the candidate has a basic understanding of the position and
meets the requirement and standards by thorough screening of the candidate’s professional
background and personal interest to the opening.

 Start of services: Search services will be construed as starting on the receipt of receiving of the
mandate by the Service Provider or intimation by the Diva Healthcare to start the work.

 Concurrence: We will obtain concurrence from all the prospective candidates about his/her interest
in the Diva Healthcare organization and the position that was described him by us.

 Permission: We will ensure that, without prior written consent it will not use the name of in any
advertising or publicity release. However, for specific requirements, the name of the Diva Healthcare
organization and details of the job could be disclosed during our personal meetings with such
candidates.

 Information: We will ensure that, we provide correct information about the candidate from time to
time and will not misrepresent any facts.

 Co-Ordination: We will stay in close contact with the human resource department and/ or the
functional head(s) and/ or any other functionary, either nominated or responsible for recruitment in
the Diva Healthcare organization for the conduction of the entire selection process so as to close the
position as soon as possible. On being requisitioned to search for a candidate, we will revert to within
7 days from receiving details about the position.

 Credit for Introduction: In case the same candidate has been referred to Diva Healthcare through
another recruitment firm, the firm who sent the profile first will be given the credit of placement and
this will be communicated to both firms.

 Free replacement: If the candidate voluntarily terminates employment within 90 days of joining, we
will provide a free replacement.

 Relationships: Placement Company asserts that it is an independent vendor, which offers its services
to other organizations as and when required. This agreement does not constitute joint ventures
between Placement Company and Diva Healthcare. Diva Healthcare agrees that it will have no right
to control or direct the details, manners or means which placement company uses to accomplish the
results.

 Termination: Diva Healthcare may terminate this agreement giving a 30 days’ notice at any time.
Placement Company may as well terminate this agreement with 30 days prior notice.

 Professional Fees: Placement Charges will be: 8.00% (Including GST/Service Tax as Applicable) of the
selected candidate’s gross annual income / Cost to Company for the candidates across all levels.
 Placement Services will be one-time flat rate of the annual cost of the company, indicated in the
offer letter to the recruited candidate including salary, allowance, benefits, transportation, and
perquisites such as LTA, Bonus, and Medical etc.

 Important point: Once Diva Healthcare Reject any candidate, you may not hire them in less than 12
month of cooling period. If In case if you are hiring you have to pay charges according to agreement.

 Procedure of Payment: Once the candidate joins the duty with the Diva Healthcare organization, an
invoice will be raised in the name of the Diva Healthcare. Diva Healthcare is expected to release the
payment within 30 days after receiving the invoice.
