APPENDIX NO. 1 TO SWZ

DESCRIPTION OF THE SUBJECT OF THE ORDER (OPZ)

Construction of bottom reinforcement at Quay Przemyslowe III-1 ÷ III-6 and replacement


of the fender line at Quay Przemyslowe III-1 and III-2 at the Port of Gdansk

1. Subject of the order


1.1. The subject of the contract is the construction of bottom reinforcement at Przemyśl
Quays III-1 ÷ III-6 and the replacement of the fender line at Przemyslowe Quays III-1 and
III-2 in the Port of Gdansk.
1.2. The order was divided into six sections of the following length:
1.2.1. section III-1 - part of the Przemyslowe Quay with a length of 250.6 m is
included between points 36-36b;
1.2.2. section III-2 - part of the Przemyslowe Quay with a length of 100.6 m is
included between points 36b-36c;
1.2.3. section III-3 - a part of the Przemyśl Quay, 169 m long, located between
points 36c-36d;
1.2.4. section III-4 - a part of the Przemyśl Quay, 125 m long, located between
points 36d-36e;
1.2.5. section III-5 - part of the Przemyśl Quay with a length of 75 m is included
between points 36e-36f - if the Employer decides to exercise the option No. 1;
1.2.6. section III-6 - part of the Przemyśl Quay with a length of 82.1 m is included
between points 36f-37 - if the Employer decides to exercise the option No. 1.
2. Material scope
The order covers the construction consisting in strengthening the bottom along the
Przemysłowe Quay on section III-1÷III-4 (from points 36 to 36e), repairing minor damage
to the quay and its equipment and replacing the fender line on section III-1 and III-2 (from
point 36 to 36c). If the Ordering Party decides to exercise the option No. 1, the order will
also cover the construction consisting in strengthening the bottom along the Przemysłowe
Quay in the section III-5 ÷ III-6 (from points 36e to 37). option no. 2, the Contractor will
be obliged to build a temporary fender line on section III-1 - III-2 instead of the target
fender line with the installation of point fenders.
Administrative decisions were obtained for the order, including a construction permit:
decision of the Pomeranian Voivode No. 187/2021/BKB, reference number
WI-II.7840.1.119.2021.BKB of November 30, 2021 (Appendix 1 to the OPZ) and a water
law permit: decision of the Director of the Regional Water Management Authority in
Gdańsk of the State Water Holding Polish Waters, reference number
GD.RUZ.4210.224.11.2020.AB of July 20, 2021 (Appendix No. 10 to the OPZ).

The details of the implementation and the exact scope of the subject of the contract are
specified in the technical documentation prepared by Biuro Projektów Budownictwa
Morskiego "PROJMORS" Sp. z o.o. - 12124/19/06 pt.Construction of bottom
reinforcement at Quay Przemyslowe III-1 ÷ III-6 and replacement of the fender line at
Quay Przemyslowe III-1 and III-2 at the Port of Gdanskwhich is attached as Appendix 2,
3 and 5 to the OPZ.
The Employer has a study entitledReport on the performance of ferromagnetic tests at the
Port of Gdanskaimed at the detection of potentially dangerous and explosive
ferromagnetic objects (UXO) in the area of ​the Port of Gdansk - Appendix 8 to the OPZ.
The scope of the study also covers the basin adjacent to the Przemysłowe Quay.
Due to the results of the above of the study, the Employer excludes from the subject
of the contract the works specified in the design documentation consisting in
carrying out sapper reconnaissance and extraction and neutralization of potentially
dangerous objects.
3. Place of performance of works
The Przemyslowe Quay is located on the right-bank part of the inner port in Gdańsk. An
overview map with the location of the investment is attached as Appendix 6 to the OPZ.
4. General description of works and other activities
The scope of the order includes in particular:
4.1.preparatory work, including:
4.1.1. obtaining consent for depositing spoil at the dumping ground after prior examination of
the spoil - obtaining consent is a condition for commencing the execution of works;
4.2. demolition works;
4.3. bottom reinforcement, including:
4.3.1. dredging works;
4.3.2. soil replacement;
4.3.3. bottom reinforcement;
4.4. replacement of the fender line on sections III-1 and III-2;
4.5. obtaining, on behalf of the Employer, a valid permit to use the facilities covered by the
building permit specified in Annex 1 to the OPZ;
4.6. preparation of as-built documentation, including updatesInstructions for use of the berth;
5. Conditions for the performance of the subject of the contract and obligations of the
Contractor
5.1. The Contractor undertakes to perform the subject of the order on time in accordance with
the Agreement, SWZ and technical documentation specified in Annexes 2, 3 and 5 to the OPZ.
5.2. The contractor should comply with the conditions for carrying out the works and meet the
requirements set out in administrative decisions, in particular in the building permit, as well as
in the provisions, contracts, arrangements, technical conditions, opinions, letters, etc. regarding
the subject

orders and performance of works included in, among others in: Technical
Specifications for Execution and Acceptance of Construction Works.
5.3. The contractor undertakes to perform construction works in accordance with the principles
of technical knowledge and regulationsconstruction law, technical standards, with the utmost
care and carrying out works in accordance with health and safety and fire protection
regulations.
5.4. The Contractor is obliged to ensure proper order and order at the construction site,
compliance with health and safety and fire regulations, protection of facilities and utilities
located on the construction site, protection of property against theft, and to liquidate the
back-up facilities and tidy the site after the completion of the works.
5.5. The volume of dredging works should be determined on the basis of the current bottom
survey. The planchette and data in text format constitute Appendix No. 7 to the OPZ.
5.6. The volume of soil for soil replacement does not take into account possible subsidence -
finally, a larger volume of soil to be distributed may be required to achieve the designed
elevations.
5.7. The strengthening of the bottom at Nabrzeże Przemysłowe will be carried out in sections
based on the agreed material and financial schedule (hereinafter: Schedule) developed on the
basis of the OPZ guidelines and the Agreement, also adjusted to the calls of ships serving users
of individual sections of the berth.
5.8. The sequence and deadlines for the execution of individual structural sections are
specified in the Agreement. The implementation of works on the construction sections:
III-1 and III-3 of the quay, due to their length, may be divided into sub-stages.
5.9. Quay users will not conduct reloading activities on the sections of the quay covered by
construction works, transferring this activity to other adjacent sections of the quay, however, it
will be possible to use the mooring bollards located on the sections under reconstruction for
mooring vessels positioned on the adjacent sections of the quay. The contractor should take
this into account when planning the works.
5.10. The Employer reserves the right to temporarily use the mooring equipment on the section
of the berth excluded from mooring for serviced ships, if the current advancement of the works
allows it. The Contractor will be obliged to agree on an ongoing basis with the Employer's
Representative the conditions for carrying out the works. In addition, the Contractor will
coordinate the works in such a way as to enable the contractors to service the ships.
5.11. In the event of a decision to exercise the Option Right, the Employer may also
commission the Contractor to perform the scope on construction sections III-5 and III-6
of the Przemysłowe Quay according to the rules described in the Agreement.
5.12. Settlement of underwater demolition works will be based on the cost estimate based on
the actual amount of works performed, including:
5.12.1. removal of wooden piles from the bottom - 20 pcs. were assumed (including 12 pcs. on
construction sections III-1 ÷ III-4, as part of the basic order and 8 pcs. on construction sections
III-5 ÷ III-6 in the case of using Rights of Option No. 1 by the Employer);

5.12.2. cutting of steel sheet piles - 17 pieces were assumed;


5.12.3. underwater demolition and removal of reinforced concrete structures - assumed 25.2
m3(including 13.2 m3, on construction sections III-1 ÷ III-4 under the basic order, and 12.0 m3,
on construction sections III-5 ÷ III-6 in the case of using the Right Option No. 1 by the
Employer);.
Due to this fact, the bills of quantities for the works were divided into a lump-sum part and a
cost-estimate part.
5.13. The bill of quantities for works settled as part of the lump sum remuneration provided by
the Employer should be treated only as information material.
5.14. Before commencing construction works, the Contractor is obliged to, among others:
5.14.1. checking the actual state of the investment area along with the layout of the
bottom of the basin covered by the investment in order to confirm the adopted
design assumptions;
5.14.2. examination of the excavated material along with obtaining a decision to
dispose of the excavated material to a dumping ground - obtaining a positive
decision is a condition for further execution of the works;
5.14.3. agree with the Employer the location and organization of construction
facilities on the construction site or in its vicinity. The Employer may
provide construction facilities outside the construction site with an area of
​approx. 1,000 m² at a distance of no more than approx. 800 m for a fee
ofPLN 4.5/m2/month + VAT.The Contractor shall, by his own effort and at
his own cost, organize social and technical facilities along with power
supply, water supply and sewage disposal.
The Contractor is obliged to agree with the Employer, who is the
administrator of the network, the supply of water and electricity to the
construction site in accordance withGeneral rules for the delivery and
settlement of carriers– electricity, heat, water supply and sewage disposal
as well as ICT servicesavailable on the Ordering Party's
websitehttps://www.portgdansk.pl/biznes/uslugi/media/.

5.15. In the course of construction works, the Contractor is obliged, among others, to: down:
5.15.1. performance of works by professionally qualified personnel, under the supervision of
persons with appropriate qualifications;
5.15.2. ensuring the daily presence of the Construction Manager at the construction site and
the Works Manager of a given industry during industry works;
5.15.3. possessing and presenting, at the request of the Employer, relevant and valid decisions
and permits for carrying out works in the area of ​the Port of Gdansk, including permits for
depositing spoil from dredging works at the dumping ground. The underwater works
contractor should have a permit from the Maritime Office in Gdynia to carry out works in the
area of ​the Port of Gdansk.
5.15.4. keeping a construction log;
5.15.5. securing the construction site against access by third parties;

5.15.6. marking the berth zones excluded from use and zones of restricted use for the duration
of the works on a given section in accordance with the provisions of the design documentation;
5.15.7. systematic cleaning works in the area of ​the construction site and maintenance of
nearby road systems in the construction area in proper technical condition and cleanliness;
5.15.8. agreeing on an ongoing basis with the Employer's Representative the conditions for
carrying out the works;
5.15.9. carry out construction works in a way that does not deteriorate the operating conditions
of the adjacent water bodies and mooring berths (any shallowness and deepening caused by
the works must be removed under the contract in question);
5.15.10. execution of works in a way that allows for maintaining the continuity of traffic on
the port channel and marking floating equipment and the area of ​works;
5.15.11. carry out works in a way that does not cause damage to facilities and infrastructure,
both inventoried and not inventoried, not subject to reconstruction, located on the construction
site and outside the construction site. In the event of causing damage, the Contractor shall, at
his own expense and effort, make repairs in a manner agreed with the Employer.
5.15.12. ongoing cooperation and coordination of activities with the Employer and with the
Employer's contractors operating in the area of ​works;
5.15.13. proper management of all demolition waste in accordance with applicable regulations;
5.15.14. use of construction products placed on the market or made available on the domestic
market in accordance with separate provisions, as well as in accordance with the intended use;
5.15.15. notification for acceptance, an entry in the construction log of disappearing and
covering works. This acceptance should be made in accordance with the contractual provisions
in agreement with the Employer's Representative without hindering the general progress of the
works;
5.15.16. submit material applications in accordance with the deadlines and guidelines
contained in the Agreement. The Ordering Party reserves the right to verify whether the
material prepared for incorporation is the same as the formally approved material.
5.15.17. provide the Ordering Party, prior to the use and installation of construction products
and materials, with documents confirming that all materials, systems, products, solutions have
the legally required, valid certificates, declarations, certificates, approvals, assessments issued
by authorized institutions (e.g. Building Research Institute), unless have been placed on the
market in accordance with separate regulations. All European approvals or European technical
assessments must be translated into Polish.
5.15.18. ensuring full geodetic service and the required geodetic monitoring during the
execution of works and to perform the as-built

geodetic documentation registered in the Department of Geodetic


Resources of the Geodesy Department of the Municipal Office in Gdańsk,
as well as to prepare a derived master map not registered in the Department
of Geodetic Resources of the Geodesy Department of the Municipal Office
in Gdańsk with content for the Employer;
5.15.19. carrying out geodetic monitoring of horizontal and vertical displacements of the quay
structure along its entire length - in connection with the need to replace the soil for the planned
strengthening of the bottom along part of the length of the quay. After the soil replacement is
completed, geodetic measurements should be carried out periodically until the end of the
reinforcement construction.
5.15.20. comply with internal regulations regarding the premises of the Ordering Party
-Instructions for the movement of people, materials and vehicles in the port areas of the Port
of Gdansk Authority S.A.located on the
website:https://www.portgdansk.pl/port/dostep-do-portu/#przepustki. The Contractor shall
obtain the Employer's passes at its own expense.
5.15.21. equipping the construction site with sorbent mats or sets and floating anti-spill
barriers, and if necessary, to develop the dam and dispose of possible efflorescence, water
stains and other impurities;
5.15.22. arrange with the Port's Chief Dispatcher the place of mooring of equipment and
vessels and obtain each time the consent of the shift officer of the Port of Gdansk Authority
Master's Office for mooring;
5.15.23. incur port fees, in accordance with the following available on the Ordering Party's
website:https://www.portgdansk.pl/biznes/uslugi/taryfy-portowe/ The Port Authority S.A. tariff
of port feesconcerning all vessels that use waters belonging to the Ordering Party (located
within administrative boundaries - from the mouth of the Wisła Śmiała to the heads of the
port);
5.15.24. develop a design of navigation markings for the duration of the works, agree it with
the Master of the Port of Gdansk and set up and maintain markings in accordance with the
above project;
5.15.25. providing hydrographic service in the field of bottom bathymetry measurements with
a multi-beam probe and sonar by an authorized unit. Especially to document disappearing
works. The Employer reserves the right to perform control measurements with its own
hydrographic services;
5.15.26. providing, at each request of the Employer, data of raw survey measurements;
5.15.27. notify each time the intention to start and end dredging works to the duty officer of
the Harbor Master's Office and the Chief Dispatcher of the Port of Gdansk;
5.15.28. granting access to the Employer and its representatives to the construction site and all
places where materials and equipment will be obtained, manufactured, assembled, assembled
or prepared for incorporation;
5.15.29. making available and transferring to the Ordering Party any materials, information,
research results, recipes, workshop designs or

technological, studies and working documentation, etc. related to the


implementation of the subject of the contract;
5.15.30. enabling the Employer to monitor the progress of works and the progress of works by
checking their actual progress and compliance with the applicable Schedule;
5.15.31. keeping monthly photographic documentation (at least 20 photos) progress of works.
Photos should be taken at the end of each month in repetitive places and attached in digital
form with a description to periodic reports;
5.15.32. organize, at their own expense and efforts, a room enabling the organization of
meetings for approx. 10 people (construction councils, coordination meetings, technical
meetings and other meetings in accordance with the guidelines of the Agreement);
5.15.33. immediately remove the effects of failures of existing networks caused by them. The
responsibility for causing the failure shall be borne by the Contractor, both in terms of removal
costs and compensation for the Employer's contractors.
5.15.34. agree with the Employer the detailed content and layout of the as-built
documentation;
5.15.35. enable passage through the construction site or the construction site back-up area or
the water body adjacent to the Employer's quay in the event of any justified need, min.
concerning the execution of construction/maintenance works in the areas adjacent to the
construction site and construction site facilities.
5.15.36. performing other obligations specified in the law or the Agreement - during the
performance of works and removal of defects, the Contractor should take all necessary steps to
protect the environment on and off the construction site, and in particular to prevent any
negative effects on the natural environment resulting from pollution, contamination, noise or
other factors occurring during the execution of the works and being a consequence of the
Contractor's actions or omissions;
5.15.37. immediately provide information to the Employer's Representative about the
occurrence of a crisis situation at the construction site. A crisis situation means, among others:
a) occurrence of an accident at the construction site (including a minor
one), both involving the Contractor's employees and subcontractors, as
well as persons not related to the conduct of works on the construction
site;
b) occurrence of a traffic accident within the construction site;
c) the occurrence of a construction disaster within the meaning ofthe
Construction Law Act;
d) occurrence of damage to neighboring buildings or other construction
objects that may be related to the works carried out by the Contractor, in
particular works causing vibrations or shocks;

e) )failure, damage or unplanned inactivation of underground or


above-ground utilities;
f) blocking the passage due to works, resulting in the impossibility of
access by municipal services, or unforeseen traffic difficulties beyond
those provided for in the temporary traffic organization project;
g) fire on the construction site or in its vicinity causing a threat to the works
or health and life of people on the construction site;
h) torrential rains or floods, threatening the constructed structures or the
health and life of people on the construction site;
i) occurrence of strong winds or hurricanes threatening the works or health
and life of people on the construction site;
j) the occurrence of a disaster involving toxic industrial agents;
k) encountering unexploded ordnance or other hazardous materials during
earthworks.
5.16. Upon completion of construction works for each section, the Contractor is obliged to:
5.16.1. perform a bottom cleanness test in a 50 m wide belt and provide a diving certificate
and an authorized bottom survey with a width up to the axis of the fairway in the scale of
1:1000;
5.16.2. execution, documentation in the form of an underwater film. The underwater film is to
cover the construction of the bottom reinforcement with a strip of bottom 2 m wide along the
outline of the reinforcement and should be made as agreed with the Employer's
Representative;
5.16.3. perform a sonar survey of the bottom in the belt from the waterside edge of the berth to
the axis of the fairway;
5.16.4. perform other tests specified in port regulations;
5.16.5. development of materials containing geodetic and bathymetric data of the modernized
section of the quay and their transfer to the Hydrographic Office of the Navy with a copy to
the Navigational Marking Department of the Maritime Office in Gdynia, in order to ensure
updating of navigational publications. The Ordering Party reserves the right to perform its own
geodetic and bathymetric measurements, which will be the basis for determining the
correctness of the works;
5.16.6. preparation of as-built documentation;
5.16.7. restoring (full recultivation) of the areas temporarily taken over in connection with the
implementation of a given stage of the subject of the Agreement, including resurfacing and
repairing any damage caused by the implementation of works in the adjacent areas and access
roads to the construction site.
5.17. Upon completion of all construction works, the Contractor is obliged to:

5.17.1. perform a bottom cleanness test in a 50 m wide belt and provide a diving certificate

1:1000;
5.17.2. execution, documentation in the form of an underwater film. The underwater film is to
cover the construction of the bottom reinforcement with a strip of bottom 2 m wide along the

Representative;
5.17.3. perform a sonar survey of the bottom in the belt from the waterside edge of the berth to
the axis of the fairway;
5.17.4. perform other tests specified in port regulations;
5.17.5. development of materials containing geodetic and bathymetric data of the modernized
section of the quay and their transfer to the Hydrographic Office of the Navy with a copy to
the Navigational Marking Department of the Maritime Office in Gdynia, in order to ensure
updating of navigational publications. The Ordering Party reserves the right to perform its own
geodetic and bathymetric measurements, which will be the basis for determining the
correctness of the works;
5.17.6. preparing and agreeing with the Ordering Party updatesInstructions for use of the
berth, includinginventory cardi equipment plan;
5.17.7. restoration (full reclamation) of the areas temporarily taken over in connection with the
implementation of the subject of the Agreement, along with the reconstruction of the surface
and repair of any damage caused by the implementation of works in the adjacent areas and
access roads to the construction site;
5.17.8. settlement of receivables for utilities and lease of land for construction facilities.
5.17.9. preparation of as-built documentation based on the Employer's guidelines.

5.18. The Contractor shall provide the as-built documentation to the Employer no later than on
the date of notification of the readiness of the Subject of the Agreement/segment of works for
acceptance.
5.19. The as-built documentation will be provided to the Employer in quantity2 copiesin paper
form and one each1 copyon a CD (files in .pdf format and diagrams, drawings, plans),
additionally1 pc.copies of drawings included in the approved construction design with
handwritten changes in red and a supplementary description, if during the execution of the
works there were changes to the solutions contained in the construction design and with the
qualification of the designer exercising author's supervision that these changes do not differ
significantly from the approved construction design ;
5.20. The as-built documentation must also include the bottom purity test and an authorized
hydrographic survey in the scale of 1:1000.
5.21. The detailed composition of the as-built documentation will be the subject of
arrangements between the Employer and the Contractor.

5.22. In addition, due to the need to obtain, after completing the works on each of the
structural sections, a partial occupancy permit, each time the Contractor will prepare a set of
documentation necessary to apply for and obtain the above-mentioned permits. Decision.
5.23. Variant covered by the subject of the contractfender line on section III-1 - III-2 is the
target variant along with the installation of point fenders and it was included in the bill
of quantities. The Employer may change the method of replacing the fender line under
Option 2.As a result of arrangements with the users of sections III-1 and III-2 of the
Przemyslowe Quaymay decide to abandon the installation of point fender devices and
make a temporary fender line.
5.24. The Ordering Party shall inform the Contractor about the change in the method of
making the fender line in due time80 days before the commencement of works on
construction sections III-1 and III-2.
5.25. As part of the replacement of the fender line, the existing fenders made of old tires will
be replaced along the entire length with fender beams of the MLCC 300x300 type or other
with at least equivalent parameters and analogous dimensions. The technical solution has
already been included in the design documentation -Projmors Project No. 12124/19/06.
5.26. Beams with a length of L=1.5 m will be installed at an angle of 60°, and beams with a
length of L=1.2 m will be installed vertically.
5.27. The contractor will assume for the valuation that the replacement of the fender line on
sections III-1 and III-2 of the Przemyśl Quay will be preceded by the removal of the paving
stone surface and the excavation of the transverse ribs connecting the slab with the top plate in
order to determine their location and technical condition, regardless of the choice of method of
execution. Detached elements should be reconstructed after checking the condition and
location of the ribs.
