any time from the Customer to the Financial

legal charges, immediately upon demand by the
Financial Institution.
1. Guarantee ‫ اﻟﺿﻣﺎن‬.1
1.1. This Guarantee shall be construed as an ‫ ُﯾﻔﱠﺳر ھذا اﻟﺿـﻣﺎن ﻋﻠﻰ أﻧﮫ اﻟﺗزام ﻣطﻠق ﻣن اﻟﺿــﺎﻣن دون‬.1.1

Guarantor.

1.4. This Guarantee shall be invocable forthwith ‫ ﯾوﺿﻊ ھذا اﻟﺿﻣﺎن ﻣوﺿﻊ اﻟﺗﻧﻔﯾذ ﻓوًرا ﻋﻧد ارﺗﻛﺎب‬.1.4

Guarantor of such breach by the Customer.

1.5. All payments by the Guarantor under this ‫ ﺟﻣﯾﻊ اﻟﻣﺑﺎﻟﻎ اﻟﺗﻲ ﯾدﻓﻌﮭﺎ اﻟﺿﺎﻣن ﺑﻣوﺟب ھذا اﻟﺿﻣﺎن‬.1.5

set-off or deduction.

2. Lien and Set-off ‫ اﻟرھن واﻟﻣﻘﺎﺻﺔ‬.2

2.1. The Guarantor hereby grants the Financial ً ‫ورھﻧﺎ‬

Institution a irst lien charge over any assets of ‫ﻋﻠﻰ أيٍ ﻣن أﺻول اﻟﺿـﺎﻣن اﻟﻣوﺟودة ﻓﻲ ﺣوزة اﻟﻣؤﺳﺳـﺔ‬
the Guarantor now or hereinafter in the .‫اﻟﻣﺎﻟﯾﺔ ﺣﺎﻟًﯾﺎ أو ﻓﯾﻣﺎ ﺑﻌد‬
possession of the Financial Institution.

2.2. The Financial Institution shall be authorized to, ‫ ﺗﻛون اﻟﻣؤﺳﺳﺔ‬،‫ ﻋﻧد وﻗوع أﯾﺔ ﺣﺎﻟﺔ إﺧﻼل ﻣن ِﻗﺑل اﻟﻌﻣﯾل‬.2.2
upon the occurrence of an event of default by (‫اﻟﻣﺎﻟﯾﺔ ﻣﻔوﺿﺔ ﻟﻠﻘﯾﺎم ﺑﻣﻘﺎﺻﺔ ﺣﺳﺎب )أو ﺣﺳﺎﺑﺎت‬
the Customer to set-off from the account(s) of ‫ ﺳواء ﻛﺎﻧت ﻣﻣﻠوﻛﺔ ﺑﺷﻛل‬،‫اﻟﺿﺎﻣن ﻟدى اﻟﻣؤﺳﺳﺔ اﻟﻣﺎﻟﯾﺔ‬
the Guarantor with the Financial Institution, ‫ ﺑﻘﯾﻣﺔ اﻟﻣﺑﺎﻟﻎ‬،‫ﻣﻧﻔرد أو ﺑﺎﻻﺷﺗراك ﻣﻊ أي ﺷﺧص آﺧر‬
whether held singly or jointly with any other .‫اﻟﻣﺳﺗﺣﻘﺔ اﻟدﻓﻊ وﻏﯾر اﻟﻣﺳددة ﻣن اﻟﻌﻣﯾل‬
person, the amounts due and outstanding from
the Customer.

3. Continuing Guarantee
3.1. This Guarantee shall be continuing for the
obligations and liabilities of the Customer
and shall be valid and enforceable if any
amount is payable to the Financial
Institution. It shall not be discharged by the
payment from time to time by the Customer
of its obligations and liabilities or the expiry
or earlier termination of the Islamic facilities
or renewal of the Islamic facilities or any
alteration to the terms of the Islamic
facilities. It shall not be discharged or
affected by the bankruptcy, death, winding
-up, dissolution, re-organization, change in
the constitution or ownership of the
Customer or Guarantor or by any merger or
amalgamation of the Financial Institution or
any change in its constitution.
3.2. This Guarantee shall be terminated
automatically upon payment of all amounts
which may, from time to time, be or become
due from the Customer to the Financial
Institution including any amounts drawn in
excess of the approved limits, pro it margin,
bank charges and expenses of whatsoever
nature that the Financial Institution may
incur in connection therewith.
3.3. This Guarantee shall be in addition to any
other security granted to the Financial
Institution by the Customer.
4. Rights of Subrogation
4.1. The Guarantor hereby waives any right to
subrogate to the rights of the Financial
Institution with respect to the Customer as
long as the Customer has any liability or
obligation to the Financial Institution.
5. Miscellaneous
5.1. The Guarantor hereby waives the
requirement of the Guarantor’s consent to
any amendment, change, addition, reduction
or renewal of the Islamic Facilities.
5.2. The Guarantor hereby consents to any
waiver or release by the Financial Institution
of any obligation of the Customer to the
Financial Institution and acknowledges that
such waiver or release shall not affect the
Guarantor’s obligations hereunder.

‫ أو‬،‫ﺑﻘﯾﺎم اﻟﻌﻣﯾل ﻣن وﻗت ﻵﺧر ﺑﺄداء اﻟﺗزاﻣﺎﺗﮫ وﻣﺳؤوﻟﯾﺎﺗﮫ‬
‫اﻧﺗﮭﺎء اﻟﺗﺳﮭﯾﻼت اﻹﺳﻼﻣﯾﺔ أو إﻧﮭﺎﺋﮭﺎ أو ﺗﺟدﯾدھﺎ أو أي‬
‫ وﻻ ﯾﺗم اﻹﺑراء أو‬،‫ﺗﻐﯾﯾر ﻓﻲ أﺣﻛﺎم اﻟﺗﺳﮭﯾﻼت اﻹﺳﻼﻣﯾﺔ‬
‫اﻟﺗﺄﺛﯾر ﻋﻠﯾﮫ ﺑﺎﻹﻓﻼس أو اﻟوﻓﺎة أو اﻟﺗﺻﻔﯾﺔ أو اﻟﺣل أو إﻋﺎدة‬
‫اﻟﺗﻧظﯾم أو ﺗﻐﯾﯾر ھﯾﻛل ﻣﻠﻛﯾﺔ اﻟﻌﻣﯾل أو اﻟﺿﺎﻣن أو أي دﻣﺞ‬
.‫أو اﻧدﻣﺎج ﻟﻠﻣؤﺳﺳﺔ اﻟﻣﺎﻟﯾﺔ أو أي ﺗﻐﯾﯾر ﻓﻲ ھﯾﻛﻠﮭﺎ‬

‫إﻟﻰ اﻟﻣؤﺳﺳﺔ اﻟﻣﺎﻟﯾﺔ ﺑﻣﺎ ﻓﻲ ذﻟك اﻟﻣﺑﺎﻟﻎ اﻟﻣﺳﺣوﺑﺔ اﻟزاﺋدة‬
‫ﻋن اﻟﺣدود اﻟﻣﻌﺗﻣدة وھﺎﻣش اﻟرﺑﺢ واﻟرﺳوم اﻟﻣﺻرﻓﯾﺔ‬
‫واﻟﺗﻛﺎﻟﯾف واﻟﻧﻔﻘﺎت اﻟﻔﻌﻠﯾﺔ أﯾﺎ ﻛﺎﻧت طﺑﯾﻌﺗﮭﺎ اﻟﺗﻲ ﻗد‬
.‫ﺗﺗﻛﺑدھﺎ اﻟﻣؤﺳﺳﺔ اﻟﻣﺎﻟﯾﺔ ﻓﯾﻣﺎ ﯾﺗﻌﻠق ﺑذﻟك‬

‫اﻟﻣؤﺳﺳﺔ اﻟﻣﺎﻟﯾﺔ ﺑﺣق اﻟﻌﻣﯾل طﺎﻟﻣﺎ ﻛﺎن ﻋﻠﻰ اﻟﻌﻣﯾل أي‬
.‫اﻟﺗزام أو ﻣﺳؤوﻟﯾﺔ ﺗﺟﺎه اﻟﻣؤﺳﺳﺔ اﻟﻣﺎﻟﯾﺔ‬
‫ أﺣﻛﺎم ﻣﺗﻔرﻗﺔ‬.5
‫ ﯾﺗﺧﻠﻰ اﻟﺿﺎﻣن ﺑﻣوﺟﺑﮫ ﻋن ﺷرط ﻣواﻓﻘﺔ اﻟﺿﺎﻣن ﻋﻠﻰ أي‬.5.1
‫ﺗﻌدﯾل أو ﺗﻐﯾﯾر أو إﺿﺎﻓﺔ أو ﺧﻔض أو ﺗﺟدﯾد اﻟﺗﺳﮭﯾﻼت‬

‫إﺑراء ﻣن ِﻗﺑل‬

‫ وﯾﻘر ﺑﺄن ذﻟك اﻟﺗﺧﻠﻲ أو اﻟﺗﻧﺎزل ﻻ ﯾؤﺛر‬،‫اﻟﻣؤﺳﺳﺔ اﻟﻣﺎﻟﯾﺔ‬
.‫ﻋﻠﻰ اﻟﺗزاﻣﺎت اﻟﺿﺎﻣن ﺑﻣوﺟﺑﮫ‬
5.3. The Guarantor hereby waives notice of
acceptance of this Guarantee and further
waives protest, presentment, demand for
payment, notice of default or non-payment,
notice of presentment and notice of
dishonor.
5.4. The Guarantor hereby acknowledges and
concedes that the Financial Institution’s
books and accounts shall be evidence of the
sum due and outstanding from the
Customer.
5.5. The Guarantor acknowledges and agrees
that any delay or waiver by the Financial
Institution in the enforcement of any of the
terms and conditions contained in this
Guarantee shall be prejudice the Financial
Institution’s right to strictly enforce such
terms and conditions. No waiver by the
Financial Institution shall be affective unless
it is in writing.
5.6. If any provision of this Guarantee becomes
invalid, illegal or unenforceable, the validity,
legality and enforceability of the remaining
provisions hereof shall not be affected or
impaired.
5.7. Any summons, advice or notice which the
Financial Institution may desire to convey to
the Guarantor shall be deemed to have been
duly served if given in writing by registered
post to the address of the Guarantor last
advised to the Financial Institution and such
demand/notice shall be effective even if
returned undelivered.
6. Law & Jurisdiction
6.1. This Guarantee shall be construed in
accordance with the provisions of the
Islamic Sharia, and the opinions (Fatwas)
issued by the Internal Sharia Supervisory
Committee of the Financial Institution as
well as the laws of UAE to the extent that
laws of UAE do not con lict with the
principles of Islamic Sharia. And the UAE
courts shall have a non-exclusive jurisdiction
over any disputes arising under this
Guarantee. In addition, the Financial
Institution will have the right to initiate
proceedings in any court outside the UAE
with jurisdiction over the Guarantor or the
assets of the Guarantor.

‫ ﯾﻌﺗﺑر أي ﺗﺑﻠﯾﻎ أو إﻋﻼم أو إﺷﻌﺎر ﺗرﻏب اﻟﻣؤﺳﺳﺔ‬.5.7
