right of first refusal to the reversionary interest in the property. The total value of the equity
provided by the University Party shall be cumulatively accounted for against the value of
the property.

4. In addition to the equity provided in term 3, the University Party may seek agreement with
the County Party to provide additional equity values to the Grantor Party in the form of
goods and services, intellectual property rights, and real property rights.

5. The recipient parties, specifically the County Party and the University Party, shall be
responsible for the payment of all major expenses, taxes, assessments, and other charges
levied against the property during the usufruct term. The Grantor Party shall be responsible
for any other expenses not explicitly covered by the recipient parties.

6. The Grantor Party shall maintain the property in good repair and condition and shall not
commit waste or otherwise diminish the value of the property.

7. The recipient parties shall consult with the Grantor Party regarding the time, scope, and
specifics of any updates or upgrades made to the property during the usufruct term. The
recipient parties shall obtain the Grantor Party's approval before initiating any significant
updates or upgrades to the property.

8. The recipient parties shall hold the Grantor Party and the usufruct harmless in matters of
dispute resolution, including addressing any claims or legal actions that may arise
concerning the property.
9. This assignment of usufruct shall be binding upon and inure to the benefit of the parties
hereto and their respective heirs, executors, administrators, successors, and assigns.
