Memorandum of Understanding

AARUUSH’20
&
SmartBridge

The Memorandum of Understanding (“MoU” or “Agreement”) sets forth the terms and
understandings made on the 3rd of October 2020 between SmartBridge and Aaruush’20,
here in after referred to as “AARUUSH ‘20” (each, a “Party”, and together, the “Parties”).

ARTICLE 1: PURPOSE AND NATURE OF RELATIONSHIP

i. The Purpose of this MOU is to set forth certain objectives, principal terms, and other
preliminary understandings that have been reached between the Parties and to
confirm their present intent to work together in the manner described herein below,
subject to the broad terms and conditions set forth in this MOU.
ii. Subject to the terms of this MoU, the implementation and pursuit of goals, objectives
and conditions of this collaboration will be carried out in accordance with the
policies and procedures of each party, while subject to the terms laid out in
Annexure B.

ARTICLE 2: DURATION, VALIDITY AND RENEWAL OF THE MoU

i. This MOU is at-will and may be modified by mutual consent of authorized


representatives, names of whom are as specified in Article 4, while also being
subject to Annexure B.
ii. This MOU shall become effective on the date of signing of the MoU (“Enforcement
Date”) by the authorized representatives from the Parties and will remain in effect
until modified or terminated by any one of the Parties by mutual consent.
iii. In the absence of mutual agreement to extend the validity of this MoU by the
authorized representatives from the Parties, the term of this MoU will be for a period
of thirty (30) days (“Initial Term”) starting from the date of implementation of the
MoU (“Implementation Date”) unless terminated earlier or extended as provided
herein, enforcement of which will be governed by the terms set in Annexure B.
iv. The Parties agree to discuss, in good faith, prior to the end of the Initial Term, the
status of the relationship of the Parties and the terms of the renewal of the
Agreement.
v. The MoU is valid only during the Initial Term and with a valid and duly signed
Annexure A, failing which the MoU becomes inadmissible.
ARTICLE 3: EXPENSES INCURRED

i. Each party will assume full responsibility for any expenses they incur in
participation under this MoU unless those expenses are noted under Article 5.
ARTICLE 4: REPRESENTATIVES AND REPORTING

1. The focal point of contact in the Workshops i.e. Cognitive Computing with IBM
Cloud for Aaruush’20 will be Mr. Jai Prakash Netha from SmartBridge
2. The focal point of contact in the Workshop i.e. Cognitive Computing with IBM
Cloud, from Aaruush’20 side will be Mr. Anubhav Dutta
3. Any change in representation of either Party shall be informed to the other Party
with a minimum notice of 15 working days.
ARTICLE 5: GOALS AND DELIVERABLES

Commitments from SmartBridge:

1. 2 days, 2 hours a day (1 session each day) the Workshop i.e. Cognitive Computing with
IBM Cloud to be conducted by SmartBridge on the days of Aaruush i.e. the 10th and 11th
of October 2020.
2. Publicity by SmartBridge for the above-mentioned Workshop on its social media handles.
( Facebook, Instagram, LinkedIn, Twitter)
3. SmartBridge is supposed to update the event on its Website with Aaruush and SRM-IST’s
name and logo stating Aaruush’20 as the Organizer of Workshop.
4. A High Definition logo of SmartBridge, SmartInternz and IBM to be provided to
Aaruush ‘20 for promotional activities during and for the workshop and to be printed on the
participation certificate

5. SmartBridge shall ensure upto a 2 member training team for conducting the workshop.

6. The speaker of the workshop for the two days i.e. the 8th and 9th of October 2020 will be
Pradeepthi Duggaraju

7. Workshop to be conducted free of cost.


Dates and Timings:
 10th October 2020 (04:00 PM – 6:00 PM)
 11th October 2020 (04:00 PM – 6:00 PM)
 Total – 4Hrs

Commitments from Aaruush ‘20:

1. Aaruush ’20 will act as a host of “Cognitive Computing with IBM Cloud Workshop”
on 10th and 11th October 2020 and this infers that no other source i.e. a company or a
consultancy other than SmartBridge would be providing the seminar/ Workshop on the
similar or related topic during the event.

2. The relevant posters of the workshop will contain logo of Aaruush’20, SmartBridge,
SmartInternz and IBM.

3. The fest’s website should contain the information about the above-mentioned Workshop
which SmartBridge will be conducting.

4. Aaruush’20, will hold the sole responsibility of registration

5. Workshop session platform (Zoom) to be provided for organizing workshop to


SmartBridge on dates mentioned above by Aaruush ‘20.

6. Aaruush‘20 will provide certificate of participation to all participants.

7. Workshop will be publicized in Sponsorship Brochures and collaterals by Aaruush.


8.Aaruush’20 will publicize the Workshop on multiple Social Media platforms through
posters and stories with the name “Cognitive Computing with IBM Cloud,” (Instagram,
Facebook, Twitter).

9. Aaruush’20 shall provide SmartBridge with the poster of the Workshop for the publicity
of the event on various collaterals.
A Mutual Agreement is thus made on the 3rd of October 2020 between the Parties which state
that the Parties are in complete agreement with the above articles. Any further alterations to
this MoU will be made in good faith and done through mutual consent/agreement subject to
the terms laid out in Article 2.
