    Dear Madam,

    LETTER OF INTENT – PURCHASE OF SPARE PARTS FOR THE ROYAL


    MALAYSIAN NAVY (“RMN”) PRIME MINISTER'S CLASS SUBMARINE

    1. Further to the above subject, we are pleased to inform that BHIC Submarine
    Engineering Services Sdn Bhd (“BSES”) has received a Letter of Intent (“LOI”)
    from the Government of Malaysia for the Interim In-Service Support for the RMN
    Prime Minister's Class Submarine vide KP/PERO(S)/2A/RT234/2018/OE JLD 12
    dated 24 Feb 2023. Negotiations with the Ministry of Defence Malaysia is still
    ongoing and it is expected to receive the Letter of Award by 15 April 2023.

    2. Subsequently, BSES confirms our intention to purchase spare parts for the
    RMN Prime Minister's Class Submarine from Naval Group SA subject to a mutually
    agreed terms and conditions. BSES hereby writes to confirm our understanding of
    the following general terms and conditions:

    a. Scope of Work
    Supply of spare parts for the RMN Prime Minister's Class Submarine.

    b. Definitive Agreement
    All other terms and conditions shall be negotiated and mutually agreed by
    the parties in the Purchase Order and/or Contract.

    This LOI shall be subjected to the execution of a Purchase Order and/or


    Contract which shall be in compliance with the laws and practices of
    Malaysia.

    c. Confidentiality
    The parties agree that the contents of this LOI shall remain confidential until
    it is replaced by the definitive agreement.

    d. Termination
    Should the Purchase Order and/or Contract not be executed on or within
    sixty (60) days from the date of this LOI or if the negotiations pursuant to
    this LOI is terminated for whatever reason, whichever shall be the earlier, no
    award of contract shall take place.

    3. Please note that this letter does not constitute an offer and there is no legal
    or binding agreement between the parties until the execution of a Purchase Order
    and/or Contract. Thank you.
