ARTICLE I: Name, Affiliation, Regional Chapters and Principal Office

SECTION 1: Name of Organization

The name of the organization shall be VU-Alumni Association (VUAA), hereinafter referred to as
the "Association".

SECTION 2: Affiliations

The Association shall not affiliate with any political or government organization in Pakistan or
outside Pakistan nor will it support any political cause, activity or candidate for political office in
Pakistan.
SECTION 3: Regional Chapters

The Association may form regional chapters to complement its activities.

SECTION 4: Principal Office

The principal office of the Association shall be located at Head Office of the Virtual University of
Pakistan, M.A. Jinnah Campus, Defence Road, Off Raiwind Road, Lahore, Pakistan. The office may
be relocated in the future.

ARTICLE II: Purpose

SECTION 1: Purposes

The VUAA will provide a forum for Alumni of the Virtual University of Pakistan for social
interaction and meeting faculty for their academic and professional goals.

1. To serve as a platform for organizing and maintaining social interaction between the Alumni.
2. To serve as a resource center for meeting its technological needs identified by maintaining
regular contact with its faculty and students.
3. To organize seminars or lectures in conjunction with the VU in subject areas that will contribute
to the overall progress of knowledge economy in Pakistan.
4. The VUAA may assist its alma mater in the form of funds for student scholarships, technical
literature or consultation on specific tasks or projects.

SECTION 2: Nonprofit Character

The Association is a nonprofit Association and may engage in activities for the purpose of raising
funds to cover the cost of its operations and programs as identified in ARTICLE II, SECTION I. No
part of its funds shall inure to the benefit of any officer, member or private individual, nor shall it
ever declare or make to any such person any dividend or other distribution. Individuals designated by
the Association to perform tasks consistent with the ARTICLE II, SECTION I, however, shall be
entitled to reimbursement of actual expenses incurred in performing such tasks.
ARTICLE III: Membership

SECTION 1: Eligibility

The membership of the Association is open to the Alumni of the Virtual University of Pakistan.
Spouses of the Alumni, current and past faculty members are eligible as associate members. The
secretary shall maintain a list of active members of the Association. Voting on professional matters
will be restricted to members only.

SECTION 2: Membership Fees

About Registration Fee and or Annual Membership fees, the decision will be taken during the first
meeting of the VU AA Executive Council (VUAAEC). The fees (as per decision) will be payable in
the first quarter of every year. The amount of annual dues may be changed by a majority vote during
any general meeting of the Association.

SECTION 3: Assigned Membership

Membership in the Association shall not be assigned by operation of law or otherwise. Any attempt
to assign said membership shall be null and void and of no effect and shall result in automatic
termination of said member.

SECTION 4: Voting

In the election of officers and other matters or transaction of such other business as may come before
the Members of the Association; each paying Member shall be entitled to one vote. Voting by proxy
shall be permitted.

SECTION 5: Voting Rights and Interests

The voting power and interest of Members in the Association shall be equal.

SECTION 6: Rights to Property

No members or officials of the Association shall have any right, title or interest whatsoever in or to
any property or assets, which the Association may have or hereafter acquire. In the event of or upon
the dissolution or winding up of this Association, the officers or persons in charge of the liquidation
shall distribute any assets remaining after payment or the discharge of all the Association's duties or
obligation to the Virtual University of Pakistan's student scholarship fund.

SECTION 7: Honorary Membership

The Association may grant an honorary membership to a person in recognition of outstanding


services and support provided to the Association and/or Virtual University of Pakistan.

SECTION 8: Member Access to Bylaws


The VUAA Bylaws will be available on the website.

ARTICLE IV: Membership Meetings

SECTION 1: Annual Meetings

The annual meeting of the Association for the purpose of electing officers will be held during the last
of every year, and for the transaction of any business as may properly come before the meeting.
Officers elected at the annual meeting of the Association shall assume office effective January 1st of
the next year. For meetings the university will provide the participants with the password to
participate in the meetings through cyberspace.

SECTION 2: Meeting Notices

A written notice of meeting shall be given by the Secretary of the Association and emailed to the
members at least thirty (30) days before the date of the meeting. A statement of the written notice
given by the Secretary shall be entered in the minutes of the following meeting; and the said minutes
will be shared electronically and approved through email or at the time of the next meeting.

SECTION 3: Quorum
Fifty percent (50%) of the Members Executive Council will constitute a quorum for all purposes at a
regular or special meeting of the Association. A majority vote as set forth in this section shall
constitute an official and valid act of said membership of the Association.

SECTION 4: Attendance

Members will be expected to attend regional meetings, which will be held as determined by the local
Executive Members of the Association. The Association may conduct meetings through web
conferencing when and where required to facilitate the members.

ARTICLE V: Officers

SECTION 1: Officer by Virtue:

By virtue of the office, President of the association shall be Rector of Virtual University of Pakistan.
For better coordination of the association activities, the President shall nominate General Secretary
and Treasurer from amongst the alumni of teaching staff of the University.

SECTION 2: Elected Officers

The elected officers of the Association will include Vice Presidents from the province Baluchistan.
Sindh, Punjab, Khyber Pakhtunkhwa (KP), Kashmir, FATA and Gilgit Baltistan. Beside each of the
region mentioned will elect one councilor for each regional alumni.

SECTION 3: Assumption of Office


Officers elected will assume responsibilities of VUAA in the first quarter of the year. The Officers
shall hold the office for a term of one year and until their successors are elected and duly qualified or
until their earlier resignation, removal or departure from the office.

SECTION 4: Proxy

Nominations for officers, voting and election may be conducted by proxy so long as the proxy is
received at least two days prior to the scheduled general membership meeting in which such
nominations, voting and/or election are to take place.

SECTION 5: Regional Officers

Regional chapters of the Association will elect their own office bearers as per need. The elected
regional executive member(s) and vice president will be part of the central VUAA Executive
Council.

ARTICLE VI: Duties and Powers

The officers of the Association shall exercise all lawful powers of the VUAA, except as constrained
by these bylaws or provided in the Articles of Incorporation.

SECTION 1: President

The President shall preside over all meetings of the Association, decide all points of order, and
generally perform all duties incidental to the Office of the President.

SECTION 2: Vice President

In the absence of the President, the General Secretary and the Treasurer of the Association shall
jointly decide and request senior most amongst vice presidents to preside as president pro tempore,
in whom shall be vested for the time being the duties and function of the President's office.

SECTION 3: General Secretary

The General Secretary shall receive and keep custody of all minutes and records of the Association,
and perform all duties incident to the office of Secretary and such other duties as may be assigned to
the Secretary from time to time by the President.

SECTION 4: Treasurer

The Treasurer shall receive and keep custody of all funds and financial records of the Association,
and perform all duties incident to the office of Treasurer and such other duties as may be assigned to
the Treasurer from time to time by the President.
SECTION 5: Borrowing/Lending Funds

The officers shall have no power to borrow or lend money on behalf of the Association unless the
same shall be approved and authorized by the VUAA.

SECTION 6: Delegation

The officers may delegate, to the extent considered necessary, any portion of their authority to
manage, control and conduct the Association's business to any standing or special committee of
Association members. Notwithstanding such delegation, the officers shall exercise general
supervision and oversight of the committee(s) and their members.

ARTICLE VII: Amendments to the Bylaws

SECTION 1: Required amendments to the bylaws can be made by simple majority in a valid general
Membership meeting.

ARTICLE VIII: Bank Accounts, Gifts and Audits

SECTION 1: Bank Accounts

The VUAA funds will be deposited in a separate account open by the VU and shall be operated
under the guidance of the VUAAEC. The funds shall be withdrawn over the signatures of two
officers of the VUAA.

SECTION 2: Gifts

The officers may accept on behalf of the Association any contributions, gifts or bequest for the
general purposes or for any specific purpose of the Association.

SECTION 3: Fiscal Year

The fiscal year of the Association shall begin on the first day of January, and end on December 31st.

SECTION 4: Annual Audits

An annual audit of the Association's book shall be performed by a qualified accountant and presented
to the officers during the first month of every year and will be placed on the website for appraisal of
the members.
