FIRST ASSIGNMENT

Instructions to all students:


1. Please read ALL instructions before beginning this assignment.
2. This assignment is worth 35% of your grade for this course.
3. You are required to answer ALL QUESTIONS.
4. You must read the questions properly before attempting them.
5. Your answer must be type-written using 1.5 line spacing using the font Times New Roman
with the font size 12. Pages must the numbered on the bottom right-hand corner of each
page. You are to submit your document in the format of a Microsoft Word Document or pdf.
6. You MUST e-mail your submissions by 11:59 p.m. on 4th August, 2022.
7. The email address you are submitting your assignment to is ramloganacademia@gmail.com.
8. Failure to submit your assignment on time will result in a 5 mark deduction penalty.
9. No submissions shall be accepted after 11:59 pm on 5th August, 2022.
10. Failure to submit an answer for this assignment will result in no mark/grade awarded.
11. Students MUST identify their assignments by the use of their full names. Your name should
be typed at the top left-hand corner of the first page of your script. You must also include
your full name in the name of the file that you are sending. Failure to put your full name in
the sent file’s name will result in a 5 mark deduction penalty.
12. You are allowed to use your notes, class materials, the internet, etc.
13. You are NOT allowed to copy the class slides wholesale. Any answer that is a copy-paste of
the slides will be penalized by a 2 mark deduction for each question that is copy-pasted.

1. In June 2020, David entered into negotiations with James for the purchase of James’ poultry
depot. During negotiations via email James expressed to David that the business earned a
monthly profit of $10,000.00 per month. Four (4) months later David signed the contract but by
this date James’ poultry depot’s profitability significantly declined due to a shortage of chickens
caused by James’ poor management. Two (2) months after operation David has realised that the
business is not what he expected and has informed James of his desire to rescind the contract.
You are an intern at Lammergeier Chambers.

A senior Attorney at Law has requested your assistance to research the law on contracts and
advise him in respect of the following:
i. Whether David is entitled to rescind the contract (use at least one case in support)? (7 marks)
ii. What are the elements of misrepresentation (use at least one case to explain each element)?
(6 marks).

2. According to Lord Devlin in Archbolds (Freightage) Ltd v Spanglett Ltd [1961], the “effect
of illegality on a contract may be threefold.” Discuss (12 marks)

3. Distinguish by use of relevant case law the distinction between an Offer and an Invitation to
treat. (10 marks)
