MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT is made and executed in ____________,

Philippines this day of _________________ by and between:

_____________, Filipino, of legal age, married, and a resident of ______________, now

and hereinafter called as the "CREDITOR".

JENIFFER ANN A. POLIRAN, Filipino, of legal age, widow and a resident of Brgy.
Culasi, Roxas City, Capiz, Philippines, now and hereinafter called as the "DEBTOR";

WITNESSETH

That the DEBTOR is desirous of borrowing the amount of ONE HUNDRED

THOUSAND (P100,000.00) PESOS, Philippine Currency while the CREDITOR is
willing and able to lend the said amount, subject to the following terms and conditions:

1. That the CREDITOR shall convey the amount of ONE HUNDRED THOUSAND
(P100,000.00) PESOS to the DEBTOR upon execution of this contract;

2. That the DEBTOR shall pay the CREDITOR the aforementioned amount loaned
within the period of THREE (3) MONTHS upon the execution of this agreement;

3. That the DEBTOR shall pay the CREDITOR the aforementioned amount plus SIX
(6%) PERCENT interest rate a month;

4. That the DEBTOR shall pay the CREDITOR in the following manner:

April 6, 2023 - THIRTY NINE THOUSAND THREE HUNDRED THIRTY THREE

PESOS and THIRTY THREE CENTS (P39,333.33.)

May 6, 2023 - THIRTY NINE THOUSAND THREE HUNDRED THIRTY THREE

PESOS and THIRTY THREE CENTS (P39,333.33.)

June 6, 2023 - THIRTY NINE THOUSAND THREE HUNDRED THIRTY THREE

PESOS and THIRTY THREE CENTS (P39,333.33.)

5. That the DEBTOR shall issue THREE (3) POST DATED CHECKS in favor of the
CREDITOR to cover the payments for loan plus interest;

6. That in case of failure on the part of the DEBTOR to pay the loaned amount plus
pending interest on its maturity date or in case of restructuring of this agreement, the
DEBTOR shall pay the CREDITOR an additional amount of SIX (6%) PERCENT of the
Loaned amount plus pending interest;

7. This Agreement and all other documents pertaining hereto shall be governed and
construed in accordance with the laws of the Republic of the Philippines;

8. This Agreement shall be binding upon and enforceable on the Debtor and the Creditor
and their respective successors and assigns. The Debtor shall not assign or transfer its
rights or obligations hereunder without the prior consent of the Creditor;

9. In the event any provision of this Agreement is deemed to be void, invalid, or

unenforceable, that provision shall be severed from the remainder of this Agreement so
as not to cause the invalidity or unenforceability of the remainder of this Agreement. All
remaining provisions of this Agreement shall then continue in full force and effect;

10. Except as otherwise provided in this document, this agreement may be modified,
superseded, or voided only upon the written and signed agreement of the Parties.
Further, the physical destruction or loss of this document shall not be construed as a
modification or termination of the agreement contained herein.

IN WITNESS WHEREOF, we have hereunto set our hands and affix our
