NYEIHANGAPARISH,NDEIJA SUBCOUNTY, RWAMPARA DISTRICT,
MEASURING NEIGHBOURING THE LAND OF MAYERS
TUMWEBAZE IN THE EAST, SOUTH ASA TUMWEBAZE ,………….. IN
THE WEST, MBARARA-KABALE ROAD IN THE NORTH

LAND SALE AGREEMENT

THIS AGREEMENT is made this .…….day of …..…..,2023 BETWEEN


MR TUKUSIIME HERBERT ,of RUBINGO II VILLAGE,
KABARAMA PARISH, BUGAMBA SUB- COUNTY, RWAMPARA
DISTRICT (hereinafter referred to as the “Vendors”) which expression
shall where the context so admits include their successors in title, assignees,
representatives and nominees of the one part;

AND

ATWIINE PROSSY of Nyeihanga Town Council (hereinafter referred to as


the “Purchaser”) which expression shall where the context so admits
include her successors in title, assignees representatives and nominees of the
second part;

WHEREAS:

(a) The Vendors TUKUSIIME HERBERT are the owners of the land
situate at NYEIHANGA VILLAGE, NYEIHANGA PARISH,
NDEIJA SUB- COUNTY, RWAMPARA DISTRICT,
MEASURING ….feet(hereinafter called “the Property”); AND,

(b) Whereas the Vendors are willing to sell land measuring
……………..FEET and the Purchaser is able, willing and in position
to buy the same upon the terms and conditions as hereinafter
contained.

Now this Agreement WITNESSETH as follows:

IN CONSIDERATION of the sum of Ugx. 50,000,000(Fifty million


shillings only) for the property above, hereby paid by the Purchaser to the
Vendors in the manner agreed upon in this Agreement, the Vendors hereby
sells, assigns, conveys and transfers to the Purchaser the property measuring
………… feet TOGETHER WITH all their proprietary rights TO HOLD
unto the Purchaser for her interest therein unequivocally.

IT IS HEREBY FURTHER AGREED as follows:

1. PAYMENT OF CONSIDERATION:

(a) The Purchaser has paid to the Vendors a consideration of Ugx


50,000,000 (fifty million shillings only) in cash and the
Vendors hereby acknowledge receipt of the same.

(b) The Purchaser has not remained with any outstanding balance
of the consideration.

2. DELIVERY OF POSSESSION BY THE VENDORS:

(a) The Vendors shall immediately handover vacant possession of


the property to the Purchaser.

(b) The Vendors shall clear/pay all the current taxes such as Local
Government rates, ground rent, power and water charges, if
any, and proof of such payment shall be produced by the
Vendors.

(c) The Vendors shall facilitate their witnesses such as neighbors
and the local leaders if any.

(d) The Vendors shall handover all the receipts in (b) above up to
date, to the Purchaser on execution thereof.

3. GUARANTEE:

The Vendors guarantee that they are the owners of the property and
they are fully entitled and have the authority to sell and transfer the
full legal ownership of the property comprised in the above described
property.

4. SUCCESSORS IN TITLE:

This Agreement shall be binding upon the assignees,


representatives/agents and successors in title of the Vendors and the
Purchaser respectively.

5. IT IS HEREBY mutually agreed that no other Agreement supersedes


this Agreement.

6. This Agreement shall be governed by the Laws of Uganda.

IN WITNESS WHEREOF the parties have hereunto set their hands and
