NON-DISCLOSURE AND CONFIDENTIALITY
AGREEMENT
This Non-Disclosure and Confidentiality Agreement (“Agreement”) is made and entered into as
of 8th April, 2023 (the “Effective Date”), by and between PsyDoc, Inc. (the “Company”), and
[Name] (the “Recipient”).
WHEREAS, the Company desires to disclose certain confidential and proprietary information to
the Recipient in connection with the development of the PsyDoc app (the “Purpose”); and
WHEREAS, the Recipient acknowledges that such information is confidential and proprietary
and desires to receive such information from the Company for the sole purpose of evaluating the
opportunity to provide services to the Company.
NOW, THEREFORE, in consideration of the premises and the mutual covenants and agreements
contained herein, the parties agree as follows:
1. Confidential Information. The term “Confidential Information” means any and all
information, in any form, furnished or disclosed by the Company to the Recipient or
otherwise learned by the Recipient in the course of its relationship with the Company,
whether or not marked as confidential, proprietary, or trade secret. Confidential
Information includes, without limitation, the Company’s financial information, marketing
strategies, business plans, designs, processes, software, technology, inventions, and other
intellectual property, as well as any information relating to the Company’s customers,
suppliers, or employees.
2. Non-Disclosure Obligations. The Recipient agrees to maintain the Confidential
Information in strict confidence and to not disclose, publish, or otherwise make available
the Confidential Information to any third party without the prior written consent of the
Company, except as required by law. The Recipient will use the Confidential Information
solely for the Purpose and will not use such information for any other purpose.
3. Ownership of Confidential Information. The Confidential Information shall remain the
property of the Company, and the Recipient acquires no rights or licenses in the
Confidential Information, except as may be necessary to fulfill the Purpose.
4. Return or Destruction of Confidential Information. Upon the Company’s written request
or upon termination of this Agreement, the Recipient will promptly return all
Confidential Information to the Company, or, at the Company’s option, will destroy all
such Confidential Information and provide written certification of such destruction.
5. No Warranty. The Company makes no representation or warranty, express or implied, as
to the accuracy or completeness of any Confidential Information furnished or disclosed to
the Recipient.
6. Remedies. The Recipient acknowledges that any unauthorized disclosure or use of the
Confidential Information would cause irreparable harm to the Company and that the
Company may seek injunctive relief, as well as any other remedies available at law or in
equity, in the event of any such unauthorized disclosure or use.
7. Governing Law. This Agreement shall be governed by and construed in accordance with
the laws of the State of [State], without giving effect to any choice of law or conflict of
law provisions.
8. Entire Agreement. This Agreement constitutes the entire understanding of the parties and
supersedes all prior or contemporaneous communications and understandings, whether
written or oral, relating to the subject matter hereof.
9. Assignment. The Recipient shall not assign this Agreement, in whole or in part, without
the prior written consent of the Company.
10. Counterparts. This Agreement may be executed in counterparts, each of which shall be
deemed an original, but all of which together shall constitute one and the same
